Dear Valued Customer,
Fifth Third Bank and Brink's are pleased to announce an invoicing change to our industry-
leading RCM partnership For nearly five years, Fifth Third and Brink's have provided cutting -
edge smart safe solutions to our clients In an effort to streamline the user experience, Fifth
Third Bank will now invoice clients directly for currency verification services rather than as part
of the Brink's monthly rate structure We believe that this change aligns with the overall value
• proposition of the service and provides clients with enhanced benefits, including the ability to
use earnings credit to offset monthly fees
No action is required of you other than to review and sign the attached Amendment to the
Brink's CompuSafe agreement which reflects only the change described above Beginning
August 1, 2011 and upon execution of the amendment, your organization's billing will reflect the
following change Brink's will reduce its monthly CompuSafe fee by $41 00 per store per month,
removing the cassette verification services from the Brink's fees Subsequently, you will see a
$41 00 per month increase in the RCM billing on your Fifth Third account analysis This is a
"cost neutral" adjustment for your organization No changes with respect to any other part of the
service provided to you or agreements between you, Brinks and Fifth Third bank will occur
Please find attached an Amendment to your Brink's CompuSafe service Agreement that will
amend the Brink's contractual language to accommodate this Please sign and return a scanned

In accordance with your Treasury Management Agreement with Fifth Third Bank, no
amendment to the RCM Terms and Conditions Agreement is required Should you have any

ADDENDUM
THIS ADDENDUM TO COMPUSAFE SERVICE AGREEMENT ( "Addendum ") dated
June _1 ( "Effective Date ") amends that certain Service Agreement (No. CS20110520 -1004
) dated 06/20/11 . (the "Agreement") between Brink's U.S., a Division of Brink's, Incorporated
( "Brink's ") and _City of Clermont ( "Customer ").
As of the Effective Date, for those Customer locations for which Customer uses Fifth Third Bank as its
depository institution for CompuSafe Daily Credit Services ( "Locations "), the pricing in Section 1 of
Schedule A of the Agreement shall be amended as follows:
Commencing on the Effective Date, Brinks will reduce the monthly charge by $41.00 per month for each
safe located at a Location currently being serviced under the Agreement. In the event Customer ceases to
use Fifth Third Bank as its depository institution for CompuSafe Daily Credit Services for a safe at a
Location, Brink's and Customer agree that Brink's reserves the right to increase Customer's rates by
$41.00 per month for each such safe.
IN WITNESS WHEREOF, the parties have executed this Addendum as of the date set forth
