You are hereby notified that your BID has been accepted for items in the amount of $874,319 00
Eight Hundred Seventy Four Thousand. Three Ilundred Nineteen Dollars and no cents
This price includes the Base Bid plus Alternates No's. 7 &
You are required to execute the AGREEMENT within Ten (10) calendar days from the date of this
Notice and furnish the required CONTRACTOR'S PERFORMANCE BOND, PAYMENT

ARTICLE 5
PROGRESS PAYMENTS
5.1 Based upon Apphcauons for Payment submitted to the Architect by the Contractor and Certificates for Payment issued by the
Architect, the Owner shall make progress payments on account of the Contract Sum to the Contractor as provided below and
elsewhere in the Contract Documents
5.2 The penod covered by each Application for Payment shall be one calendar month ending on the last day of the month, or as
follows

5.3 Provided an Application for Payment is received by the Architect not later than the 1 s t
day of a month, the Owner shall make payment to the Contractor not later than
the 2 1 S t day of the same month. If an Apphcauon for Payment is received by the
Architec4, after the application date fixed above. payment shall be made by the Owner not later than
1 days atter the Architect receives the Apphcation for Payment
5.4 Each Application tor Payment shall be based upon the schedule ot values submitted by the Contractor in accordance with
the Contract Documents The schedule ot values shall allocate the entire Contract Sum among the carious portions of the Work
and be prepared in such torm and supported bv such data to substantiate ICS accuracy as the Architect may require This schedule
unless objected to by the Architect, shall be used as a basis for reviewing the Contractor s Applications for Payment
5.5 Apphcauons for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period
covered by the Application for Payment
5.6 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows
5.6.1. Take that portion of the Contract Sum properly allocable to completed Work as determined by multiplying the percentage
completion of each portion of the Work by the share ot the tonal Contract Sum allocated to that portion of the Work in the schedule
of values, less retainage of ten percent
(
10 %) Pending final determination of cost to the Owner of changes in the Work, amounts not in the dispute may be
included as provided in Subparagraph 7 3 7 ot the General Conditions even though the Contract Sum has not vet been adjusted

5.6.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and suitably stored at the
site for subsequent incorporation in the completed construction (or, if approved in advance by the Owner, suitably stored off the
site at a location agreed upon in writing), less retainage of t e fl

5.6.3 Subtract the aggregate of previous payments made by the Owner, and
5.6.4 Subtract amounts, if any, for which the Architect has withheld or nullified a Ceruficate for Payment as provided in Para-

5.7 The progress payment amount determined in accordance with Paragraph 5 6 shall be further modified under the following
circumstances
5.7.1 Add, upon Substantial Completion of the Work, a sum sufficient to increase the total payments to
ninety five percent ( 95 %) of the Contract
Sum, less such amounts as the Architect shall determine fdr incomplete Work and unsettled claims, and
5.7.2 Add, if final completion of the Work is thereafter matenally delayed through no fault of the Contractor, any additional
amounts payable in accordance with Subparagraph 9 10 3 of the General Conditions
5.8 Reducuon or limitation of retainage, if any, shall be as follows

FINAL PAYMENT
Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the Owner to the Contractor when (1)
the Contract has been fully performed by the Contractor except for the Contractor's responsibility to correct nonconforming
Work as provided In Subparagraph 12.2.2 of the General Conditions and to sausfy other requirements, if any, which necessanly
survive final payment, and (2) a final Certificate for Payment has been issued by the Architect, such final payment shall be made by
the Owner not more than 30 days after the issuance of the Architect's final Certificate for Payment, or as follows

ARTICLE 7
-- MISCELLANEOUS PROVISIONS
7.1 Where reference is made in this Agreement to a provision of the General Conditions or another Contract Document, the ref-
erence reters to that provision as amended or supplemented by other provisions of the Contract Documents
7.2 Payments due and unpaid under the Contract shall bear interest from the date payment is due at the rate stated below, or in
the absence thereof, at the legal rate prevailing from time to time at the place where the Project is located

SCHEDULE A TO AGREEMENT BETWEEN OWNER AND CONTRACTOR

INSURANCE REQUIREMENTS
1 01 CONTRACTOR INSURANCE
A General
1 Before performing any Work on the Project, the Contractor shall procure and
maintain, dunng the life of the Agreement, the insurance coverages listed below
The policies of insurance shall be pnmary and written on forms acceptable to the
Owner and placed with insurance carriers approved and licensed by the
Department of Insurance for the State of Flonda with a minimum AM Best &
Company financial rating of no Tess than A:VII. All required evidence of insurance
shall be submitted to Owner at the time set forth in the Contract Documents
2 The Contractor shall not commence the work under the Contract nor permit any
sub - contractors to commence work on any sub - contract until all the insurance
required has been obtained and certificates thereof provided to the Owner. The
Contractor may carry at its own expense such additional insurance as he may
deem necessary The Contractor shall not be deemed to be relieved of any
responsibility by the fact that he cames insurance Should the Contractor at any
time, neglect or refuse to provide the insurance required herein, or should such
insurance be canceled or should the full annual aggregate amount of any policy not
be available to satisfy the requirements of the Contract, the Owner shall have the
right, but not the obligation, to procure such insurance for the Contractor and the
cost thereof shall be deducted from the monies then due or thereafter to become
due to the Contractor or to declare Contractor in default under the Contract.
3 Liability Insurance Requirements - All liability polices required herein shall be
written on an occurrence basis. The policies shall name the Owner, Owner's
Board, and staff as additional insured as their interest may appear under this
Agreement and the insurers shall agree to waive all nghts of subrogation against
the Owner, Owner's Board, and staff The Products and Completed Operations
portions of the General Liability shall extend for a penod of two years after the Final
Acceptance of the Project by the Owner
B Other Requirements
1 Each insurance policy required by this Agreement shall
a. Be endorsed to state that coverage shall not be suspended, voided or
cancelled by either party, or reduced in coverage or in limits except after 30
days pnor written notice by certified mail has been given to the Owner.
b. The Contractor shall be solely responsible for payment of all premiums for
insurance required under this Agreement and shall be solely responsible for
the payment of all deductibles to which such policies are subject.
c. The Contractor may lower the limits of insurance required of subcontractors
to a level below those stated herein subject to pnor written approval of the
Owner

C. Certificates of Insurance
Certificates of Insurance evidencing coverages and limits of purchased insurance are to be
furnished to the Owner for approval prior to the commencement of Work under this
Agreement. The Certificates shall be completed and signed by the issuing agent The
Certificates shall be in the form as approved by the Insurance Standards Office (ISO) and
shall clearly state all the coverage required by this Agreement The Certificates shall
contain a statement that the insurer will mail notice to the Owner at least 30 days prior to
any material changes in provisions or cancellation of the policy
D. Insurance Requirements
1 Workers' Compensation - The Contractor shall carry Workers' Compensation
insurance on behalf of all employees who are required to provide a service under
this Agreement, as required by Chapter 440, Flonda Statutes and Employers
Liability of limits no less than $1,000,000 each accident
$1,000,000 disease - policy limit
$1,000,000 disease - each employee
2. Commercial General Liability - including but not limited to bodily injury, property
damage and personal injury with limits of $1,000,000 per occurrence and
$2,000,000 per location aggregate covenng all Work performed under this
Agreement The insurance shall include all major divisions of coverage and shall
be on a comprehensive general basis including Premises and Operations (including
X -C -U), Owners and Contractors Protective, Products and Completed Operations.
3. Automobile Liability - including bodily injury and property damage liability for all
vehicles owned, hired, leased and non -owned with limits of not less than
$1,000,000 combined single limit covering all Work performed under this
Agreement.
4 Umbrella Liability - to include the Employers Liability, general liability and
automobile in underlying policy schedule, with limits of not less than $2,000,000.
5. Hazardous Material - if the Work being performed involves hazardous materials, the
need to procure appropriate insurance coverage will be addressed in a contract
modification However, if hazardous materials are identified while carrying out this
Agreement, no further Work is to be performed in the area of the hazardous
material until the Owner has been consulted as to the need to procure and maintain
such coverage

6 Property Insurance / Builders Risk
A. The Contractor shall purchase and maintain property insurance (Builders Risk)
upon the entire Work at the site to the full replacement value thereof. Any
deductible maintained on such insurance shall be the responsibility of the
Contractor This insurance shall include the interests of the Owner, the Contractor
and subcontractors in the work and shall ensure against the perils of fire and
extended coverage and shall include "all nsk" insurance for physical loss or
damage, including theft, vandalism and malicious mischief Similar coverage will
be obtained by the Contractor for portions of the work in transit
B If the Owner finds it necessary to occupy or use a portion or portions of the work
prior to Substantial Completion thereof, such occupancy or use shall not commence
prior to a time mutually agreed to by the Owner and Contractor and to which the
insurance company or companies providing the property insurance have consented
by endorsement to the policy or policies This insurance shall not be cancelled or
lapsed on account of such partial occupancy or use Consent of the contractor and
of the insurance company or companies to such occupancy or use shall not be
unreasonably withheld
