2011-70 SUPPLIER AGREEMENT FOR POLYMER CONCENTRATE THIS AGREEMENT, made and entered into this 11 day of (7c-ro se R 2011, A.D., by and between the City of Clermont 685 West Montrose Street, Clermont, Florida (hereinafter referred to as "CITY "), and Polydyne, Inc., One Chemical Plant Road, Riceboro, GA, 31323 (hereinafter referred to as "SUPPLIER "). WHEREAS, SUPPLIER has through the public procurement process entered into an agreement with the City of Fernandina Beach, FL for the provision of polymer concentrate; WHEREAS, based on SUPPLIER's response, the City of Fernandina Beach awarded a contract to SUPPLIER under the terms of ITB #11 -06; WHEREAS, CITY desires to utilize the SUPPLIER's approved bid with the City of Fernandina Beach in accordance with CITY's procurement policy; and WHEREAS, SUPPLIER desires to enter into a contract with CITY based on the terms and conditions of City of Fernandina Beach ITB# 11 -06. WITNESSETH: That the parties hereto, for the consideration hereinafter set forth, mutually agree as follows: ARTICLE I - SCOPE OF WORK The SUPPLIER shall furnish polymer concentrate as described in the City of Fernandina Beach ITB# 11 -06 which is attached hereto and incorporated herein as Exhibit "A" and shall do everything required by this Agreement and the other Agreement Documents contained in the specifications, which are a part of these Documents. Provided, however, that nothing herein shall require CITY to purchase or acquire any items or services from SUPPLIER. To the extent of a conflict between this Agreement and Exhibit "A ", the terms and conditions of this Agreement shall prevail and govern. ARTICLE II - THE CONTRACT SUM CITY shall pay SUPPLIER, for the faithful performance of the Agreement as set forth in the Agreement documents and the Unit Price Schedule an amount in accordance with the compensation schedule set forth in Exhibit 'B', attached hereto and incorporated herein. The prices contained therein shall remaining place and unchanged through September 30, 2012. Thereafter the pricing and this Agreement may be renewed for two additional one (1) year periods upon mutual agreement of the parties. ARTICLE III — TERM AND TERMINATION 1. This Agreement is to become effective upon execution by both parties, and shall remain in effect until September 30, 2012, unless renewed as set forth 1 above or terminated as provided for herein. 2. Notwithstanding any other provision of this Agreement, CITY may, upon written notice to SUPPLIER, terminate this Agreement if: a) without cause and for convenience upon thirty (30) days written notice to SUPPLIER b) SUPPLIER is adjudged to be bankrupt; c) SUPPLIER makes a general assignment for the benefit of its creditors; d) SUPPLIER fails to comply with any of the conditions of provisions of this Agreement; or e) SUPPLIER is experiencing a labor dispute, which threatens to have a substantial, adverse impact upon performance of this Agreement, without prejudice to any other right or remedy CITY may have under this Agreement. In the event of such termination, CITY shall be liable only for the payment of all unpaid charges, determined in accordance with the provisions of this Agreement, for work, properly performed and accepted prior to the effective date of termination. ARTICLE IV - COMMENCEMENT AND COMPLETION OF WORK The SUPPLIER shall provide all items in the timeframe as set forth in the applicable purchase order. ARTICLE V - PAYMENTS In accordance with the provisions fully set forth in the General Conditions, SUPPLIER shall submit a payment request by the third (3rd) day of each calendar month for items provided during the preceding calendar month. CITY shall make payment to the SUPPLIER, within thirty (30) calendar days, on the basis of a duly certified and approved payment invoice by the CITY for items provided and accepted by the CITY. ARTICLE VI — DISPUTE RESOLUTION - MEDIATION 1. Any claim, dispute or other matter in question arising out of or related to this Agreement shall be subject to mediation as a condition precedent to voluntary arbitration or the institution of legal or equitable proceedings by either party. 2. The CITY and SUPPLIER shall endeavor to resolve claims, disputes and other matters in question between them by mediation. 3. The parties shall share the mediator's fee and any filing fees equally. The mediation shall be held in Clermont, Lake County, Florida, unless another location is mutually agreed upon. Agreements reached in mediation shall be enforceable as settlement agreements in any court having jurisdiction thereof. ARTICLE VII — INSURANCE AND INDEMNIFICATION RIDER 1. Worker's Compensation Insurance - The SUPPLIER shall take out and maintain during the life of this Agreement Worker's Compensation Insurance for all his employees connected with the work of this Project and, in case any work is sublet, the 2 SUPPLIER shall require the subSUPPLIER similarly to provide Worker's Compensation Insurance for all of the latter's employees unless such employees are covered by the protection afforded by the SUPPLIER. Such insurance shall comply with the Florida Worker's Compensation Law. In case any class of employees engaged in hazardous work under this Agreement at the site of the Project is not protected under the Worker's Compensation statute, the SUPPLIER shall provide adequate insurance, satisfactory to the CITY, for the protection of employees not otherwise protected. 2. SUPPLIER's Public Liability and Property Damage Insurance - The Contactor shall take out and maintain during the life of this Agreement Comprehensive General Liability and Comprehensive Automobile Liability Insurance as shall protect it from claims for damage for personal injury, including accidental death, as well as claims for property damages which may arise from operating under this Agreement whether such operations are by itself or by anyone directly or indirectly employed by it, and the amount of such insurance shall be minimum limits as follows: (a) SUPPLIER's Comprehensive General, $1,000,000 Each ($2,000,000 aggregate) Liability Coverages, Bodily Injury Occurrence, & Property Damage Combined Single Limit (b) Automobile Liability Coverages, $1,000,000 Each Bodily Injury & Property Damage Occurrence, Combined Single Limit (c) Excess Liability, Umbrella Form $2,000,000 Each Occurrence, Combined Single Limit Insurance clause for both BODILY INJURY AND PROPERTY DAMAGE shall be amended to provide coverage on an occurrence basis. 3. SubSUPPLIER's Public Liability and Property Damage Insurance - The SUPPLIER shall require each of his subSUPPLIERs to procure and maintain during the life of this subcontract, insurance of the type specified above or insure the activities of his subSUPPLIERs in his policy, as specified above. 4. Indemnification Rider (a) To cover to the fullest extent permitted by law, the SUPPLIER shall indemnify and hold harmless the CITY and its agents and employees from and against all claims, damages, losses and expenses, including but not limited to attorney's fees, arising out of or resulting from the performance of the Work, provided that any such claim, damage, loss or expense (1) is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property (other than the Work itself) , and (2) is caused in whole or in part by any negligent act or omission of the SUPPLIER, any subSUPPLIER, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, regardless of whether or not it is caused in part by 3 a party indemnified hereunder. Such obligation shall not be construed to negate, abridge, or otherwise reduce any other right to obligation of indemnity which would otherwise exist as to any party or person described in this Article. (b) In any and all claims against the CITY or any of its agents or employees by any employee of the SUPPLIER, any subSUPPLIER, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, the indemnification obligations under this Paragraph shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for the SUPPLIER or any subSUPPLIER under workers' or workmen's compensation acts, disability benefit acts or other employee benefit acts. (c) The SUPPLIER hereby acknowledges receipt of ten dollars and other good and valuable consideration from the CITY for the indemnification provided herein. ARTICLE VIII - NOTICES All notices shall be in writing and sent by United States mail, certified or registered, with return receipt requested and postage prepaid, or by nationally recognized overnight courier service to the address of the party set forth below. Any such notice shall be deemed given when received by the party to whom it is intended. SUPPLIER: Polydyne, Inc. In the event a suit or action is instituted to enforce or interpret any provision of this agreement, the prevailing party shall be entitled to recover such sum as the Court may adjudge reasonable as attorneys' fees at trial or on any appeal, in addition to all other sums provided by law. 2. Waiver. The waiver by city of breach of any provision of this agreement shall not be construed or operate as a waiver of any subsequent breach of such provision or 4 of such provision itself and shall in no way affect the enforcement of any other provisions of this agreement. 3. Severability. If any provision of this agreement or the application thereof to any person or circumstance is to any extent invalid or unenforceable, such provision, or part thereof, shall be deleted or modified in such a manner as to make the agreement valid and enforceable under applicable law, the remainder of this agreement and the application of such a provision to other persons or circumstances shall be unaffected, and this agreement shall be valid and enforceable to the fullest extent permitted by applicable law. 4. Amendment. Except for as otherwise provided herein, this agreement may not be modified or amended except by an agreement in wnting signed by both parties. 5. Entire Agreement. This agreement including the documents incorporated by reference contains the entire understanding of the parties hereto and supersedes all prior and contemporaneous agreements between the parties with respect to the performance of services by SUPPLIER. 6. Assignment. This agreement is personal to the parties hereto and may not be assigned by SUPPLIER, in whole or in part, without the prior written consent of city. 7. Venue. The parties agree that the sole and exclusive venue for any cause of action arising out of this agreement shall be Lake County, Florida. 8. Applicable Law. This agreement and any amendments hereto are executed and delivered in the State of Florida and shall be governed, interpreted, construed and enforced in accordance with the laws of the State of Florida. 9. Records. SUPPLIER expressly understands and acknowledges that any and all documents related to the services provided herein, may be considered records that are subject to examination and production in accordance with Florida's Public Records Law. SUPPLIER expressly agrees that it will comply with all requirements related to said law and that it will hold CITY harmless, including attorney fees and litigation costs, for any such disclosure related to Florida's Public Records Law. The City will receive sealed bids at the location stated below not later than 2:00 pm, July 14, 2011. Any submittal received after the above stated time and date will not be considered. It shall be the sole responsibility of the Bidder to have its Bid delivered to the City of Fernandina Beach, by U.S. Mail, hand delivery or any other method available to him/her; however, facsimile or electronic submittals will not be accepted. Delay in delivery shall be the sole responsibility of the Bidder. Submittals received after the deadline will not be considered. Award of the Bid is subject to authorization and appropriation of funds in the fiscal year 2011 -2012 budget. The bid shall be submitted on the specified Bid Form (1 original, 2 copies), hereto attached as "Exhibit A ". The person signing the Bid Response Form shall have the authority to bind the proposer to the Bid. All information on the Bid form shall be provided, or the Bid may not be accepted. The competitive sealed Bid shall be accompanied by a "Public Entity Crimes Statement" herein provided as "Exhibit B ", a "Drug Free Workplace Certification ", herein provided as "Exhibit C ", and an "E -Verify Statement," herein provided as "Exhibit D ". SPECIFICATIONS BID SPECIFICATIONS FOR POLYMER CONCENTRATE. Invitation to bid annual requirements for Polymer concentrates in 55 gallon drums for the City of Fernandina Beach, Florida. Fifteen (15) pounds or less Polymer concentrate must produce a dry ton of 12% or greater cake solid in the City of Femandina Beach's Fournier Rotary Press at a pump rate of 60 gpm or greater. Polymer must have a 98% or greater Capture Rate. Polydyne, Inc. product Clarifloc RB -608 has proven to produce the desired cake. Bidders of any alternate product must be willing to supply a 5 gallon sample of their product at no charge for the City to test if requested. If sample product does not meet or exceed above specifications bidder may not present another product. Bidders must guarantee delivery to the City within 5 business days of order placement. Method of transportation and handling must be in full compliance with EPA, DOT, OSHA and all additional prevailing regulation(s). Bidders must be Certified and agree to conduct a single session annual safety training class for 50 people per OSHA Hazard Awareness Level 1 Training Guidelines. Training will also include overview of Material Safety Data Sheets for Polymer. The City of Fernandina Beach will determine the time, date, and location for the safety training and coordinate with successful bidder. The City of Fernandina Beach may inspect Bidders' facilities for approval prior to awarding this contract. Estimated annual consumption is 21,000 # total in 55 gallon drums averaging (I) tote/month. Tote containers required to have side drain valve that will empty tote completely by gravity. The City of Fernandina Beach reserves the right to increase or decrease estimated annual quantities to meet additional or reduced requirements based on operations and/or the City's 2011 -2012 budget. Polymer concentrate is to be quoted unit price per pound, based on 275 gallon tote equaling 2250 pounds, delivered, F.O.B. Fernandina Beach, Florida. Surcharges or fees are to be identified and quoted and will be totaled with the delivered unit price /# for award calculation. Prices are to remain firm through contract duration beginning October 1, 2011 through September 30, 2012. Contract may be terminated by either party with 60 days written notification. All delivery tickets and invoices must show who placed order, order date, and the Contract number. QUALIFICATIONS In addition to any State required licensing, successful Bidder is required to have a Business License in the city where their home office is located. If Bidder's business office is located in the City of Fernandina Beach a business tax license is required AWARD Award recommendation shall be made based on price and availability of product and/or service. The City reserves the right, based upon its deliberations and in its opinion, to accept or reject any or all proposals. The City also reserves the right to waive minor irregularities or variations to the specifications and in the bidding process. Bids and changes thereto shall be enclosed in sealed envelopes & addressed as instructed on the Bid Form. The name and address of the Bidder, the date and hour of the Invitation to Bid opening and the material or service shall be placed on the outside of the envelope. b. INVITATION TO BID must be submitted on the forms furnished. Telegraphic Bids will not be considered. 3. REJECTION OF BIDS a. The City reserves the right to accept or reject any or all Bids, to waive irregularities and technicalities, and to request resubmission or to re- advertise for the services. The City shall be the sole judge of the submittals. The City's decision shall be final. 4. WITHDRAWAL OF BIDS a. Bids may not be withdrawn after the time set for the opening for a period of time as specified. b. Bids may be withdrawn prior to the time set for the opening. Such request must be in writing. 5. LATE BIDS a. INVITATION TO BID and modifications received after the time set for the opening will not be considered. b. Modifications in writing received prior to the time set for the opening will be accepted. 6. LOCAL, STATE, AND FEDERAL COMPLIANCE a. Bidders shall comply with all local, state, and federal directives, orders and laws as applicable to the INVITATION TO BID and subsequent contract(s) including but not limited to Equal Employment Opportunity (EEO), Minority Business Enterprise (MBE), and OSHA as applicable to this contract. b. A "Public Entity Crimes Statement ", in accordance with Florida Statutes, Section 287.133 (3) (a), on Public Entity Crimes, attached hereto as Exhibit `B ", must be received at the time of the bid. c. A "Drug Free Workplace Certification" attached hereto as Exhibit "C ", must be received at the time of the bid. d. The City of Fernandina Beach requires that the Bidder selected will not discriminate under the contract against any person, in accordance with federal, state and local government regulations. e. An "E- Verify Statement" attached hereto as Exhibit "D" must be received at the time of the bid. 7. COLLUSION a. The Bidder, by affixing his signature to the Bid Form, agrees to the following: "Bidder certifies that his INVITATION TO BID is made without previous understanding, agreement, or connection with any person, firm or corporation making a Bid for the same item(s) and is in all respects fair, without outside control, collusion, fraud, or otherwise illegal action ". 8. AWARD OF INVITATION TO BID a. The INVITATION TO BID will be awarded to the qualified supplier with the best value Bid whose Bid, conforming to the INVITATION TO BID, is most advantageous to the City of Fernandina Beach, price and other factors considered. b. The City reserves the right to accept and award item by item, and/or by group, or in the aggregate. c. A written award of acceptance (Purchase Order), mailed or otherwise furnished to the successful Bidder shall result in a binding contract without further action by either party. d. Unless otherwise noted in the specifications, the length of the agreement shall be one year, with 2 one year renewals possible based on the mutual consent of the parties. 9. NOT RESPONSIBLE FOR COSTS a. The City shall not be responsible for any cost incurred by a prospective Bidder in responding to this INVITATION TO BID. 10. BONDS • If Bid is less than $50,000 no Bid Bond or Payment and Performance Bond required. • If Bid is greater than $50,000 and is for material only, a Bid Bond is required but no Payment and Performance Bond is required. • If Bid is $50,000 - $100,000, and is for services, a Bid Bond is required but no Payment and Performance Bond is required. • If Bid is greater than $100,000, and is for services, Bid Bond and Payment and Performance Bond is required. BID BOND: a. If the Base Bid or the Base Bid plus the sum of any alternates fall into the criteria above requiring a Bid Bond, the bidder shall enclose a Certified Check or Bid Bond with each bid. A Certified Check or Bid Bond shall be for an amount not less than five percent (5 %) of the Bid price and shall be made payable to the CITY OF FERNANDINA BEACH as a guarantee that the Bidder will not withdraw its bid for a period of ninety (90) calendar days after Bid closing time. Bid Bonds or Certified Checks will be returned to unsuccessful bidders within 10 days of bid award. Successful bidders will receive their Certified Check or Bid Bond after the contract/agreement has been signed and a Performance and Payment Bond is received. PERFORMANCE AND PAYMENT BONDS: a. In the event the Contract is awarded to the Bidder, Bidder will thereafter enter into a written contract with the CITY OF FERNANDINA BEACH and furnish a Payment and Performance Bond in an amount equal to the contract price. The form of the bonds shall be in accordance with Section 255.05 of Florida Statutes. Failing to do so, Bidder shall forfeit its bid security. Payment and Performance Bond shall be secured from or countersigned by an agency or surety company recognized in good standing and authorized to do business in the State of Florida. The following exceptions to bidder providing Performance and Payment Bonds are as follows: In Lieu of the Performance and Payment Bonds, a contractor may file with the City an altemative form of security in the form of cash, a money order, a certified check, a cashier's check, an irrevocable letter of credit, or a security of a type listed in part II of chapter 625, Florida Statutes. Any such alternative form of security shall be for the same purpose and be subject to the same conditions as those applicable to the bonds. The value of an alternative forrn of security shall be in the amount of the bid. 11. PUBLIC INFORMATION a. All information contained in this Bid is public information, and as such will be handled in accordance with the Florida Statutes. 12. ADDITIONAL INFORMATION a. The City reserves the right to require Bidders to provide references and information on previous similar experience prior to award of the contract. 13. QUESTIONS a. Any questions about the INVITATION TO BID should be communicated per instructions in the INVITATION TO BID. 14. INDEMNIFICATION AND INSURANCE AND PAYMENT INDEMNIFICATION The parties recognize that CONTRACTOR/VENDOR is an independent Contractor. CONTRACTOR/VENDOR agrees to assume liability for and indemnify, hold harmless, and defend the CITY, its commissioners, mayor, officers, employees, agents, and attorneys of, from, and against all liability and expense, including reasonable attorney's fees, in connection with any and all claims, demands, damages, actions, causes of action, and suits in equity of whatever kind or nature, including claims for personal injury, property damage, equitable relief, or loss of use, arising directly or indirectly out of or in connection with any negligent and /or deliberate act or omission of CONTRACTOR/VENDOR, its officers, employees, agents, and representatives. CONTRACTOR/VENDOR's liability hereunder shall include all attomey's fees and costs incurred by the CITY in the enforcement of this indemnification provision. This includes claims made by the employees of CONTRACTORNENDOR against the CITY and CONTRACTORNENDOR hereby waives its entitlement, if any, to immunity under Section 440.11, Florida Statutes. The obligations contained in this provision shall survive termination of this Agreement and shall not be limited by the amount of any insurance required to be obtained or maintained under this Agreement. Nothing contained in the foregoing indemnification shall be construed to be a waiver of any immunity or limitation of liability the CITY may have under the doctrine of sovereign immunity or Section 768.28, Florida Statutes. INSURANCE Prior to Award, the CITY of Fernandina Beach shall be furnished proof of insurance coverage as follows: A. Workers' Compensation Insurance CONTRACTOR/VENDOR shall have in full force, during the life of this agreement, Workers' Compensation and Employer's Liability Insurance for all its employees connected with work under this agreement, and in the event any work is subcontracted, CONTRACTOR/VENDOR shall require the subcontract similarly to provide Workers' Compensation Insurance for all of the latter's employees, unless such employees are covered by the protection afforded by CONTRACTOR/VENDOR. CONTRACTOR/VENDOR may provide a workers' compensation waiver in lieu of workers' compensation insurance where such waiver is properly approved by the Florida Department of Labor and Employment Security and accepted by the CITY of Fernandina Beach in writing. Such insurance or waiver shall comply with the Florida Workers' Compensation Law.
