AMENDMENT
This amendment("Amendment")is made this /1 day • : _e,f/uA!Y 2012 by and between Tyler
Technologies,Inc., with offices at 1 Cole Haan Dnve,Yarmou ,Maine 04096("Tyler")and City of Clermont,
with offices at 685 West Montrose Street,Clermont,Florida 34711, and with a mailing address of P.O.Box
120219,Clermont,Flonda 34712 ("Client").
WHEREAS, Tyler and the Client are parties to an Application Service Provider Agreement dated September 4,
2008 ("Agreement"); and
WHEREAS, Tyler and Client desire to amend the Agreement;
NOW THEREFORE, in consideration
of the mutual promises hereinafter contained,Tyler and the Client agree as
follows:
1. The items shown in the attached quote, incorporated into this Amendment as Exhibit A, are hereby added
to the Agreement.
2. Payment for the fees for the items added to the Agreement per this Amendment will be as follows:
a. Software Tyler will invoice the fees for Software of$41,368.00 when such Software is made
available to Client for download.
b Services. Tyler will invoice fees for Services,plus expenses,as they are provided and/or
incurred.
c. ASP Fees. Client will remit quarterly ASP fees of$4,172.25 for the Software added to the
Agreement per this Amendment commencing on or before October 1, 2012 and on and before the
first day of each subsequent quarter through the end of the Term.
3. This Amendment shall be governed by and construed m accordance with the terms and conditions of the
Agreement.
4. All other terms and conditions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF,the parties hereto have executed this Amendment as of the dates set forth below.

Tyler's quote contains estimates of the amount of services needed,based on our preliminary understanding of the size and scope of your
project.The actual amount of services depends on such factors as your level of involvement in the project and the speed of knowledge
transfer.
Prices submitted in the quote do not include travel expenses incurred in accordance with Tyler's then-current Business Travel Policy.
Tyler's prices do not include applicable local,city or federal sales,use,excise,personal property or other similar taxes or duties,which you
are responsible for determining and remitting.
Conversion prices are based on a single occurrence of the database.If additional databases need to be converted,these will need to be quoted.
In the event Client acquires from Tyler any edition of Tyler Content Manager software other than Enterprise Edition,the license for Content
Manger is restricted to use with Tyler applications only.If Client wishes to use Tyler Content Management software with non-Tyler
applications,Client must purchase or upgrade to Tyler Content Manager Enterprise Edition.The proposed software for TCM SE has been
presented in a self hosted model.This would require the City of Clermont to manage an onsite server to house and license the TCM SE
application.
Tyler's Form Library prices are based on delivering the specific form quantities listed below.Additional formats of forms listed below are
extra.Custom forms are extra.Please note that TylerForms requires the use of approved printers only.Contact Manager of TFP for list of
approved printers.
Utility Billing Library includes: 1 Utility Bill, 1 Assessment, 1 UB Receipt, 1 Lien Letter, 1 UB Delinquent Notice, 1 Door Hanger and 1
Final Utility Bill.
Hosting of TCM SE includes up to 50GB of storage,should additional storage be needed it may be purchased as needed at an annual fee of
$1,000.00 per 100GB with a total cap of storage at 750GB.
Maintenance pricing is for two years at which time Clermont's ASP contract renews.Rates for products in this proposal will be done at
standard rates as follows:
