2012-89 TASK AUTHORIZATION NUMBER FOR
CONTINUING CONTRACT AGREEMENT
BETWEEN THE CITY OF CLERMONT FLORIDA AND AECOM TECHNICAL SERVICES, INC.
This Task Authorization is by and between AECOM TECHNICAL SERVICES, INC., hereinafter
referred to as "CONSULTANT"and the CITY OF CLERMONT, hereinafter referred to as "CITY" and is
to that certain agreement between the parties dated November 29, 2011, and any amendments
thereto, hereinafter collectively referred to as "the Agreement". The Parties, in exchange for the
mutual covenants contained herein and in the Agreement, agree as follows:
1. This agreement expressly modifies the Agreement and in the event of a conflict,the terms
and conditions of this Task Authorization shall prevail.
2. In addition to all other terms and conditions contained in the Agreement, CONSULTANT
shall provide services as more particularly described in the Scope of Services attached
hereto and incorporated herein as Task Authorization Exhibit"A". In consideration for, and
upon, the satisfactory completion of said services,the CITY shall pay to CONSULTANT the
amount set forth in Task Authorization Exhibit "B" attached hereto and incorporated
herein.
3. CONSULTANT shall complete the services to be provided herein as set forth in Exhibit "A"
hereto.
IN WITNESS WHEREOF, the parties hereto have made and executed this Agreement for the
purposes herein expressed on the dates set forth below.

EXHIBIT A
AECOM Basic Services
PROJECT DESCRIPTION
The City of Clermont(Client)desires to improve a portion of County Road (CR) 561 adjacent to
property they own known as Inland Groves Park(see Exhibit A.1, Inland Groves Park— Conceptual
Master Plan Phase I). The Project includes design services for a one(1) lane Roundabout
approximately 100' in diameter in a location determined to meet design criteria with a 45 MPH
approach design speed while maintaining the rural two-lane section with unpaved shoulders.
Lane and shoulder widths will match existing. Lake County roadway design standards will be used
to specify roadway construction details. It is our understanding Right-of Way needs have already
been determined and acquired.
PROJECT TEAM
The following professionals shall provide the services indicated in support of the work.
AECOM Technical Services, Inc. - Project Management, Landscape Architecture,and
Civil Engineering
Alternate Street Design - Roundabout Design
Clear Engineering - Electrical Engineering
PART I—Design Services
Pre-Design Services
1.1 Project Coordination— In addition to the specific services detailed below(the"Services"),
AECOM shall coordinate our work with the Client's representative and the Client's project
team, monitor the project schedule as it relates to the scope contained herein,and provide
timely invoicing and reporting of project progress.
1.2 Base Data—The Client will provide AECOM with the following data that AECOM will
incorporate into the development of the base plans prior to beginning design work.
Additional work required due to inaccurate, incorrect, or incomplete information supplied
by the Client shall be completed as an Additional Service. If it is determined additional
base data is necessary other than what is identified below,AECOM will complete additional
data-gathering as an Additional Service.
• Lake County—South Lake Trail Phase III Construction Documents, ROW Map,and
Survey
• Traffic Counts— Peak hour directional traffic counts and an estimate of volumes for CR
561from Lake County
• Topographical Survey—500 foot radius from center of roundabout and 1,500 feet in
either direction from the roundabout along the centerline of CR 561to 15'outside the
existing right-of-way. Survey to include utility location and delivered in an AutoCAD
format
• Geotechnical Survey—Seasonal high groundwater and soil survey for geotechnical
design parameters and recommendations
• Stormwater and Drainage Accommodations— Necessary calculations, reports,
establishment of 100-year flood elevations and agency permit applications

1.3 Kick-off Meeting—AECOM will organize a kick-off meeting with the Client and the project
team in the Client's offices to kick-off the project. The agenda for the meeting will include:
• Client objectives
• Project issues
• Preliminary development program
• Project requirements
• Team member responsibilities
• Schedule
1.4 Site Analysis — AECOM will visit the site one (1) time in order to develop an understanding
of the site's opportunities and constraints.
1.5 Client Review—AECOM will meet with the Client one(1)time to review the base data
collected, discuss whether additional base data is needed,discuss the site analysis,and
discuss opportunities and constraints to development of the Project.
Deliverables—As a result of these tasks,AECOM shall produce the following:
- One(1)digital copy of Meeting Minutes from the Kick-off Meeting,
- One(1)digital copy of Site Analysis Summary;and
- One(1)digital copy of Meeting Minutes from Client Review Meeting.
Conceptual Design Documents
1.6 Conceptual Design Documents— Based on the themes discussed with the Client,AECOM
shall prepare a conceptual development plan, including plantings, paving, site furnishings,
and site lighting for the Roundabout.
• Overall plan identifying proposed roundabout elements and theming,and
• Up to three(3)graphic sketches that convey the landscape image or illustrate
particular elements of the project.
1.7 Conceptual Statement of Probable Cost—AECOM shall prepare a preliminary statement of
probable construction cost for the elements detailed in the conceptual design.
1.8 Client Review—The Client will review the Conceptual Design Documents and the
Conceptual Statement of Probable Cost and provide a consolidated set of written review
comments to AECOM.Comments will be provided to AECOM within one(1)week of Client
receiving deliverable. AECOM will attend one(1) meeting with the Client and
representatives from Lake County at the Client's office to discuss the Conceptual Design
Documents and the Client's written review comments. Major revisions shall be provided as
an Additional Service.
AECOM shall proceed with the preparation of the Final Construction Document phase of
the work once written authorization to proceed is received from the Client, incorporating
the Client's written review comments into the next phase of the work. Additional revisions
requested by the Client shall be provided as an Additional Service.

Deliverables—As a result of these tasks,AECOM shall produce the following:
- One(1)set of the overall plan at 1"=30';
- One(1)set of illustrative graphics, and
- One(1)copy of the conceptual statement of probable cost.
Final Construction Documents(30%,90%and 100%Documents)
1 9 30%and 90%Construction Documents— Based on the reviewed Conceptual Design
Documents,AECOM shall prepare construction documents for the development of the
roundabout including the following site features
• Hardscape plans;
• Site furnishing plans and details;
• Grading plans including stormwater and drainage for the improvements(drainage
outside the improvements to be handled by the City or County),
• Site lighting and electrical plans;
• Roadway design plan sheets including horizontal and vertical geometry;
• Roadway typical cross section and details;and
• Pavement markings and signage plans to current MUTCD/FDOT standards.
Landscape and irrigation design plans will be documented as part of the Inland Groves
Park project. Temporary maintenance of traffic during construction,the design of a
temporary roadway for the diversion or detour of traffic is not included in this scope of
work. Lake County or its Contractor will be responsible to develop specific traffic control
plans.
Specifically,AECOM shall prepare hardscape layout plans, grading plans, roadway plans,
and electrical plans for the elements identified above,as well as
• Construction details, including details,elevations and sections provided as necessary
to communicate the design intent and construction materials ,and
• Technical specifications that define materials and methods appropriate for
construction.
Exclusions to AECOM design services which may be necessary or required that can be
provided as an Additional Service.
• Public involvement or attendance at public meetings;
• Coordination with Lake County(other than attendance at specified Client Review
Meetings);
• Location determination including limited horizontal or vertical sight distance
correction;
• Right-of-Way acquisition efforts including title searches,sketch and descriptions,
legal descriptions,and boundary surveys,
• Existing roadway conditions report and evaluation;
• Pavement design,
• Traffic warrant study,
• Specific wetland or surface water mitigation plans,
• Environmental/Species Site Survey;

• Agency environmental permit applications, surveys or reports;
• Utility coordination and relocation plans,
• 4(f)determination for use of public lands;
• Structural design including multi-post signs;
• Signalization and intelligent transportation systems,
• Details for items differing from those provided in the FDOT Standard Index;
• Noise/pollution study;
• Archeological site survey,and
• Detailed drainage analysis including pond siting report, retention areas or
stormwater abatement calculations or analysis.
1.10 Statement of Probable Cost-AECOM shall prepare a statement of probable cost for all
elements detailed in the 30%and 90%Construction Documents.
1.11 Client Review Meetings-The Client will review the Construction Documents and the
Statement of Probable Costs and provide a consolidated set of written review comments to
AECOM for the 30%and 90%Construction Documents.Comments will be provided to
AECOM within one(1)week of Client receiving each deliverable. AECOM will attend two(2)
meetings(one(1) meeting at the 30 percent and one(1)meeting at the 90 percent stages of
completion)with the Client and representatives of Lake County at the Client's office to
review the progress of the construction documents and the written review comments.
Major changes that represent a significant departure from the original design program,
budget,and approved concept shall be considered an Additional Service.
Deliverables—As a result of these tasks,AECOM shall produce the following for each Client review
meeting:
- One(1)set of construction documents, 11x17 format
- One(1)copy of the statement of probable cost
- One(1)set of technical specifications with the 90%Construction Documents
1.12 Final(100%)Construction Documents-AECOM shall prepare the final set of Construction
Documents, incorporating review comments from the 90 percent Client review meeting.
The documents will be suitable for bidding and construction of the design elements of the
project as detailed in this scope of services.
Deliverables—As a result of these tasks,AECOM shall produce the following:
- Five(5)sets of construction documents, 11x17 format
- One(1)copy of the final statement of probable cost
- One(1)set of technical specifications
Contingency—AECOM has identified a contingency budget for Additional Services to be authorized
by the Client on a time and materials basis with written authorization from the Client to proceed.
Additional Services—AECOM will provide Additional Services as mutually agreed between AECOM
and the Client. An equitable adjustment to AECOM's compensation and time for performance will
be made through an amendment to this Agreement for any Additional Services. Additional
Services may include, but are not limited to,the following.

• Pre-construction services such as preparing permit documents required for the approval
of governmental authorities, permitting assistance, requests for additional information
responses, permitting agency meetings and coordination;
• Bidding assistance such as pre-bid meeting, responding to bidder request for information,
and issuing addenda, and
• Construction phase services such as attending pre-construction and construction
meetings, review of product submittals and shop drawings submittals, preparing
responses to RFI's, preparing field sketches or modification documents, evaluating
substitutions, review of materials and on-site mock-ups,site visits to observe
construction and site visit reports,and project completion site visits to establish
substantial an final completion.
Additional Provisions
AECOM is entitled to rely upon the accuracy of historical and existing data and information
provided by Client and others without independent review and verification. AECOM is not
responsible for the means, methods, sequences, techniques or procedures of Client and
Contractor operations or for safety precautions and programs.
Documents, drawings, specifications, and electronic information/data, including computer aided
drafting and design (AutoCAD), prepared by AECOM pursuant to this agreement are not intended or
represented to be suitable for reuse by Client or others on extensions of the Project or on any other
project.
Any use of completed documents for other projects and any use of incomplete documents without
specific written authorization from AECOM will be at Client's sole risk and without liability to
AECOM. Client assumes full responsibility for such changes unless Client has given AECOM prior
notice and has received from AECOM written consent for such changes.
Electronic data delivered to Client is for Client's convenience and shall not include the professional
stamp or signature of an engineer or architect. Client agrees that AECOM shall not be liable for
claims, liabilities or losses arising out of, or connected with the decline of accuracy or readability
of electronic data to inappropriate storage conditions or duration.
PROJECT SCHEDULE
AECOM is prepared to begin work on the project immediately upon receipt of this executed Letter
of Agreement. The Project schedule will be reviewed and confirmed at the Project Kick-off
Meeting. AECOM, in consultation with the Client, shall perform its work in such a manner as to
comply with a proposed schedule as mutually agreed upon with Client. A draft schedule is
attached to this Agreement(see Exhibit A.2).
ASSIGNED PERSONNEL
The following personnel from AECOM will be assigned to this project, and will have the
responsibilities described:

The Basic Services in the scope of work(Exhibit A)will be provided for a lump sum fee of Fifty-five
Thousand Dollars($55,000) including direct expenses.

Contingency $10,000
Total=$55,000
The fee for any Additional Services approved by the Client shall be as detailed in a separate
authorization for those services.
