2014-047 AGREEMENT FOR
FUEL PRODUCTS (GASOLINE, DIESEL, KEROSENE, BIO-DIESEL)
THIS AGREEMENT, made and entered into this day of 2014,
A.D.,,by and:between the City of Clermont 685 West Montrose Street, Clermont, Florida
(hereinafter referred to as "CITY"), and PORT CONSOLIDATED, INC. 5007 Denver
St., Tampa, FL 33619 (hereinafter referred to as "SUPPLIER").
(WHEREAS, the Lake County B.C.C. through the public procurement process awarded
Contract No.: 14-0618 based on ITB 14-0618 for Fuel Products (Gasoline, Diesel,
Kerosene, Bio-Diesel);
WHEREAS, based on SUPPLIER's response to ITB 14-0618, the SUPPLIER has been
selected as an approved supplier of bulk fuel, gasoline and diesel by the Lake County
B.C.C. and has agreed to provide said services for the rates set forth in Contract No.: 14-
0618;
WHEREAS, CITY desires to utilize the above-referenced contract in accordance with
CITY's procurement policy; and
WHEREAS, SUPPLIER desires to enter into a contract with CITY based on the terms
and conditions of Lake County Contract No.: 14-0618.
WITNESSETH: That the parties hereto, for the consideration hereinafter set forth,
mutually agree as follows:
ARTICLE I - SCOPE OF WORK
The SUPPLIER shall furnish fuel products such as gasoline, diesel, kerosene and bio-
diesel as described in Lake County B.C.C. Contract No.: 14-0618, which is attached
hereto and incorporated herein as Exhibit "A" and shall do everything required by this
Agreement and the other Agreement Documents contained in the specifications, which
are a part of these Documents. Provided, however, that nothing herein shall require
CITY to purchase or acquire any items or services from SUPPLIER. To the extent of a
conflict between this Agreement and Exhibit "A", the terms and conditions of this
Agreement shall prevail and govern. In all instances the CITY purchasing policy,
resolutions and ordinances shall apply.
ARTICLE II - THE CONTRACT SUM
CITY shall pay SUPPLIER, for the faithful performance of the Agreement as set forth in
the Agreement documents and the Unit Price Schedule as set forth in Exhibit `B',
attached hereto and incorporated herein.
ARTICLE III—TERM AND TERMINATION
1. This Agreement is to become effective upon execution by both parties, and

shall remain in effect until May 31, 2015, unless terminated or renewed as
provided for herein.
2. Notwithstanding any other provision of this Agreement, CITY may, upon
written notice to,SUPPLIER, terminate this Agreement if: a) without cause
and for convenience upon thirty (30) days written notice to SUPPLIER b)
SUPPLIER is adjudged to be bankrupt; c) `SUPPLIER makes a general
assignment for the benefit of its creditors; d) SUPPLIER fails to comply with
any of the conditions of provisions of this Agreement; or e) SUPPLIER is
experiencing a labor dispute, which threatens to have a substantial, adverse
impact upon performance of this Agreement, without prejudice to any other
right or remedy CITY may have under this Agreement. In the event of such
termination, CITY shall be liable only for the payment of all unpaid charges,
determined in accordance with the provisions of this Agreement, for work,
properly performed and accepted prior to the effective date of termination.
3. Upon mutual agreement of the parties, this Agreement may be renewed for
four(4) additional one (1) year terms.
ARTICLE IV - COMMENCEMENT AND COMPLETION OF WORK
The SUPPLIER shall provide all items in the timeframe as set forth in the applicable
purchase order or notice to proceed.
ARTICLE V - PAYMENTS
In accordance with the provisions fully set forth in the General Conditions, SUPPLIER
shall submit a payment request by the third (3rd) day of each calendar month for items
provided during the, preceding calendar month. CITY shall make payment to the
SUPPLIER, within thirty(30)-calendar days, on the basis of a duly certified and approved
payment invoice by the CITY for services provided and'accepted by the CITY.
ARTICLE VI+—DISPUTE RESOLUTION - MEDIATION
1. Any claim, dispute or other matter in question ansing out of or related to this
Agreement shall be subject to mediation as a condition precedent to voluntary
arbitration or the institution of legal or equitable proceedings by either party.
2. The CITY and SUPPLIER shall endeavor to resolve claims, disputes and other
matters in question between them by mediation.
3. The parties shall share the mediator's fee and any filing fees equally. The
mediation shall be held in Clermont, Lake County, Flonda, unless another
location is mutually agreed upon. Agreements reached in mediation shall be
enforceable as settlement agreements in any court having jurisdiction thereof.

ARTICLE VII—INSURANCE AND INDEMNIFICATION RIDER
1. Worker's Compensation Insurance - The SUPPLIER shall take out and
maintain dunng the life of this Agreement Worker's Compensation Insurance for all his
employees connected with the work of this Project and, in case any work is sublet, the
SUPPLIER shall require the subSUPPLIER similarly to provide Worker's Compensation
Insurance for all of the latter's employees unless such employees are covered by the
protection afforded by the SUPPLIER. Such insurance shall comply with the Florida
Worker's Compensation Law. In case any class of employees engaged in hazardous work
under this Agreement at the site of the Project is not protected under the Worker's
Compensation statute, the SUPPLIER shall provide adequate insurance, satisfactory to
the CITY, for the protection of employees not otherwise protected.
2. SUPPLIER's Public Liability and Property Damage Insurance - The
Contactor shall take out and maintain during the life of this Agreement Comprehensive
General Liability and Comprehensive Automobile Liability Insurance as shall protect it
from claims for damage for personal injury, including accidental death, as well as claims
for property damages which may arise from operating under this Agreement whether
such operations are by itself or by anyone directly or indirectly employed by it, and the
amount of such insurance shall be minimum limits as follows:
(a) SUPPLIER's Comprehensive General, $1,000,000 Each

(b) Automobile Liability Coverages, $1,000,000 Each

Insurance clause for both BODILY INJURY AND PROPERTY
DAMAGE shall be amended to provide coverage on an occurrence basis.
3. SubSUPPLIER's Public Liability and Property Damage Insurance - The
SUPPLIER shall require each of his subSUPPLIERs to procure and maintain dunng the
life of this subcontract, insurance of the type specified above or insure the activities of his
subSUPPLIERs in his policy, as specified above.
4. Indemnification Rider
(a) To cover to the fullest extent permitted by law, the SUPPLIER shall
indemnify and hold harmless the CITY and its agents and employees
from and against all claims, damages, losses and expenses, including
but not limited to attorney's fees, arising out of or resulting from the
performance of the Work, provided that any such claim, damage, loss
or expense (1) is attributable to bodily injury, sickness, disease or

death, or to injury to or destruction of tangible property (other than the
Work itself) , and (2) is caused in whole or in part by any negligent act
or omission of the SUPPLIER, any subSUPPLIER, anyone directly or
indirectly employed by any of them or anyone for whose acts any of
them may be liable, regardless of whether or not it is caused in part by
a party indenmified hereunder. Such obligation shall not be construed
to negate, abridge, or otherwise reduce any other right to obligation of
indemnity which would otherwise exist as to any party or person
descnbed in this Article.
(b) In any and all claims against the CITY or any of its agents or
employees by any employee of the SUPPLIER, any subSUPPLIER,
anyone directly or indirectly employed by any of them or anyone for
whose acts any of them may be liable, the indemnification obligations
under this Paragraph shall not be limited in any way by any limitation
on the amount or type of damages, compensation or benefits payable
by or for the SUPPLIER or any subSUPPLIER under workers' or
workmen's compensation acts, disability benefit acts or other
employee benefit acts.
(c) The SUPPLIER hereby acknowledges receipt of ten dollars and other
good and valuable consideration from the CITY for the
indemnification provided herein.
ARTICLE VIII - NOTICES
All notices shall be in writing and sent by United States mail, certified or registered, with
return receipt requested and postage prepaid, or by nationally recognized overnight
courier service to the address of the party set forth below. Any such notice shall be
deemed given when received by the party to whom it is intended.

ARTICLE IX—MISCELLANEOUS
1. Attorneys' Fees. In the event a suit or action is instituted to enforce or interpret
any provision of,this agreement, the prevailing party shall be entitled to recover
such sum as the Court may adjudge reasonable as attorneys' fees at trial or on any
appeal, in addition to all other sums provided by law.
2. Waiver. The waiver by city of breach of any provision of this agreement shall not
be construed or operate as a waiver of any subsequent breach of such provision or
of such provision itself and shall in no way affect the enforcement of any other
provisions of this agreement.
3. Severability. If any provision of this agreement or the application thereof to any
person or circumstance is to any extent invalid or unenforceable, such provision,
or part thereof, shall be deleted or modified in such a manner as to make the
agreement valid and enforceable under applicable law, the remainder of this
agreement and the application of such a provision to other persons or
circumstances shall be unaffected, and this agreement shall be valid and
enforceable to the fullest extent permitted by applicable law.
4. Amendment. Except for as otherwise provided herein, this agreement may not be
modified or amended except by an agreement in writing signed by both parties.
5. Entire Agreement. This agreement including the documents incorporated by
reference contains the entire understanding of the parties hereto and supersedes all
prior and contemporaneous.agreements between the parties with respect to the
performance of services by SUPPLIER.
6. Assignment. This agreement is personal to the parties hereto and may not be
assigned by SUPPLIER, in whole or in part, without the prior wntten consent of
city.
7. Venue. The parties agree that the sole and exclusive venue for any cause of
action arising out of this agreement shall be Lake County, Florida.
8. Applicable Law. This agreement and any amendments hereto are executed and
delivered in the State of Florida and shalt be governed, interpreted, construed and
enforced in accordance with the laws of the State of Florida.
9. Records. SUPPLIER expressly understands and acknowledges that any and all
documents related to the services provided herein, may be considered records that
are subject to examination and production in accordance with Florida's Public
Records Law. SUPPLIER expressly agrees that it will comply with all
requirements related to said law and that it will hold CITY harmless, including

attorney fees and litigation costs, for any such disclosure related to Flonda's
Public Records Law.
ARTICLE X - AGREEMENT DOCUMENTS
The Agreement Documents, as listed below are herein made fully a part of this
Agreement as if herein repeated.

No answers given in response to questions submitted shall be binding upon this solicitation
unless released in writing as an addendum to the solicitation by the Lake County Office of
Procurement Services.
Section 1.3: Method of Award
As the best interests of the County may require, the County reserves the right to make
awards) on a lowest price basis by individual item, group of items, all oi none, or a
combination thereof; with one or more suppliers; to reject any and all bids; or waive any
minor irregularity or technicality in bids received.
The successful bidder(s)shall be notifiied by the Lake County()lac of Procurement Sciv ccs.
Award will be based on the total cost per gallon rack/pipeline micas as of I•ehruary 21, 201,1*
including the markups I or-, check of references, compliance of contract terms,conditions and
specifications; and completion of a capability stuvey. The County reserves the right to perform
a complete facilities and capability survey of each bidder prior to award and utilize the results to
determine if the blddel has the capability to sueecssfully perform under contract. This survey
may also consider the bidder's eopability to supply fuel in emergency situations based on the
input provided by bidders in this regard as part of their initial hid response(see additional detail
in this regard at Section L10.1 of this document). The County also reserves the right to waive
this survey for any bidder who has performed in a satisfactory manner under the current and/or
previous take County contract.

Bidders should notify the entity's location representative of any condition(s) or situation(s)
deemed unsafe for the delivery of goods discovered during site visits. Entity contacts ate listed

Section 1.5: Term of Contract
'l his contract shall comnienee on the first calendar day of the month SuCCcciling approval of the
contract by the l3oard of County Commissioners. or designee, unless otherwise stipulated in the
Notice of Award Leiter distributed by the County's Office of l'roeurettient Service; and is
contingent upon the completion and submittal of all required pre award documents. The initial
contract term shall remain in effect foi twelve (12) months, and then the contract will remain in
.:fleet until completion of the expressed and%or implied warranty period. l'hc contract prices
resultant from this solicitation shall prevail for the full duration of the initial contract term unless
otherwise indicated elsewhere in this document.
Section 1.6: Option to Renew
fhc County shall have the option to ici ew this contract for an additional four (4) one (1) year
period(s). The County may consider an adjustment to the then current"l landling/Transportafinn
]'ee Mark-up" and "Vendor Administrative Mark-up" pi ice expressed in the conliact based on
changes as published by the tl.S. Department of Labor. Bureau of Labor Statistics
(http:P/www.bls.gov), CPI-U, U5 City average, all items (1982-54)- 100. It is the vendor's
responsibility to request in writing and pricing ad'ustmenl under this rovision. The
vendor's written request should he submitted thirty (30) calendar days prior to expiration of the
then current contract term. The vendor's request for adjustment must include documentation that
clearly substantiates the requested increase. The written request for adjustment should not he in
excess of the relevant pricing index change, and except under the most exceptional
circumstances. not in excess of 3%. If no adjustment request is received from the vendor. the
County will assume that the vendor has agreed that the optional term may be exercised without
pricing adjustment. An) adjustment requetit icccived after the commencement of a new option
period shall not be considered.
]'he County reserves the right to reject any written pi ice adjustments submitted by the vendor
and/or to not exercise any otherwise available option period based on such price adjustments.
Continuation of the conuaact beyond the initial period, and any option subsequently exercised, is
a County prerogative, and not a right of the vendor_ l his prerogative will be exercised only
when such continuation is clearly in the bust interest of the County.

Section 1.6.1: Price Redetermination— Fuel Expended in Support of Product Delivery
In Lhc event of a major increase (10%or more within a duce month period) in the cost of fuel to
be expended in the completion of delivery services, an appropriate adjustment to the vendor's
.`Handling/'transportation Fee Mark-up- may be considered h)' the County. Any such request
must be initiated by the vendor and must include clear and compelling evidence supportive attic
need ibr adjustment and the amount of the adjustment being requested
Phe County retains the option to seek a similar adjustment in a similar manner in the event of a
major decrease (1 0%cm more within a three month period) in the cost of fuel to be expended in
the completion of delivery services,
Section 1.7: Method of Payment
Invoices shall be submitted to the appropriate County Department or POOL Entity after each
individual purchase has been wmp]etecl• In addition to the general invoice requirements set
forth below, the invoices shall reCererice,as applicable, the corresponding delivery ticket number,
packing slip number, or other acceptance document that was signed by an authoriccd
representative of the County user department at the time the items were delivered and accepted
Submittal of these periodic invoices shall not exceed thirty (30) calendar days from the delivery

additional facilities. If these quotes are deteimined to be fair and reasonable,then the additional
work will he awarded to the current contract Vendor(s)that offers the lowest acceptable pricing.
The additional site(s) shall be added to this'contraul by formal modification.
The County may obtain pike quotes for the additional facilities from other Vendors in the event
that fair and reasonable pricing is not obtained from the content contract Vendors, or for other
reasons at the County's discretion.
Section 11.116: Compliance with Federal Standards
All items to be purchased under this contract shall be in accordance with all goveinmental
standards, to include, but not be limited to, those issued by the Occupational Safety and Health
Administration (OSJ I A), the National Institute of Occupational Safety l lazards (NIOSH), and
the National Fire Protection Association (NhPA).
Section 1.17; Deletion of Facilities
Although this solicitation identities specific facilities to be serviced, it is hereby agreed and
understood that any County Department ci POOL Entity may delete service for any tacility(ies)
when such service is no longer required during the contract period, upon fourteen (14) calendar
days written notice to the Vendor.

Section 1.18: Labor,Materials,and Equipment Shall be Supplied by the Vendor
Unless otherwise stated in this solicitation the Vendor shall furnish all labor, material and
equipment necessary for satisfactory contract performance. When not specifically identified in
the technical specifications, such materials and equipment shall be of a suitable type and grade
for the purpose. All material, workmanship,and equipment shall be subject to the inspection and
approval of the County's Project Manager.
Section 1.19: Licenses, Permits and Fees
1'he Vendor shall obtain and pay for all licenses, permits and inspection fees required for this
pmjeet; and shall comply with all laws, ordinances, iegulations and building code requirements
applicable to the work enntemplaicd herein. Damages, penalties and/or fines imposed on the
County or the Vendor for failure to obtain required licenses, permits, inspection tees, or
inspections shall'bc borne by the Vendor.

The Vendor shall maintain an office within Central Florida, defined as within the geographic
boundaries of Lake, Osceola. Orange, Seminole, Volusia. Marion, Polk, or Sumter counties. J'his
office shall be staffed by a competent company reple'entative who can he contacted during
normal working hours and who is autholiLctl to discuss mailers pertaining to the contract.
Section 1.21; Omission from the Specifications
The apparent silence of this specification and any addendum regarding any details or the
omission from the specification of a detailed desciiplion concerning any point shall be regarded
as meaning that only the best commercial practices are to prevail, and that only materials and
workmanship of lust quality arc to be used. All interpretations of this specification shall be
made upon the basis of this agieemeiit.
Section 1.22: Protection of E'rnperty
All e?tistircg structures, utilities, services, roads, trees, shrubbery, and property in which the
County/P001, Entities have au interest shall be protected against damage or interrupted services
at all times by the Vendor during the term of this contract; and the Vendor shall be held
1Csponsible for repairing or replacing property (to the satisfaction of the County/Pia{ll, Entity)
which is damaged by reason of the Vendor's operation on the property. In the event the Vendor
rails to comply with these requirements, the County/l'OOOL Entity reserves the right to secure the
required services and charge the costs ol'such services back to the Vendor.
I he Vendor(s) shall be responsible for the removal of all surplus material and debris i:cull1ng

damage to public and private propeily during the course of the contract. Should damage occur,

Protection Agency and the State of Flo]ida Department of Environmental Protection

d. The County and participating agencies reserves the right to deny delivery vehicles
leaking fuel or other hazardous materials access to government property 'rhe
Vendor will be notified of denied access and shall make delivery within one
working day of notification time with a Florida Department of Transportation
approved vehicle
e. The Vendor shall submit with its bid a copy of its Fuel Prevention Plan and
Procedures in the event of an accidental spill.
Section 1.23: Risk of Loss
The Vendor assumes the risk of loss of damage to the County's/PO(H. 1-.nlily's property during
possession oftiuch property by the Vendor, and until dcliscry to,and acceplanee of,that property
to the County. The Vendor shall imttlediately iepan. replace or make good on the loss or
damage without cost to the County. whether the loss oi damage results from acts or omissions
(negligent oi nut)of the Vendor or a third party
The Vendor shall indemnify and hold the Counly:TOOI• Entity harmless trom any and all
claims. liability, losses and causes of action which may arise out of the fulfillment of' this

Section 1.24: Stock Levels Shall be Maintained by Vendor
The Vendor(s) shall ensure that adequate stock levels arc maintained at its place of business in

the solicitation are not tulfilled by the Vendor, the County/POO! Entity reserves the right to

Section 1.25: Substitution of Items During Term of Contract
Substitute brands may be considered during the contract period for discontinued brands. The
Vendor shall not deliver any substitute item as a replacement to an awarded brand without
express written consent of the Lake County Office of Procurement Services prior to such
delivery. Substitute'items must be of equal or better quality than the awarded item. Substitutes
shall be considered only when necessary. Pxcessiwe tiubstilulion requests may be cause to cancel
the contract.
Section 1.26: Suppliers of Materials/Products Shall he Identified
If the Vendor shall he utilising a third party disiributoi or manufacturer as the source of supply
foi obtaining and del ing products and/or matciia]s required in conjunction with this
solicitation, the Vendor shall be required to supply a copy ot its contractual agreement with the
supplies in its initial hid. I he information contained in this contractual agicement shall include,
but not be limited to shipping and delivery terms, packaging requirements, and product
specification sheets that attest to the quality of the product. if the Vendor fails to submit this
information with itslnitial offer. the Vendor may be allowed to submit this docurmentatinn to the
County dining the offer evaluation period if such action is in the hest interest of the County.
Section 1,27: Toxic Substances/Federal "Right'1 n Know" Regulations
The Federal "Right to Know+" Regulation implemented by the Occupational Safety and Health
Adntinistration (OSHA) and the Florida "Right-to-Know" T,aw requires employers to inform
their employees of any toxic substances to which they may be exposed in the workplace, and to

Service, which is the world's most widely accepted -fuel price benchmark fin supply contracts
nod competitive positioning. This Contract shall use the daily rackipipeline_averages as
established by the(WIS.
"Fuel" shall mean any Fuel product obtained through this Contract. I uel pi°duet shall include
all glades ot unleaded gasoline. diesel fuel, kerosene, liquid propane gas and Biodiesel to be
delivered.

"Ivlarkup" shall mean the Vendor's price to cover all casts associated with providing fuel.
Markup will mean both positive and negative numbers Markups may differ based on where the
fuel is obtained according to the fuel terminals and actual type of fuel ordered. Markup for fuel
shall be on a price per gallon basis. The Vendor shall assess no other fees associated with the
delivery of Fuel except as more particularly detailed in the pricing section.
"Tank Wagon Delivery," shall mean a delivery by a Lank wagon truck with a delivery of
approximately 500,gallons or,less (Ito minimum charges to be added it ordering less than 500
gallons) up to 4,440 gallons_
"Transport I)elivery' shall mean a deliver} by a transport truck with .i minimum delivery of
4,441 gallons up to 8.000 gallons.
Section L29: Administrative Reports
Consistent with the administrative needs of the County, certain relevant data regarding purchases
of goods and/0r services under County contracts is to be gathelcd and maintained Accordingly,

Section 1.32: Bidder Qualifications
Bidders shall, upon request, furnish satisfactory evidence of their ability to Furnish products
andlor services in accoiclance with the terms and conditions of this specification. The County
reserves the right to make the final determination as to the bidder's ability qualification.
A bid received from a company IN ith documented unsatisttictory performance or unresolved
problems in the County may not he considered for award.
Section 1.33, Certificates of Calibration
All Vendois' equipment is to he within the State of Florida calibration guidelines. The entities
may also require a copy of a State certificate of calibration. Each entity also reserves the right to
randomly check the Vendor's calibration during the contract period.
Please submit a copy of your State of Florida Calibration Ceitificate with your hid submittal.
Section 1.34: County and Entities Tanks
AU Entities' tanks shall be properly equipped to enable Vendor to safely deliver fuel. The
Vendor shall notify Entities of all situations that may he deemed unsafe before contract begins
(See Scetion 1.1). A Vendor may refuse,to deliver fuel man unsafe fuel site if an Entity dues not
collect pie-contract unsafe conditions andior post-contract safety issues until the safety issue is
resolved. A back haul charge may apply if' Vendor attempts to deliver tuel and the fuel site is
deemed unsate after pre award notification. The Pntities shall be responsible for having proper
equipment installed. All Entities shall work with the Vendor making a delivery to assure that the
Vendor has proper accessibility to all tanks being fueled-
If deemed necessary, the vendor may be requested m provide new tank,. (maximum size would
be five hundred (500) gallon capacity) for un-site installation. The 1:ntity requesting the new tank
would be responsible for obtaining installation services. Vendors may submit pricing for tanks
in Section 4, Pricing Section, Item 15. There is no guaranteed minimum or maximum quantity
for this item.Pquest for new tank(s) would be strictly on an if-needed basis.
Section 1.35: Emergency Manning
Since the County, School Board, and other entities have been designated as a "'first responder"
during a disaster, each bidder shall include a clear and concise capability plan and process as
described in Section 1 10.1 of this solicitation with their hid Submittal regarding fuel deliveries
preceding an emergency such as a hurricane, and itnniediatel) following, provided that rack
facilities remain operational. Transport delivery bidders shall include a policy statement
regarding the limited basis availability of transport trailers to be filled and left at protected
County facilities to serve as emergency titel supplies. The daily cost, if any_ associated with this
service should be included in pour bid response.
Section 1.36: Exceptions/Additions
It shall he unacceptable RN any bidder to make the statement "see specifications" in lieu of
listing all exceptions/additions from the preceding specifications. It shall also be unacceptable

Section 1.37: Federal Taxes
It is the Counties and Cities preference to purchase all fuel against any contrite( derived from this
bid request free of the Federal excise tax of 18.4 cents per gallon foi gasoline and 24.4 cents per
gallon for diesel and any adjustments of thosc taxes by the federal government.
Any questions iegartling applicable Fuel taxes may be directed to the Department of Revenue at
(850) 922-0712.
Section 1.38: Fuel Vapor Control
Delivery 'trucks shall at all times comply with the curlent State of Florida and Federal regulations
pertaining to fuel vapor control.
Seetioxt 1.39: Keep Full Programs
Agencies/departments may acquire n "Keep Full Program" due to locations or sensitivity.
Awarded Vendors shall work with these agencies/departments immediately after contract award
to set up working schedules for all parties.
Section 1.40: Method of Measurement
Fuel quantity shall he measured with a metered delivery truck certified approved by the Florida
Department of Agriculture. Transport vehicles shall reset meters to "0" before pumping at any
County or P.0.0.1,entity fuel site.
Section 1.41: Product Qualities
Fuels supplied under this contract shall be free from contamination.
Contamination is defined as any elcanent that enters pure refined gasoline or diesel fuel either
naturally or by purposefill action, which is not a product of refined crude oil with the exception
of ethanol,winter additives, detergents,and identifying dyes.
'Chu County and/or participating entities rascrves the light to test fuel(s) quality before, during,
and alter unloading. The Vendor shall pay for all cost associated with the testing. Should test
results show the fuel(s)contains contamination: the ftiel(s) will be rejected.
1'he Vendor shall be responsible for the removal of the lluel(s) from the property of the ordering
agency,/department within twenty four (24) hours after requested to do so should test results
show the iitel(s) contain contaminates at its own expense The Vendor shall also be responsible
with an■ cleanup to properly restore property. storage facilities. and equipment as a result of
noncompliance with specifications at its own expense• t•urthermore, the Vendor shall be fully
tespunsiblc for any and all costs incurred for any equipment sustaining damage, which is
