This Amendment One(1)to the Software Services Order(Effective Date of 9/22/2010) ("Agreement")is

made and entered into on this al'a r day of Ma uJ ,2014,("Amendment Effective Date")
by and between RFP Depot, LLC dba BidSync,a Utah Limited Liability Company,whose address is 629
East Quality Drive,Suite 1012,American Fork, UT 84003, hereinafter referred to as"BidSync",and the
City of Clermont, FL,whose address is 685 W. Montrose Street,Clermont, FL 34711, hereinafter
referred to as"Customer".
WHEREAS,Customer wishes to extend the Initial Term defined in the Agreement from five(5)years to
eight(8)years;and
WHEREAS, BidSync offers an online competitive solicitation,and associated services and Customer
wishes to continue to have such system and services provided as set out in Exhibit A(Scope of Services)
in the original Agreement.
NOW,THEREFORE, BidSync and Customer agree to extend the Initial Term to eight(8)years. All other
terms,conditions,covenants,and agreements remain as defined in the Agreement.
