2014-090 CHAMPIONS WAY DEVELOPMENT AGREEMENT By and Between SLV13, LLC a Florida limited liability company SOUTH LAKE HOSPITAL, INC. a Florida non-profit corporation and THE CITY OF CLERMONT a municipal corporation organized and existing under the laws of the State of Florida CHAMPIONS WAY DEVELOPMENT AGREEMENT This Champions Way Development Agreement ("Agreement") is dated October 14, 2014, and is between SLV13, LLC, a Florida limited liability company ("SLV"), South Lake Hospital, Inc., a Florida non-profit corporation ("South Lake") and the City of Clermont, a municipal corporation organized and existing under the laws of the State of Florida("City"). RECITALS 1. SLV owns a parcel of real property located within the City limits ("SLV Property"). A legal description of the SLV Property is attached hereto and made a part hereof as Exhibit"A". 2. South Lake owns a parcel of real property located within the City limits ("South Lake Property"), which is located to the east of the SLV Property. A legal descnption of the South Lake Property is attached hereto and made a part hereof as Exhibit`B". 3. City has received by dedication as public right-of-way, real property ("City Property") located between the SLV Property and the South Lake Property and contiguous to both properties. A legal description of the City Property is attached hereto and made a part hereof as Exhibit "C". City acquired the City Property for a future roadway to be named "Champions Way"to accommodate future development within the City limits. 4. SLV plans to develop the SLV Property as a high quality retail and commercial center, including a hotel. 5. South Lake plans to develop the South Lake Property in the future and construction of Champions Way is essential for the future development of the South Lake Property and will also provide additional access and benefits to South Lake's hospital campus located to the North of the subject properties. 6. SLV's plans for development of the SLV Property and South Lake's future development of the South Lake Property and increased access to South Lake's hospital campus and surrounding area have been deemed by SLV, South Lake and City to be of substantial economic benefit to the City and its citizens. 7. SLV, South Lake and City believe that it is in the best interests of all the parties to construct Champions Way on the City Property. The proper construction and use of Champions Way will require the contemporaneous construction of a turn lanes on State Road 50 ("SR 50") ("Turn Lanes") to provide access to Champions Way for vehicular traffic travelling both east and west on SR 50. 8. SLV, South Lake and City hereby acknowledge and warrant to one another that this Agreement and any future acts required hereby are binding and enforceable on SLV, South Lake and City in accordance with their terms. In consideration of the mutual benefits and the public interest and other good and valuable considerations, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: Section 1. Recitals. The above recitations and true and correct, are hereby incorporated herein and form a material part of this Agreement. Section 2. Authority. This Agreement is entered into under the authority of the Florida Constitution (including Article VIII, Section 2(b) thereof), the general power conferred upon municipalities by statute and otherwise (including Chapter 163 and 166, Florida Statutes) and the City's Charter. Section 3. Construction of Champions Way and Turn Lanes. 3.1 SLV shall enter into a contract for the construction of Champions Way and the Turn Lanes pursuant to the preliminary plans and sketches consisting of 10 pages dated July 2014, attached hereto and made a part hereof, as composite Exhibit"D"prepared by McCoy & Associates, and consistent with sound and reasonable engineering practices and compliant with City Code and the Florida Department of Transportation and the rules and regulations of any applicable governing body. The parties understand that there will be changes to these plans. Any changes to the above-described plans shall require approval of SLV, South Lake and the City. The following additional terms shall apply: a) The City shall be the applicant on all permits required for the construction of Champions Way and the Turn Lanes and shall execute all instruments and documents reasonably required to complete the construction of Champions Way and the Turn Lanes. b) SLV estimates that permits for Champions Way and the Turn Lanes shall be obtained by September 30, 2014 and that construction will commence by November 1, 2014. SLV commits that Champions Way and the Turn Lanes will be completed by July 1, 2015. c) SLV agrees that completion and payment of Champions Way and the Turn Lanes shall be a condition precedent to obtaining certificates of occupancy for any part of the SLV Property. d) When completed, the improvements to Champions Way, upon acceptance by the City shall belong to the City and the Turning Lanes shall belong to the Florida Department of Transportation. 3.2 SLV shall obtain a minimum of three bids from qualified contractors, which bids shall include payment and performance bonds and public liability, workers compensation and commercial insurance coverage satisfactory to the parties hereto. All bonds and insurance shall include the City and South Lake as additional obligees or insureds. Copies of the bids shall be provided to South Lake. The lowest bid from a responsible bidder shall be awarded the contract for construction of Champions Way and the Turn Lanes. The solicitation of bids shall be conducted by SLV and the decision to award the contract shall be decided by mutual agreement of SLV and SLH. 3.3 SLV shall manage, and oversee the construction process, including but not limited to paying all costs of construction (the "Costs"), as defined below, shall be prorated between the parties hereto in the following manner: a) Champions Way. Each party hereto shall pay one third (1/3) of the Costs. b) Decel Turn Lane for West Bound SR 50 Vehicular Traffic. City and South Lake shall each pay one half(1/2) for the Costs. c) Left Turn Lane for East Bound SR 50 Vehicular Traffic. Each party hereto shall pay one third (1/3)of the Costs. (d) The City's share of the Costs shall not exceed $200,000.00, and South Lake's share of the Costs shall not exceed $200,000.00. 3.4 Costs shall mean all costs, charges, and expenses related to the construction of Champions Way and the Turn Lanes, and as more particularly described in SLV's engineer's construction estimate, attached hereto and incorporated herein, as Exhibit"E". 3.5 Payments of Costs. SLV shall submit, no more frequently then one time per month, a request for payment to City and South Lake. Each request shall specify separately for City and South Lake, the prorated contribution amount requested based on the applicable portion of the project as set forth in 3.3 above. The request shall include a certification by the project engineer that the request is in accordance with this agreement and the construction estimate and is for work completed in accordance with the approved plans for the project. Within fifteen (15) days of request from SLV, unless objected to in writing, each party shall deliver to SLV partial payments based upon approved draw requests from the contractor. 3.6 SLV shall be responsible for payment of the Costs from its own funds and from payments received from the parties hereto in the proportions as provided in this Agreement and subject to the prorated contribution shares and maximums applicable to the City and South Lake. SLV hereby agrees to indemnify City and South Lake from and against any claims or damages for failure to pay Costs from payments timely received from City and South Lake and for all damages, losses, claims and liabilities related to the construction, including personal injuries and death. Neither the City nor South Lake waives their respective rights of sovereign immunity under Florida law. Section 4. Dispute Resolution. Should the parties disagree with the calculation or allocation of the Costs, the parties shall make all good faith efforts to resolve same in a reasonable manner. Prior to, and as a condition precedent to the commencement of any lawsuit or administrative proceeding to resolve any disputes arising out of this Agreement the parties agree that the dispute first shall be summited to non-binding mediation for a minimum of four hours before a business mediation organization approved by the parties. Such mediation shall be held at the CITY's offices at the address set forth in this Agreement. The parties shall bear the costs of the mediation equally. Section 5. Assignment. The parties recognize and acknowledge that SLV may engage one or more companies or individuals other than SLV, to effect the construction of Champions Way and the Turn Lanes. Section 6. Entire Agreement. This Agreement sets forth all of the promises, covenants, agreements, conditions and understandings between the parties hereto, and supersedes all prior and contemporaneous agreements, understandings, inducements or conditions, express or implied, oral or written, except as herein contained. Section 7. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original,but all of which shall together constitute one and the same instrument. Section 8. Governing Law. This agreement and the provisions contained herein shall be construed, controlled, and interpreted according to the laws of the State of Florida, and all duly adopted ordinances in effect and those hereinafter adopted. The location for settlement of any and all claims, controversies, or disputes, arising out of or relating to any part of this Agreement or any breach hereof, shall be Lake County, Florida. The prevailing party in any dispute shall recover its costs, including reasonable attorneys' fees, from the losing party. Section 9. Term. This Agreement shall be effective upon the date first set forth above ("Effective Date"). This Agreement shall remain in effect until completion of the construction of Champions Way and the Turn Lanes and full payment by the parties of their respective share of the Costs for such work, unless extended by mutual consent of all parties hereto. Section 10. Binding Effect. This Agreement shall be binding upon and enforceable by and against the parties hereto and their heirs, successors and assigns. Section 11. Notice. The parties shall use reasonable diligence to ultimately provide the improvements described herein, but shall not be liable to any other, or their successors or assigns, for damages, costs, attorney's fees (including costs and attorney's fees on appeal) for breach of contract, or otherwise for failure, suspension, diminution, or other variations of services occasioned by any cause beyond the control and without the fault of the parties. Such causes may include, but shall not be limited to, Acts of God, or public enemy, acts of other government (including regulatory entities or court) in its sovereign or prior contractual capacity, fires, floods, epidemics, quarantines, restrictions, strikes, or failure or breakdown of transmission or other facilities. The finished grade and slope of the inlet tops are to conform with the finished crass slope and grade of the proposed sidewalk and /or parkway. 2. When inlets are to be constructed on o curve refer to the plans to determine the radius and, where necessary, modify the inlet details accordingly. Bend steel when necessary. S. All reinforcing steel shall have t„ minimum cover unless otherwise shown. Inlet taps shall be either cast- in-place or precast concrete. 4. Precasting of this inlet top will be permitted. Precast units shall conform to the dimensions shown or in accordance with approved shop drawings. Request for shop drawing approval shall be directed to the State Drainage Engineer. 5. Concrete meeting the requirements of A.S.T.M. THE DETAIL PROVIDED IS TO BE USED FOR FILLING ANY NEW WATER MAIN OF ANY SIZE FROM EXISTING ACTIVE WATER MAINS AND FOR FLUSHING OF NEW MAINS UP TO 8" DIAMETER (2.5 FPS MINIMUM VELOCITY) AND FOR TAKING BACTERIOLOGICAL SAMPLES FROM ANY NEW WATER MAIN OF ANY SIZE. THE JUMPER CONNECTION SHALL BE MAINTAINED UNTIL AFTER FILLING, FLUSHING, TESTING AND DISINFECTING OF THE NEW MAIN HAS BEEN SUCCESSFULLY COMPLETED AND CLEARANCE FOR USE HAS BEEN OBTAINED FROM THE FLORIDA DEPARTMENT OF ENVIRONMENTAL PROTECTION (FREE) AND OTHER PERTINENT AGENCIES HAS BEEN RECEIVED BY THE CITY OF CLERMONT. THIS JUMPER CONNECTION SHALL ALSO BE USED TO MAINTAIN A MINIMUM LEVEL OF DISINFECTION AND UNTIL THE FDEP CLEARANCE LETTER IS OBTAINED AND THE LINES ARE PLACED INTO SERVICE. ADEQUATE RESTRAINTS SHALL BE PROVIDED TEMPORARILY, AS REQUIRED. PIPE AND FITTINGS USED FOR CONNECTING THE NEW PIPE TO THE EXISTING PIPE SHALL BE DISINFECTED PRIOR TO INSTALLATION IN ACCORDANCE WITH AWWA C651, 1992 EDITION. THE TAPPING SLEEVE AND THE EXTERIOR OF THE MAIN TO BE TAPPED SHALL BE DISINFECTED BY SPRAYING OR SWABBING PER SECTION II OF AWWA C651 -92. FLUSHING OF ALL WATER MAINS SAHLL BE DONE THROUGH THE TIE -IN VALVE UNDER CONTROLLED CONDITIONS BY THE CITY ONLY. FULL BORE FLUSH IS REQUIRED. THE FOLLOWING PROCEEDURES SHALL BE FOLLOWED: A. THE TIE -IN VALVES SHALL BE OPERATED ONLY BY THE CITY AND PRESSURE TESTED IN THE PRESENCE OF THE CITY AND ENGINEER TO VERIFY WATER TIGHTNESS PRIOR TO TIE -IN. VALVES WHICH ARE NOT WATERTIGHT SHALL BE REPLACED OR A NEW VALVE INSTALLED IMMEDIATELY ADJACENT TO THE LEAKING VALVE. B. THE TEMPORARY JUMPER CONNECTION SHALL BE CONSTRUCTED AS DETAILED. THE JUMPER CONNECTION SHALL BE USED TO FILL THE NEW WATER MAIN, FOR PROVIDING WATER FOR BACTERIOLOGICAL SAMPLING OF THE NEW MAIN AS REQUIRED BY THE FDEP PERMIT AND FOR MAINTAINING CHLORINE RESIDUALS IN THE MAINS. 1. FLUSHING SHALL NOT BE ATTEMPTED DURING PEAK DEMAND HOURS OF THE EXISTING WATER MAIN. 2. ALL DOWNSTREAM VALVES IN THE NEW SYSTEM MUST BE OPEN PRIOR TO THE CITY OPENING THE TIE -IN VALVE. 3. PROVIDE FOR AND MONITOR THE PRESSURE AT THE TIE -IN POINT. THE PRESSURE IN THE EXISTING MAIN MUST NOT DROP BELOW 35 PSI. 4. TIE -IN VALVE SHALL BE OPENED BY THE CITY A FEW TURNS ONLY, ENSURING A PRESSURE DROP ACROSS THE VALVE IS ALWAYS GREATER THAN 10 PSI. C. THE TIE -IN VALVE SHALL BE LOCKED CLOSED BY THE CITY UNTIL THE FLUSHING BEGINS D. THE TIE -IN VALVE SHALL BE OPENED ONLY BY THE CITY FOR FLUSHING OF THE NEW MAIN. THE PROCEEDURE SHALL BE DONE BY THE CITY AND OBSERVED BY THE ENGINEER. E. AFTER FLUSHING, THE TIE -IN VALVE SHALL BE CLOSED AND LOCKED IN THE CLOSE POSITION BY THE CITY. THE CONTRACTOR SHALL PROVIDE DOCUMENTATION DEMONSTRATING THAT THE RPZ BACK FLOW PREVENTION DEVICE HAS BEEN TESTED WITHIN ONE YEAR AT THE TIME OF INSTALLATION, AND IS IN GOOD WORKING ORDER AT THE TIME OF INSTALLATION. THE TEST SHALL BE PERFORMED BY A CERTIFIED BACK FLOW PREVENTION TECHNICIAN AS APPROVED BY THE CITY OF CLERMONT CROSS- CONNECTION CONTROL PROGRAM, A CERTIFICATE IS REQUIRED BY THE CITY. EXCEPT AS REQUIRED TO FLUSH LINES TIE -IN VALVE SHALL REMAIN CLOSED AND SHALL BE LOCKED IN THE CLOSE POSITION BY THE CITY. THE TIE -IN VALVE SHALL REMAIN LOCKED CLOSED UNTIL THE NEW SYSTEM HAS BEEN CLEARED FOR USE BY FDEP AND ALL OTHER AGENCIES. UPON RECEIPT OF CLEARANCE FOR USE FROM FDEP AND ALL OTHER AGENCIES, THE CONTRACTOR SHALL REMOVE THE TEMPORARY JUMPER CONNECTION. SUCH FIRE HYDRANT OR FIRE PROTECTION APPLIANCE SHALL BE KEPT READILY VISIBLE AT ALL TIMES. 5. FIRE HYDRANTS SHALL NOT BE LOCATED CLOSER THAN THREE (3) FEET TO OR MORE THAN TWENTY (20) FEET FROM THE EDGE OF A STREET, DRIVE OR OTHER ACCESSWAY. THESE TAMPER SWITCHES SHALL BE CONNECTED TO THE BUILDING FIRE ALARM SYSTEM FOR ALL INDIVIDUAL BUILDINGS PROTECTED BY A FIRE SPRINKLER SYSTEM.
