2015-107 SECOND AMENDMENT TO AGREEMENT FOR
FIRE SPRINKLER/STANDPIPE INSPECTION SERVICES
THIS AMENDMENT is entered into as of this --7TH day of Q uige1z 2015
and is to that certain Agreement dated April 18, 2013, hereinafter "the Agreement", by and
between the CITY OF CLERMONT, FLORIDA, a municipal corporation under the laws of the
State of Florida whose address is: 685 W. Montrose Street,Clermont,Florida,hereinafter referred
to as "CITY" and LIFELINE FIRE PROTECTION, INC., 1128 Calloway Circle, Clermont, FL
34711 hereinafter referred to as "CONTRACTOR". The parties, in exchange for the mutual
covenants contained herein and in the Agreement, agree as follows:
1. This Amendment expressly modifies the Agreement and in the event of a
conflict, the terms and conditions of this Amendment shall prevail.
2. The Scope of Services and Compensation Schedule referred to and
incorporated into the Agreement is hereby amended to include the addition of Lake Hiawatha lA
and 1B restroom facilities for the Public Works Department as more particularly described in
Attachment"A"attached hereto and incorporated herein.
3. All other terms and conditions set forth in the Agreement shall remain in
full force and effect and unchanged as agreed to by the parties.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of the dates set
forth below.

prompt consideration Full and final responsibility for the condition and operation of the sprinkler system and/or fire alarm and detection system

2 This Agreement does not include 1)maintenance,repairs,replacement of parts or field adjustments,2)daily,weekly or monthly inspection
requirements per NFPA#20,25&72 3)microbiologically induced corrosion inspection,4)obstruction investigation or prevention,5)fire pump maintenance,
6)testing of fire hoses,7)three&five year inspection and/or test,8)freeze plug inspection,9)internal pipe inspection,removal/testing of automatic fire
alarms or spnnklers
3 Lifeline Fire Protection,Inc,will need access to the premises at reasonable times to perform the inspections
4 Lifeline Fire Protection,Inc,has no knowledge to determine whether the existing fire protection system(s)were originally designed and installed in such
a way that the system will perform as originally intended or is suitable for its intended purpose given the way in which the property has been or will be used
5 Lifeline Fire Protection,Inc will inspect a representative number of the sprinkler heads,pipes,hangers,valves and Fire Alarm
Control Panels and other devices and equipment in their current position
6 In the event that the Owner/Subscnber elects to have the fire alarm and detection system tested,it is understood that a random sampling of detectors
will be tested dunng each visit so that the entire system will have been tested at the end of each contract year Pnor to any test,all persons,who would
automatically receive an alarm,shall be notified,so that an unnecessary response shall not take place Schematics and/or winng diagrams are to be
provided by the Owner/Subscriber
7 While Lifeline Fire Protection,Inc will make every reasonable effort to prevent the discharge of water into or onto areas of landscaping,decorative
pavement,etc,Owner/Subscriber will provide sufficient and readily accessible means to accept the full flow of water that may be required by tests as
determined by the type of inspection and accepts all liability
8 LIMITATION OF LIABILITY Owner/Subscnber understands and agrees that if any loss or damage is alleged against Lifeline Fire Protection,Inc
regardless of cause,including but not limited to, Lifeline Fire Protection,Inc own negligence,failure to perform any of the obligations herein,or the
failure of the services or equipment in any respect whatsoever,related to the services provided herein,Lifeline Fire Protection,Inc,LIABILITY SHALL BE
LIMITED TO ONE THOUSAND TWO HUNDRED FIFTY DOLLARS($1,250 00),inclusive of all damages,including but not limited to actual damages,
compensatory damages,consequential damages,punitive damages,special damages,attorneys'fees,interests and costs This sum shall be paid as
either(1)liquidated damages and not as a penalty or(2)as a limitation of liability approved and agreed upon by the parties based in part upon the
uncertainty of any potential damages and the nature of the services and/or equipment provided The payment of this sum shall be Lifeline Fire
Protection,Inc,sole and exclusive liability to Owner/Subscriber,its agents,representatives or assigns,and the provisions of this Section shall apply if
loss or damage,irrespective of cause or ongin,results directly or indirectly to person or property,from performance or non-performance of the obligations
imposed by this Agreement or from negligence,active or otherwise,of Lifeline Fire Protection,Inc its agents,servants,assigns or employees
