Dear Mr. Kinzler:
Thank you for the opportunity to allow GAI's Community Solutions Group (CSG)
to provide you with design concepts for the Clermont Downtown Streetscapes,
Promenade and City Hall Park/Plaza project in Downtown Clermont, Florida.
Project Understanding
The following is our understanding of the project:
The project is the development of concept designs for the various downtown
Clermont Streetscapes including 7th and 8th Streets, Montrose Avenue, Minneola
Avenue and West Osceola Street.The limits of the east-west street design
concepts will be 7th Street on the east to West Avenue on the west.Additionally,
concept designs will be developed for a public park/plaza to be located adjacent
to City Hall at the corner of Montrose and 7th Street as well as a concept plan for
an area on Lake Minneola commonly referred to as the "Promenade", located at
the terminus of 8th Street.It is assumed that the design of the Promenade will be
a renovation of the existing features located there as well as a possible indication
of developable parcels at this or adjacent sites.While the.Promenade had been
designed under a previous agreement between the City and GAI, it is understood
that this concept is intended to be less aggressive but no less impactful.These
concept designs for all of the above areas may include,intersection treatments,
sidewalks, roadway, specialty hardscapes, structures, gathering spaces, restroom
building(s),water feature(s), landscape and furnishings.
Scope of Services
Based on our understanding of the project requirements/criteria provided to date
by the Client, GAI's Community Solutions Group (CSG)will perform the following
• described Scope of Services:

• 1.3 Based upon plans provided by the Client from previous streetscape
Planning I Urban Design
Landscape Architecture project(s), as well as aerial photographs, prepare drawings to be used as
Economics I Real Estate base plans for the concept work.
2.0 Preliminary Concept Designs
2.1 Develop preliminary hand drawn concept design plans for the above
described streets,the Promenade area and City Hall park/plaza.
2.2 Prepare 3 dimensional models of the proposed streetscapes to further
describe the overall project design intent.
2.3 Prepare a cross section(s)"or hand sketches of the proposed City Hall
Park/Plaza.
2.4 Prepare appropriate graphics (cross section or 3 dimensional model) of
the Promenade.
2.5 Meet with the Client at a design review meeting in Clermont.
2.6 Modify the design concepts for all of the above described projects, and
present them at a meeting to be held at City Hall.
3.0 Final Concept.Design.
3.1 Based upon comments received by the Client at the final review meeting,
prepare rendered Final Concept designs of the proposed streetscapes,
Promenade and'City Hall Park/Plaza.
3.2 CSG prepare a perspective sketch of each unique streetscape design, of
City Hall park/plaza, and of the Promenade, indicating the final designs
of each of these projects.
3.3 CSG will complete an Estimate of Probable Cost for each of the projects
described herein.
3.4 Meet with the Client to review the Final Concept Design and Estimate of
Probable Cost.
Schedule
The service described herein shall be completed within a reasonable time frame
stipulated by Client.It is not expected that this time frame will exceed 90 days.
Compensation
Compensation for services described above will be a lump sum fee of$49,000.00
Reimbursable Expenses
Reimbursable expenses may include in-house and out-of-house projected costs
required to perform and deliver the services such aspostage, courier services,
overnight deliveries, and mileage. Reimbursable Expenses are estimated at
$500.00.
Reimbursable expenses will be invoiced separately on an actual cost basis.

Unless otherwise specified in the GAI Standard Terms and Conditions for
Professional Services, attached hereto as Exhibit A, GAI will prepare invoices
monthly and payment will be due within thirty 30 days of the date of the invoice.
Services Not Included
The proposed scope of services and cost(s) assume the following items are
excluded from this scope of services:
• Civil Engineering
• Electrical Engineering
• Surveying
• Geotechnical Engineering and Geotechnical Reports
• Completion of Construction Documents
• Bidding Phase Services
• Other meetings beyond those specifically outlined within the above
Scope of Services.
• Other services not specifically described herein
Assumptions and Understandings
GAI's Scope of Services and Compensation as set forth above have been
prepared on the basis of the following assumptions and understandings:
1. Client has provided all its requirements for GAI's scope of services and all
criteria and/or specifications that GAI should utilize at the time this proposal
is authorized.
2. Client has provided all available information pertinent to GAI's scope of
services, including previous reports/drawings, utility information, etc. at the
time this proposal is authorized. Unless otherwise noted, GAI may rely upon
such information.
3. Client will give.GAI prompt notice whenever it observes or otherwise
becomes aware of any development that affects the scope or timing of GAI's
performance.
4. Client will examine and provide comments and/or decisions with respect to
any of GAI's interim or final deliverables within a period mutually agreed
upon.

indicated below and return one copy for our file. This also will serve as
authorization for GAI to proceed. GAI's performance of the Scope of Services will
be governed by the GAI Standard Terms and Conditions for Professional Services,
attached hereto as Exhibit A and incorporated herein by reference.
