A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CLERMONT, FLORIDA APPROVING AND AUTHORIZING THE
MAYOR TO EXECUTE AGREEMENT BETWEEN CITY OF
CLERMONT, LAKE COUNTY, SOUTH FLORIDA CANOE KAYAK
CLUB, AND THE CENTRAL FLORIDA SPORTS COMMISSION
REGARDING THE CANOE KAYAK NATIONAL CHAMPIONSHIP AT
WATERFRONT PARK; AND PROVIDING FOR AN EFFECTIVE DATE.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Clermont, Lake County, Florida, that:
SECTION 1.
The City Council does hereby approve and accept the agreement between the City of Clermont,
Lake County, South Florida Canoe Kayak Club, and the Central Florida Sports Commission
regarding the Canoe Kayak National Championship at Waterfront Park, subject to the conditions
contained in the Agreement.
SECTION 2.
The Mayor is authorized and directed to enter into the agreement attached hereto as Exhibit 'A'.
SECTION 3.
This Resolution shall take effect immediately upon its adoption.

AT WATERFRONT PARK
This is an Agreement ;made and entered into between the City of Clermont, a municipal
corporation organized under the laws of the State of Florida (hereinafter referred to as the "City"), Lake
County, Florida,a political subdivision of the State of Florida(hereinafter referred to as the"County"),the
South Florida Canoe Kayak Club, Inc. (hereinafter referred to as the "Club"), and The Central Florida
Sports Commission,Inc.(hereinafter referred to as the"Commission"),through the undersigned authorities.
WITNESSETH
WHEREAS, Section 163.01,.Florida.Statutes, known as the "Florida Interlocal Cooperation Act
of 1969"authorizes local governments to make the most efficient use of their powers by enabling them to
cooperate with each other and to provide services in the most efficient manner possible;and
WHEREAS, the City and County wish to attract visitors to Lake County for the Canoe-Kayak
National Championship(hereinafter referred to as the"Event"); and
WHEREAS, in furtherance of this cooperation,the parties to this Agreement desire to share in the
provision of resources to host the Event; and
WHEREAS,the City owns the Waterfront Park facility located at 100 3`d Street,Clermont,Florida,
34711 (hereinafter the"Park"),the intended location for the Event; and
WHEREAS,the parties wish to assist one another with the logistics,set up,and financial support
for the Event.
NOW,THEREFORE,IN CONSIDERATION of the mutual terms, understandings, conditions,
promises, and payment hereinafter set forth, and intending to be legally bound,the parties hereby agree as
follows:
1. Recitals. The foregoing recitals are true and correct and incorporated herein by reference.
2. County Obligations. The County shall provide the following in support of the Event:
A. The County shall provide a funding grant to the Commission in an amount not to exceed Sixty-
Five Thousand and 00/100 Dollars($65,000.00)for the purpose of sponsoring the Event.
B. The County's funding grant to the Commission shall be disbursed in three installments. The
first installment of Twenty Thousand and 00/100 Dollars($20,000) shall be disbursed upon
execution of this Agreement, subject to the terms and conditions set forth herein. The second
installment of Twenty Thousand and 00/100 Dollars ($20,000) shall be disbursed on May 1,
2017, subject to the terms and conditions set forth herein. The third and final installment of
Twenty-Five Thousand and 00/100 Dollars ($25,000) shall be disbursed on July 15, 2017,
subject to the terms and conditions set forth herein.
C. The County shall provide support for promotion of the Event.

D. The County shall assist with Event logistic coordination as needed.
3. City Obligations. The City shall provide the following in support of the.Event:
A. The City shall coordinate with the Club to facilitate the construction of the canoe-kayak course
to be used during the Event.
B. The City.shall waive all fees to all,facilities at the Event venue, including but not limited to,
the Highlander Building,tle;Park.and all associated facilities whether permanent or temporary,
the Arts and:Recreation Center, and the.Clermont Boathouse.
C. The City shall provide law enforcement -and security personnel, and emergency medical
personnel.and services for the Event throughout the duration of the Event at no charge. This
shall include overnight-security personnel and services.
D. The City shall provide.waste management services for the Event throughout the duration of the
Event at no charge.
E. The City shall provide janitorial and maintenance'services for all Park facilities throughout the
duration of the Event at no charge.
F. The City shall provide support for promotion of the Event.
G. The City shallassistwith Event logistic coordination as needed.
4. Club Obligations: The Club shall,provide the following in support of the Event:
A. The Club shall'plan and implement all Event operations, including permitting with the City.
B. The Club shall manage all-Event logistics and operations.
C. The Club shall manage-and execute a budget,attached and incorporated herein as Attachment
A,.for Event expenditures approved by all parties to this Agreement. Any net loss or gain
realized as:a result of revenues received and expenditures made in relation to the Event shall
be the sole responsibility of the Club.
D. The Club shall -submit invoices to the Commission itemizing all Event-related expenses
incurred within the past thirty(30)days of the date of each said invoice.
E. The Club shall'be responsible,for all,marketing-and promotion of the Event, including the
• design and construction ofa website and registration portal. The Club shall name the other
parties as sponsor's•of the Event in all promotional material.
F. The Club shall be responsible for solicitation of all Event corporate sponsorship sales.
G. The Club shall be responsible for all coordination of volunteers for the Event.
H. The Club shall purchase and maintain liability and event cancellation insurance as set forth
herein.
I. The Club shall-serve,as the point of contact with the national U.S. Canoe/Kayak Association.

5. Commission Obligations. The Commission shall provide the following in support of the
Event:
A. The Commission shall adhere to the budget attached here in Attachment A itemizing all
expenses reasonably expected to be incurred by the Club in the planning and implementation
of the Event.
B. Within thirty (30) days of the date of the disbursement of grant funding by the County to the
Commission, and every thirty (30) days thereafter during the term of this Agreement, the
Commission shall provide the County with a detailed report describing the expenses incurred
by all parties in the establishment and implementation of the Event.
C. The Commission shall be responsible for administration of all grant funding received from the
County and any other sources for the purpose of planning,managing,implanting,and operating
the Event.
D. The Commission shall remit payment of each invoice submitted to it by the Club within ten
(10) days of receipt of said invoice so long as the expenditures described in said invoice
reasonably adheres to the budget set forth in Attachment A.
E. The Commission shall be responsible for Event logistics assistance and advisory services.
F. The Commission may market and sell Orlando attraction tickets during or before the Event.
6. Terms of Agreement. This Agreement shall become effective upon execution of this Agreement
by all the parties and will terminate on November 1,2017.
7. Termination. This Agreement cannot be terminated once it becomes effective unless as provided
herein. Any action by a party construed as a termination entitles the non-terminating parties to joint and
several damages incurred as a result of the terminating party's act(s) or omission(s), including but not
limited to costs, interest, and attorneys' fees arising from all causes of action relating to this Agreement
and/or the Event.
8. Notices. Wherever provision is made in this Agreement for the giving, serving or delivering of
any notice,statement,or other instrument,such notice shall be in writing and shall be deemed to have been
duly given, served and delivered, if delivered by hand or mailed by United States registered or certified
mail, addressed as follows:

Notice sent by facsimile transmission shall not be accepted.
9. Modification. It is further agreed that no modification, amendment or alteration of the terms or
conditions contained herein shall be effective unless contained in a written document executed with the
same formality and of equal dignity herewith.
10. Entire Agreement. It is mutually agreed that the entire agreement between the parties is contained
herein, and that neither party has made any statement, promise or agreement, or taken upon itself any
engagement whatsoever that it is not fully capable of honoring to its fullest.
11. Liability. Subject to the indemnity provision set forth herein, each party shall be responsible for
any and all claims,damages,liability and court awards including costs,expenses and attorney fees incurred
as a result of any action or omission of the party or its officers, employees, and agents in connection with
the performance of this Agreement.
Nothing in this Section or any other provision of this Agreement shall be construed as a waiver of
the notice requirements,defenses, immunities,and limitations any party may have under Florida law. The
provisions of this Section are solely for the benefit of the parties to this Agreement and are not intended to
create or grant any rights,contractually or otherwise to any third party.
Nothing herein shall be construed as one party designating or otherwise relinquishing to the other
party the responsibility for operation of its respective facility. Each party shall continue to remain
responsible for the maintenance and operation of its facility.
12. Insurance.
The Club shall obtain, no later than ninety(90)days prior to the Event,and maintain until at least
11:59 p.m. on the last day of the Event, without cost or expense to any other party to this Agreement,
policies of insurance, with a company or companies authorized to do business in the State of Florida, and
which are acceptable to the other parties, insuring Club against any and all claims, demands or causes of
action whatsoever,for injuries received or damage to property relating to the performance of duties,services
and/or obligations of the Club under the terms and provisions of this Agreement. Insurance shall be written
on an occurrence basis. The Club is responsible for timely provision of certificate(s) of insurance to the
other parties at the certificate holder address evidencing conformance with the requirements under this
Agreement at all times throughout the term of the Agreement.
Such policies of insurance, and confirming certificates of insurance, shall insure the Club in
accordance with the following minimum limits: See Attachment B.
Lake County, a Political Subdivision of the State of Florida, and the Board of County
Commissioners, The Central Florida Sports Commission, Inc., and the City of Clermont, a Florida
Municipal Corporation,shall be named as additional insureds as their interest may appear on all applicable
liability insurance policies.

The certificate(s)of insurance shall provide for a minimum of thirty(30)days prior written notice
to all of the other parties to this Agreement of any change, cancellation, or nonrenewal of the provided
insurance. It is the Club's specific responsibility to ensure that any such notice is provided within the stated
timeframe to the certificate holder.
Upon obtaining the policy of insurance,the Club shall provide a copy of all policy endorsement(s)
reflecting the required coverage with Lake County, The Central Florida Sports Commission, Inc., and the
City of Clermont listed as an additional insured along with all required provisions to include waiver of
subrogation.
Certificate(s)of insurance shall identify this Agreement in the Description of Operations section of
the Certificate. Certificate holders shall be:

Certificates of insurance shall evidence a waiver of subrogation in favor of the County, the City,
and the Commission,that coverage shall be primary and noncontributory, and that each evidenced policy
includes a Cross Liability or Severability of Interests provision, with no requirement of premium payment
by any other party to this Agreement.
The Club shall be responsible for subcontractors and their insurance. Subcontractors are to provide
certificates of insurance to the Club evidencing coverage and terms in accordance with the Club's
requirements.
All self-insured retentions shall appear on the certificate(s) and shall be subject to approval by the
other parties to this Agreement. At the option of the County,the City, or the Commission,the insurer shall
reduce or eliminate such self-insured retentions or the Club or subcontractor shall be required to procure a
bond guaranteeing payment of losses and related claims expenses.
The County, the City, and the Commission shall be exempt from, and in no way liable for, any
sums of money, which may represent a deductible or self-insured retention in any insurance policy. The
payment of such deductible or self-insured retention shall be the sole responsibility of the Club and/or
subcontractor providing such insurance.
Failure to obtain and maintain such insurance as set out above will be considered a breach of
contract and may result in termination of this Agreement for default.
Neither approval by the County, City or Commission of any insurance supplied by the Club or
Subcontractor(s), nor a failure to disapprove that insurance, shall relieve the Club or Subcontractor(s) of
full responsibility for liability, damages, and accidents as set forth herein.

13. Indemnity. The Club agrees for good and valuable consideration in the amount of ten dollars
($10.00)to indemnify and hold harmless all other parties,and their officers and employees,from liabilities,
damages,losses,and costs, including,but not limited to, reasonable attorneys' fees,to the extent caused by
the negligence, recklessness, or intentionally wrongful conduct of the Club and other persons employed or
utilized by the Club in the performance of this Agreement.
14. Independent Contractor.The parties agree that each shall be acting as an independent contractor
and shall not be considered or deemed to be an agent,employee,joint venturer,or partner of any other party
to this Agreement. No party shall have authority to contract for or bind any other party to this Agreement
in any manner and shall not represent itself as an agent of any other party or as otherwise authorized to act
for or on behalf of,any other party to this Agreement.
15. Public Records. If Commission or Club are found to be a contractor pursuant to Section 119.0701,
Florida Statutes,Commission or Club shall comply with the Florida Public Records' laws, and shall:
1. Keep and maintain public records required by the County or the City to perform the
services identified herein.
2. Upon request from the County's or the City's custodian of public records, provide the
County or the City with a copy of the requested records or allow the records to be inspected or
copied within a reasonable time at a cost that does not exceed the cost provided for by law.
3. Ensure that public records that are exempt or confidential and exempt from public records
disclosure requirements are not disclosed except as authorized by law for the duration of the
contract term and following completion of the contract if Commission or Club does not transfer the
records to the County or the City.
4. Upon completion of the contract, transfer, at no cost, to the County or City all public
records in possession of Commission or Club or keep and maintain public records required by the
County or City to perform the service. If Commission or Club transfers all public records to the
County or City upon completion of the contract, Commission or Club shall destroy any duplicate
public records that are exempt, or confidential and exempt, from public records disclosure
requirements. If Commission or Club keeps and maintains public records upon completion of the
contract, Commission or Club shall meet all applicable requirements for retaining public records.
All records stored electronically must be provided to the County or City, upon request from the
County's or City's custodian of public records, in a format that is compatible with the information
technology systems of the County or City.
