2017-111 FIRST AMENDMENT TO CONTRACT FOR SALE AND PURCHASE
THIS FIRST AMENDMENT TO CONTRACT FOR SALE AND PURCHASE ("First
Amendment") is made, entered into and effective on November 14, 2017, by and between The
City of Clermont, Florida, a Florida municipal corporation ("Seller"), and Graff Development,
LLC, a Florida limited liability company ("Buyer").
RECITALS
A. The Buyer and Seller are parties to that certain Contract for Purchase and Sale
with an Effective Date of September 1, 2017 ("Contract") pursuant to which the Buyer has
agreed to buy and the Seller has agreed to sell real property consisting of all or portions of Lake
County, Florida Parcel ID Nos. 1714061, 3778221, and 3778274; and,
B. The Buyer and Seller desire to amend the legal description of the Property as set
forth herein.
AMENDMENT
For and in consideration of the mutual promises and covenants herein contained, and other good
and valuable consideration, the receipt and adequacy of which are hereby confessed and
acknowledged, the parties hereto agree as follows:
1. The legal description of the Property is set forth in Exhibit A which is attached hereto and
incorporated herein by reference.
2. Except as expressly amended or modified herein, all other terms and provisions of the
Contract shall remain the same. To the extent any term or provision of this First Amendment
may he inconsistent with the terms and provisions of the Contract, the terms and provisions of
this First Amendment shall control.
3. This First Amendment may be executed in counterpart copies. Facsimile signatures shall be
accepted the same as originals.
