RESOLUTIONS
RESOLUTION N0. 338
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CLERMONT,
LAKE COUNTY, FLORIDA, SUPPORTING THE DEVELOPMENT OF A
COMPREHENSIVE ENERGY MANAGEMENT PLAN.
WHEREAS, an energy shortage and associated higher costs of living are being
experienced in the United States; and,
WHEREAS, the United States is currently heavily dependent upon foreign sources
for oil supplies; and,
WHEREAS, energy conservation and contingency planning will help mitigate the
negative effects of future energy shortages citizens may be forced to endure; and,
WHEREAS, the City Council of the City of Clermont desires to lead rather than
to react and it is to the advantage of all citizens of the City of Clermont to do
so; and,
WHEREAS, energy conservation represents wise use of taxpayer monies; and,
WHEREAS, the high visibility of energy conservation efforts on the part of
the City of Clermont will help to convince the citizens of Clermont of the need
to conserve energy in their daily lives; and,
WHEREAS, the establishment of energy policy by the City Council of the City
of Clermont is consistent with the Home Rule Charter.
HOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CLERMONT THAT
this Council does hereby support the development of a comprehensive energy management
plan for the City of Clermont.
BE IT FURTHER RESOLVED THAT the Council will instruct its staff to work closely
with the East Central Florida Regional Planning Council and Governor's Energy Office
in the development of the energy plan.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CLERMONT, LAKE COUNTY,
FLORIDA, AUTHORIZING THE PURCHASE OF THE REAL PROPERTY REFERRED TO
HEREIN, UPON THE TERMS AND CONDITIONS SPECIFIED HEREIN.
WHEREAS, the City of Clermont has heretofore entered into an Option Agreement
with The Exchange National Bank of Lake County, said Agreement dated January 15, 1980, and
WHEREAS, the said Option Agreement granted to the City of Clermont an exclusive
option to purchase the following described property:

Lots 1, 3 and 5, and the East 31 feet of Lot 7;
Lot 2, Less the South 40 feet of the West 31 feet;
Lot 4, Less the West 31 feet; Lot 6, Less the
West 31 feet; and the East 31 feet of the North
10 feet of Lot 8; all in Block 77, according to the
Official Map of the City of Clermont, Florida, recorded
in Plat Book 8, pages 17 to 23 inclusive, Public Records
of Lake County, Florida.
WHEREAS, the City Council has determined that said purchase is in the best interests
of the City of Clermont and has determined that the said Option Agreement should be
exercised in accordance with. the provisions therein.
NOW THEREFORE BE IT RESOLVED:
1. The City of Clermont hereby elects to exercise its exclusive option to
purchase the above-described real property upon the terms and conditions specified in
that certain Option Agreement dated January 15, 1980, by and between the City of Clermont
and The Exchange National Bank of Lake County.

OPTION AGREEMENT
THIS AGREEMENT, by and between the C1TY OF CLF.RMONT, a municipal corporation
organized and existing under the laws of tltc State of Florida, hereinafter referred
to as "City", and THE EXCHANGF. NATIONAL BANK OF LAKE COUNTY, hereinafter referred

W1iEREAS, the Bank is the owner of the following-described real property,
hereinafter referred to as Parcel "A" (see Appendix "A").
In consideration of the premises, Bank grants unto the City an exlusive option
r.o purchase the above-described property upon the following conditions:
I. Consideration. T'he price of the Option To Purchase is FIVE HUNDREll AND NO/100
llOLLARS ($500.00), which amount shall be credited towards the purchase price if the Optic~r4
is exercised. If the Option is not exercised, the option monies remain the property of
the Bank.
II. Option Period. The term c,f this Uption shall be ninety (90) days, comtuencinf;
on the ~ :,~-~ day of • j lis., .. ~~, . , 1980.
lII. Purchase Price. The full purchase price is NINETY-TWO THOUSAND FIVE HiTNDRED
AND NO/100 DOLLARS ($92,SOU.00) cash at closing.
IV. Financing Agreement. Bank agrees to Loan City the Sum of ONE ddUNllRED SIX
'TiiUUSAND AND NO/100 DOLLARS ($106,000.00) at closing on the following terms:
1. Interest at the rate of five and one-half. percent (~ 1/2~) per annum.
2. Accrued interest shall be payable at tl~e ei7d of first (1st) year.
3. At the end of the first (1st) year, the loan will then be amortized
over a twenty-four (24) year period with equal. annual pa}ments plus
accrued interest with the first (1st) payment due two (2) years
from date.
V. Proof of Title. The Bank shall deliver to City a title insurance binder
in tl~e amount of NINETY-TWU THOUSAND FIVE HUNDRED AND NO/100 DOLLARS ($92,500.00)
inr3uring the title to the property to bo free and clear of all defect:t and enc•umbranc•~s
except the lien for ad valorem taxes for the year 1979. In the alternative, at
City's option, an abstract of title certified to date may be submitted evidencing the
title to the property to be free and clear of all defects and encumbrances. The City
shall have fifteen (15) days in which to examine the title insurance binder, or abstract
of title, whereupon this transaction will be closed within fifteen (15) days.
VI. Conveyance of Title. Conveyance of title shall be by Warranty Deed free
and clear of all encumbrances and liens except as herein provided.
VII. Expenses. Bank shall pay the expenses connected with conveying the property,

including, but not limited to the cost of title insurance, or abstracts, State Stamps
on Warranty Deed, Surtax on Warranty Deed, and any expenses related to clearing the
title. Au valorem taxes shall be prorated as of the date of closing.

IX. Insurance. Bank shaL1 continue to keep in force adequate insurance for
fire, casualty and liability during t:1re option period. Bank agreea to hold the City
harmless for any damagas or causes of action unless tt-e City is found to be negligent
and liable therefor.
X. Binding Effect. This Option shall be binding upon and shall. inure to the
benefit of the parties hereto and to their respective heirs, successor and assigns.
