This is an Agreement between the CITY OF CLERMONT, a municipal corporation, in Lake County, Florida, whose address is P. O. Box 120219, Clermont, Florida 34712-0219, herein lrnown as "CITY" and THE SOUTH LAKE COUNTY mSTORICAL SOCIETY, INC., a Florida not-for-profit Corporati°l!, whose address is P.O. Box 121723, Clermont, Florida 34712, herein lrnown as "SOCIETY." , . WHEREAS, CITY owns a parcel of land on the shore of Lake Minneola in the City of Clermont and descried as Johnson's replat lots A to 7 Incl, Blk 117, which was once used for the City barn (more fully described on Exhibit "A" of this Agreement); and WHEREAS, CITY has identified a second property which CITY and SOCIETY agree CITY . may substitute as the property to be utilized 'by the SOCIETY under this lease (hereinafter called the "altemate site"); and WHEREAS, SOCIETY proposes to relocate The Townsend House to this site or the alternate site if assigned by CITY, with a plan to construct and operate a Clermont Historical Village and Museum on such property for the educational and cultural advancement of Clermont and the South Lake County community, and CITY fully supports these WOl1hy goals, NOW THEREFORE, in consideration of the conditions stated herein, the parties agree as follows: 1. CITY grants to SOCIETY an area sufficient in size on the above described property or the alternate site for the purposes of relocating the Townsend House. The exact location shall be mutually agreed between the CITY and the SOCIETY. 2. In preparation for the relocation of the Townsend House, CITY agrees to remove . debris, fencing and materials stored on the relocation site but shall not be required to remove any structures until such tÙ11e as additional historic structùres may be relocated to the site. , . . . . \. 9. .. OR.K 02033 PAGE 1397 3. CITY grants to SOCIETY the authority to make certain improvements and expansions to the property upon approval by the CITY. CITY approves the preservation of the Townsend House, now located on a site next to Highway 50 in Clermont, because of its historic value to the community and its relocation to the City property as Phase I in the construction of the Historic Village. 4. SOCIETY will be responsible for moving and any and all other costs associated with the moving ofthe Townsend House, including the foundation. 5. SOCIETY shall undertake the cost of restoration of the Townsend House, and its preparation as a public museum. It shall seek assistance in the preparation and development of the City property as a Historic Village by various partners, foundations, government sources, clubs and civic organizations. 6. SOCIETY shall maintain the Townsend House and any expansions and future phases of the construction of the proposed Historical Village. 7. CITY will maintain the grounds, except for decorative landscaping. 8. SOCIETY shall maintain and keep in force full insurance coverage on the premises, including property damage, fire and casualty, and $1,000,000.00 liability coverage, naming the City as additionally insured, and pay the premiums therefore. SOCIETY shall maintain and keep in force full insurance coverage on the contents, equipment, furniture and furnishings of all buildings in the Historic Village complex and pay the premiums. 10. SOCIETY shall pay all utilities. 11. SOCIETY shall maintain the premises as a Historic structure and may adopt reasonable rules and regulations for the operation of such a public facility, subject to approval by the City Council. 2 . . . . . .. O.OK 02033 PAGE 1398 12. CITY understands the SOCIETY'S desire to expand and create a Historic ViHage and will reserve additional areas on the site for additional historic structures. If no additional historic structures are relocated to the site within three (3) years of the Townsend House being relocated to the site, the CITY will not be obligated to reserve any additional space. 13. If, after relocation to the property or the alternate site, the SOCIETY should fail to meet the conditions of this Agreement, the Townsend House shaH become the property of the CITY and CITY shall have sole control of the property and structures. 14. This Agreement shaH terminate if The Townsend House has not been relocated to the site within twelve (12) months of the date of this Agreement and if the Townsend House has not been restored for public use within twenty-four (24) months from the date of this Agreement. 15. CITY may, at its option, designate a City Council Member to serve as a member of the Board of Directors of the SOCIETY. 16. - Ifthe alternate site identified on Exhibit "B" Old Depot Site) is determined available by the CITY, then the alternate site may be designated by the CITY as the site available to the SOCIETY under this Agreement subject to aH terms and conditions of this Agreement, and the "subject property" identified on Exhibit "A" shall be released from this Agreement. 17. This Agreement constitutes the entire Agreement between the parties and is binding upon the parties, their heirs and successors.
