2001-10 . . . AGREEMENT BETWEEN CITY OF CLERMONT AND LAKE SUMTER EMERGENCY MEDICAL SERVICES, INC. RELATING TO ADVANCED LIFE SUPPORT SERVICES This is an Inter-local Agreement between City of Clermont, a municipal corporation organized under the laws of Florida, hereinafter referred to as "City", And Lake Sumter Emergency Medical Services, Inc" a not for profit governmental corporation, hereinafter referred to as "LSEMS" WITNESSETH: Whereas, LSEMS is a not for profit governmental corporation created by Lake and Sumter Counties pursuant to the provision of Florida Statute . 163.01, and Whereas, City is a municipal corporation which operates a fire department, and Whereas, LSEMS and City are both interested in providing advanced life support emergency response to the citizens of City and Lake and Sumter Counties in the best and most efficient way possible, and Whereas, City has agreed to provide advanced life support first response services to persons within City on a regular first response basis, and Whereas, the intent of this agreement is to permit City paramedics to utilize their skills at emergency scenes at the level they are trained, and Whereas, City non-transport vehicles will be licensed and operate under LSEMS's Certificate of Public Convenience and Necessity (COPCN) and other state licenses, and . . . . Whereas, in order to provide such services City needs the services of a licensed physician to provide medical director services to City, and Whereas, LSEMS contracts with a licensed physician who serves as medical director to LSEMS and whose contract provides that such services will be provided to cities, counties and not for profit corporations which have entered inter-local agreements with LSEMS, and Whereas, LSEMS and City have determined that it is in the best interests of the residents of City to enter this inter-local agreement for provision of advanced life support services. . NOW THEREFORE, IT IS agreed as follows: 1. City agrees as follows: a) That it will provide first response advanced life support services on a regular basis to the residents of the City and on a mutual aid basis to residents of the County providing resources are available; b) That it will ensure that it has at least one (1) certified paramedic on duty within City twenty-four (24) hours per day, seven (7) days per week, as well as other paramedics or certified EMT's as City determines are necessary to provide the required services; c) That all paramedics and EMT's employed by City will operate under the same medical protocols mandated by the medical director and under the same medical direction employed by the LSEMS; d) That all paramedics and EMT's employed by City, as well as other City personnel involved in the provision of advanced life support services will abide by all the terms and conditions of the Medical Director's Agreement entered into between LSEMS and the Medical Director employed by Lake- Sumter EMS; e) That all paramedics and EMT's employed by the City, as well as other City Personnel involved in the provision of advanced life support services will comply with state and federal law in the provision of such services . . . . . . 2) f) To allow LSEMS paramedics, EMT's and other LSEMS personnel involved in the provision of advanced life support services to attend training sessions, which are provided by the City for, it's own employees at no cost to LSEMS or their employees. Such training may include re- certification classes; state required CEU classes and any other ongoing training provided by the City. g) The City shall assist in the development of medical protocols and the quality assurance programs (QA) for the provision providing of advanced life support services. h) The City will purchase the necessary equipment to provide the advanced life support service to be provided by the City; i) The initial disposable supplies needed for startup of the advanced life support service will be provided by the City. j) The City will purchase radios that will allow communication between City personnel and LSEMS personnel. LSEMS Agrees as follows: a) To authorize its Medical Director to provide services to City and to allow City to operate its non-transport ALS vehicles under LSEMS's Certificate of Public Convenience and Necessity (COPCN) and other state and federal licenses. b) To establish protocols with the City and provide medical direction for the provision of advanced life support services in Lake and Sumter Counties; c) To allow City paramedics, EMT's and other City personnel involved in the provision of advanced life support services to attend training sessions, which are provided by LSEMS for, it's own employees at no cost to City or their employees. Such training may include re-certification classes; state required CEU classes and any other ongoing training provided by LSEMS. d) To replace disposable supplies used in the provision of Advanced Life Support by City (and exchange other equipment on an as needed basis) at no cost after City has purchased the initial disposable supplies. . . . e) To provide necessary drugs at no cost to the City used by City in the provision of providing advanced life support services; f) To provide loaner equipment to City if available if such equipment is needed by the City as such times that repairs to City owned equipment is necessary or at such other times as LSEMS and City personnel agree; g) To allow City to operate radios on the LSEMS radio frequency in order to communicate with LSEMS personnel and the Medical control. h) To pay the sum of $3,750.00 per month beginning on the date this agreement takes affect and continuing each month thereafter. This amount shall be adjusted each year on October 1st, by determining the amount that would be raised by a one-tenth mil (.1 mil) ad valorem tax levy on property located in City using the assessment roll approved by the Department of Revenue and dividing this amount by twelve (12). If the assessment roll has not been approved by the Department of Revenue on October 1, the current monthly payment shall be used and payments shall be adjusted retroactively to October 1 after approval of the assessment roll. Such payment shall be made in monthly installments in advance with the first installment being due ten (10) days after the effective date of this agreement and subsequent monthly installments being made every month thereafter. The funding allocated to the City will be utilized and limited to EMS activities. i) Lake-Sumter EMS will be responsible for maintaining compliance with Chapter 401,Florida State Statues, and 64E-2 Florida Administrative Code . . 3) Effective Date, Term, and Termination. a) This agreement shall become effective on the first day of the month following execution of the agreement by both parties. b) This agreement shall be for a term of one (1) year. The agreement shall automatically renew for subsequent one (1) year periods unless one of the parties notifies the other in writing by certified mail of its intent not to renew at least sixty (60) days prior to the expiration of the agreement. . . . If such written notification is given, this agreement shall expire at the end of the one-year term then in effect. c) Either party may terminate this agreement at any time without cause by notifying the other in writing by certified mail of its intent to terminate given at least sixty (60) days prior to the date of proposed termination. If such written notification is given, this agreement shall expire on the proposed date of termination. d) LSEMS or City may terminate this agreement with cause under the following circumstances. Upon failure of City or LSEMS to comply with any of the terms and provisions of this agreement, the complying party shall notify the non-complying party in writing by certified mail specifying the non-compliance and indicating steps necessary to regain compliance. e) The non-complying party shall have five (5) days from the receipt by certified mail, to cure the non-compliance, and if such cure fails to occur, the complying party shall have the right to immediately terminate this . agreement. 4. No modification, amendment or alteration in the terms or conditions contained herein shall be effective unless contained in a written document executed with the same formality and of equal dignity therewith. 6) Incorporations. This document incorporates and includes all prior negotiations, correspondence, conversations, agreements, or understanding applicable to the matters contained herein and the parties agree that there are no commitments, agreements, or understanding concerning the subject matter of this agreement that are not contained in this documents.
