DEVELOPMENT AGREEMENT
.
This Agreement is entered into this 7+1. day of CC-rO'6 £:1<. ,2002, by and between
CHARLES SHARKUS ("Sharkus") whose address is 1397 West Lakeshore Drive, Clermont, FL
34711, and CLERMONT PROFESSIONAL CENTER, LLC., a Florida limited liability company
("CPC"), whose address is 1958 Brantley Circle, Clermont, FL 34711.
RECITALS:
WHEREAS, CPC is in the process of developing acreage west of Grand Highway in Section 19,
Township 22 South, Range 26, East, Clermont, Lake County, Florida; and
WHEREAS, Sharkus owns a tract ofland east of Grand Highway, Clermont, Lake County, Florida;
and
WHEREAS, CPC development will be enhanced if it is allowed to construct a waste water line
across a certain portion of Sharkus' property; and
WHEREAS, this Agreement is to the benefit of both parties.
THEREFORE, the parties agree as follows:

Sharkus will execute and record an easement to CPC, which allows the construction of a
waste water line as shown on the attached "Exhibit A".

The legal description of said easement is attached hereto as "Exhibit B".
In consideration of Sharkus granting said easement, CPC agrees as follows:
a. CPC will pay all costs of the construction of said waste water line and will
construct it as shown on the attached "Exhibit A" with the manholes being located as shown
thereon.
b.
The waste water line will be installed no closer than ten feet (10') nor further
than fifteen feet (15') of SHARK US' south property line with the exception of the southwest
corner between manhole 3 and 4 where it angles across Grand Highway.
c. CPC will provide a waste water line stub out for future use by SHARKUS at
manhole No.2
d. CPC will construct and/or install a ten (l0) inch potable water line with a gate
valve as required by City Code stubbed out at Sharkus' property line as shown on the attached
"Exhibit A".

CPC will install to City and/or County Code an inlet and pipe to its WRA as
shown on "Exhibit A".
f. CPC will construct to City and/or County Code a deceleration and left turn lane
on Grand Highway for southbound traffic to enter Sharkus' property, as shown on "Exhibit A".
CPC will furnish an engineered drawing of the deceleration and left turn lane.
g. CPC will construct to City and/or County Code a deceleration and right turn lane
on Grand Highway for northbound traffic to enter Sharkus' property, as shown on "Exhibit A".
CPC will furnish an engineered drawing of the deceleration and right turn lane.

CPC wHI construct to code the curb cut and entrance-way to Sharkus' property
line as shown on "Exhibit A".

CPC will obtain all necessary permits for all of the construction and pay all costs
and fees associated with such permits and construction.

CPC will oversee all construction to ensure that no damage will be done to the
existing oak trees identified on "Exhibit A". The parties recognize the value of these trees, and
CPC will assume any responsibility and be liable for any such damage.
k. All of the above listed improvements will be completed within one (1) year of this
Agreement.

Upon the completion of all ofthe items in Paragraph 3, Sharkus will pay to CPC the sum
