TEMPORARY ACCESS LICENSE
�UTHIS TEMPORARY ACCESS LICENSE AGREEMENT made and entered into this
(/ day of och W �- _ _ _ 2020, by and between THE ART
DISTRICT, LLC, P.O. Box 120788, Clermont, FL 34712 (hereinafter referred to as
"GRANTOR"), and the City of Clermont, 685 W. Montrose Street, Clermont, Florida 34711
(hereinafter referred to as "GRANTEE").
WHEREAS, GRANTOR is the owner of that certain real property, Parcel ID No.: 24-22-
25-0100-080-01100, Alt Key No.: 1087210 located in Lake County, Florida, hereinafter referred
to as the "Parent Parcel"; and
WHEREAS, GRANTOR desires to grant to GRANTEE and GRANTEE desires to
accept, in the best interest of the citizens of the City of Clermont, a Temporary Access License
over and across the Parent Parcel.
NOW, THEREFORE, for and in consideration of TEN DOLLARS ($10) paid to
GRANTOR and mutual advantages inuring each party to the other, and other valuable
considerations, the receipt of which are hereby acknowledged, the Parties agree as follows:
1. The above -stated Whereas clauses are incorporated herein as if restated in the body of
this License.
2. GRANTOR does hereby grant to the GRANTEE, a temporary pedestrian access license,
including the right of ingress and egress of the general public over and across the Parent
Parcel, specifically as described and limited to the real property as described in
Attachment `A', hereinafter the "License Area".
3. The GRANTEE hereby covenants and agrees that it shall improve, at its expense, the
License Area for construction of a sidewalk as required for the access rights granted
herein and in accordance with applicable City standards, including but not limited to,
stormwater improvements as reasonably required and related to the improvements
constructed by GRANTEE in the License Area. GRANTEE further agrees that all times
it shall operate and use the License Area in such a manner so as to minimize any
disruptions to GRANTOR'S use of the Parent Parcel. In the event the GRANTEE shall
alter, disturb, or damage any portion of the Parent Parcel in the course of its utilization of
the License Area, GRANTEE, upon termination of this License, will restore the
GRANTOR'S property to its prior existing condition.
4. To the extent permitted by law, the GRANTEE hereby indemnifies, and agrees to hold
GRANTOR harmless from and against any and all claims, demands, costs, judgments
and amounts whatsoever suffered by GRANTOR by virtue of GRANTEE'S negligence
in the use or maintenance of this temporary license.

5. Nothing herein shall be construed to constitute a waiver of the GRANTEE'S sovereign
immunity as set forth in Florida Statutes, Chapter 768.
6. The rights granted herein shall inure to the benefit of GRANTEE, its assign, heirs,
successors and invitees, including but not limited to the general public.
7. The rights and obligations granted and contained herein may be terminated by mutual
consent of the parties or by either party upon SIXTY (60) days written notice sent to the
addresses set forth above.
TO HAVE AND TO HOLD said temporary access license and rights of entry unto
GRANTEE, and its successors, heirs, assigns and invitees, including but not limited to the
general public shall begin on oGtlebw 3U 944 2020 until terminated as
provided above.
