CLEANING SERVICES
AGREEMENT
,
THIS AGREEMENT made this 26th day of August. 2003 by and
between City of Clennont. hereinafter called "OWNER" and Corporate
Building Management. Inc., doing business as (an individual), or (a
partnership), or (a corporation) hereinafter called "CONTRACTOR".
WITNESSETH: That for and in consideration of the payments and
agreements hereinafter set forth, it is agreed as follows:
Article 1 : The CONTRACTOR will commence and complete the
services described and set forth in the "Request for Bids and
Specifications for Cleaning Services for City Facilities" dated January 16,
2001 (the "Contract Documents") which is attached, hereto and by this
reference is incorporated into this Agreement.
Article 2: The CONTRACTOR will furnish all material, supplies, tools,
equipment, labor and other services necessary for the delivery of services
and completion of the project as described in the Contract Documents.
Article 3: The CONTRACTOR will commence the work required by the
Contract Documents within TEN (10) calendar days after the date of the
NOTICE TO PROCEED,
Article 4: The CONTRACTOR agrees to perfonn all of the work
described in the Contract Documents and comply with the tenns therein
for the sum of seven thousand. ei ght hundred twenty-eight dollars and
thirty three cents ($7.828.33), payable as follows: monthly, for a twelve
(12) month period beginning August 1. 2003 and ending July 31. 2004:
provided that the City may extend this Agreement for two additional years
at prices mutually agreed upon.

Article 5: The CONTRACTOR agrees for good and valuable
consideration in the amount of ten dollars ($10,00) to protect, defend,
indemnify, and hold the City of Clennont, Lake County, Florida, and its
officers, commissions, employees and agents free and harmless from and
against any and all losses, penalties, damages, settlements, costs, charges,
professional fees and other expenses or liabilities of every kind and
character resulting from the error, omission or negligent act of the
CONTRACTOR, its agents, employees or representative, in the
perfonnance of the CONTRACTOR'S duties under this AGREEMENT.
The CONTRACTOR further shall agree to investigate, handle, respond
to, provide defenses for and defend any such claims, etc., even if such
claim is groundless, false or fraudulent.
Article 6: Subject to the provisions of this AGREEMENT and the
Contract Documents, this contract may be tenninated by the City upon
thirty (30) days advance written notice to the CONTRACTOR; but if any
work or service hereunder is in progress but not completed as of the date
of tennination, then said contract may be extended upon written approval
of the City until said work or services are completed and accepted.
Article 7: Exhibit 'A' to this AGREEMENT lists the City facilities
and locations initially subject to this AGREEMENT. The standards for
perfonnance of cleaning services are set forth in the Specifications section
of the Contract Documents. The Special Tenns and Conditions (#2
through #34) provide for additional services and other conditions
applicable to this AGREEMENT.
Article 8: This agreement shall be binding upon all parties hereto and
their respective heir, executors, administrator, successors, and assigns. All
changes to this AGREEMENT shall be in writing.
