the "City"), and DEWITT ENTERIPRISES, INC., (hereinafter referred to collectively as

WHEREAS, the Owner desires to facilitate the orderly development ot the
subject property, in compliance with the laws and regulations of the City, and
of other governmental authorities, and the Owner desires to ensure that its
development is compatible with other properties in the area and planned
traffic patterns; and

WHEREAS, it is the purpose of this Agreement to clearly set forth the
understanding and agreement of the parties concerning the matters contained
herein; and
NOW THEREFORE, in consideration of the mutual covenants and agreements
contained herein, and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties hereto agree as
follows:
1. Ownershic. The Owner reprP.~~nt~ that it is the present owner of the following
described property (hereinafter referred to as the "Subject Property"):
Attached hereto as EXHIBIT "A"
2, Allowed Uses. Allowed uses for the Property shall be limited to those uses
allowed in the C-2 zoning district, except the following, which shall be
prohibited:

Manufactured housing or Recreational Vehicle parks. .
Any auto repair or tire, muffler sales, or similar uses, shall not have
bay doors which open facing S.R, 50.
3. Access. Access to the Property shall be as shown on the attached
Preliminary Plat, Exhibit "B". Outparcels 1-8 shall not have direct access to S.R,
50. The Reverse Frontage Road, as well as other interior access roads, may be
dedicated as Tracts on the Plat of the Property, to be owned and managed by
the Owner's Association, over which Tracts easements for ingress and egress
shall be dedicated, The reverse frontage road shall be constructed prior to the
development of any portion of the property, Oakley Seaver Drive shall be
constructed by the Ovl/ner from the North proper!)' line on Oakley Seaver Drive
South to Hooks Street within 12 months of Hooks Street construction from Oakley
Seaver Drive to either Citrus Tower Boulevard or U.S. 27, Dewitt Boulevard shall
be constructed to Hooks Street in conjunction with development of any portion
of the property South of reverse frontage road,
4. Access and Transportation System Improvements. All access and
transportation system improvements shall be provided in accordance with the
City of Clermont Land Development Code. .

5. Riaht-of-Way Donation. Owner shall, prior to final plat recording, dedicate
right-of-way to the City of Clermont and/or Lake County, as follows: for Hook
Street, from the Western Property boundary to Citrus Tower Boulevard (one-
hundred feet total where Owner owns both sides, fifty (50) feet where Owner
owns only on one side; for Citrus Tower Boulevard, along the full Eastern Property
boundary (fifty (50) feet for 1f2 of the one-hundred (100) foot ROW); and for
Oakley Seaver Boulevard, (eighty (80) feet) from the Northern Property
boundary to the Southern Property boundary. Compensation tor such rights-ot-
way shall be negotiated with Lake County.
6. Outparcels, Outparcels 1-8 shall meet all applicable City code requirements.
7. Cross-Access ReQuirements. Cross-access between outparcels 1-8 shall be
accomplished through the Reverse Frontage Road as shown on Exhibit "B",
Cross-access to the property to the East and West of the Property shall be
provided through the Reverse Frontage Road as shown on Exhibit "B",
8, Recordina and Effective Date, This Development Agreement and all
subsequent amendments shall be filed with the Clerk of the Court of Lake
County, Florida, and recorded following execution of the document by the City
Council, in the Official Records of Lake County, Florida. One copy of the
document, bearing the book and page number of the Official Record in which

the document was recorded, shall be submitted to the City of Clermont, The
date of receipt of this document by the City shall constitute the effective date
of the agreement. The applicant shall pay all legal and filing costs for recording
documents.
9, Lot Line Deviations. Lots 1-8 may be combined, or the respective lot lines
may be adjusted between such Lots, by recordation in the public records of
Lake County, Florida, of a Unity of Title or Lot Line Deviation form, or other such
similar process as approved by the City Site Review Committee, without
requirement for replatting; provided, however, no additional lots may be
created by this process, Further, all Lots created must conform to City
standards, and nothing herein shall waive any lot size requirements, setbacks or
landscaping requirements contained in City regulations,
10, LandscaDe Buffer Easement. Outparcels 1-8 shall have a thirty (30) foot
landscape buffer, established in an easement dedicated to the Owner's
Association, and maintained by the Owner's Association, Such buffer shall not
alter the setback requirements or signage requirements for the Outparcels,
11. Sianaae. Signage for the remaining Lot(s) to the South of Lots 1-8 shall be
allowed fronting on S,R, 50, within the Tract managed by the Owner's
Association to be used as private access roads. However, nothing herein shall
operate as a waiver or variance for any City sign ordinance or regulation, and
all signs on the property shall conform to such ordinances and regulations in
effect at the time of sign permitting with the exception that all freestanding signs
shall be monument signs as called for in the pending sign revision ordinance.
12, ComDliance. The Owner/Developer agrees that it, and its successors and
assigns, will abide by the provisions of this Agreement and the City's Land
Development Code, including but not limited to, the site plan regulations of the
City existing as of the date of this Agreement, which are incorporated herein by
reference, Further. all required improvements, including Illndscap:ng, shall be
continuously maintained by the Owner/Developer, or its successorš and assigns,
in first class workmanlike fashion so as to present a pleasing appearånce and to
ensure compliance with the City's Land Development Code,
13. Sianalization. If and when a traffic signal is warranted at DeWitt Boulevard,
the Owner or the Owner's designee, at their expense, shall install the signal and
interconnect the signal with existing signals on S.R. 50, from Bloxham Avenue to
Hancock Rd., and the planned signal at Oakley Seaver Drive,
14. Other City ADDrovals and Permits, The approval and execution of this
Agreement by the City does not exempt the Owner/Developer of the Subject
Property from obtaining any and all other approvals and permits necessary to

obtain a Development Order and Building Permits for the development of the
Subject Property,
15. Captions. The captions used herein are for convenience only and shall not
be relied upon in constructing this Agreement and Grant of Easement,
16. Bindina Effect, This Agreement shall run with the land, shall be binding upon
and inure to the benefit of the Owner/Developer and its assigns and successors
in interest, and the City and its assigns and successors in interest, The
Owner/Developer agrees to pay the cost of recording this document in the
Public Records of Lake County, Florida, and shall reimburse the City for the cost
to prepare this Agreement. This Agreement does not, and is not intended to,
prevent or impede tho City from eÄerdsing it:. legislative authority as the same
may affect the Subject Property.
17. Severability. If any part of this Developer's Agreement is found invalid or
unenforceable in any court, such invalidity or unenforceability shall not affect
the other parts of this Developer's Agreement, if the rights and obligations of the
parties contained herein are not materially prejudiced and if the intentions of
the parties can be affected, To that end, this Developer's Agreement is
declared severable,
