FIRST AMENDMENT BETWEEN CITY OF CLERMONT AND THE CLERMONT
HISTORICAL SOCIETY, INC.
CLERMONT HISTORIC VILLAGE USE JUNE 11, 2013 AGREEMENT
This Amendment is to that certain agreement of June 11, 2013, (hereinafter referred to as the
"Agreement") between the City of Clermont, hereinafter referred to as "CITY" and The Clermont
Historical Society, Inc., f Wa The South Lake County Historical Society, Inc. and hereinafter referred to
as "HISTORICAL SOCIETY". The parties, in exchange for the mutual covenants contained herein and
in the Agreement, agree as follows:
1. This Amendment expressly modifies the Agreement and in the event of a conflict, the
terms and conditions of this Amendment shall prevail.
2. CITY acknowledges and agrees that The South Lake County Historical Society, Inc.
changed its legal entity name to The Clermont Historical Society, Inc. The parties therefore agree that
any and all references to The South Lake County Historical Society, Inc. in the Agreement, shall be
construed as references to The Clermont Historical Society, Inc. and all obligations and entitlements
therein shall be transferred and assigned to, and accepted by, Clermont Historical society, Inc.
3. Grace Chapel and Replica Outhouse Addition. HISTORICAL SOCIETY, shall be
permitted to construct at its sole expenses and fully consistent with and in accordance with all
applicable laws, codes, regulations and policies of any and all Federal, State and local jurisdictions, a
building to be known as the Grace Chapel and a Replica Outhouse. Contemporaneously hereto and as a
condition of this Amendment, HISTORICAL SOCIETY shall deed and/or transfer to City in a form
and based on title information, acceptable to City in its sole discretion, all rights, title and interest that
HISTORICAL SOCIETY has or may have in Grace Chapel and a Replica Outhouse constructed on the
Property. The HISTORICAL SOCIETY shall retain at all times, exclusive ownership of the contents,
other than those affixed to the premises of Grace Chapel and the Replica Outhouse.
4. Use of Property, of the Agreement is amended to provide that the Grace Chapel and
Replica Outhouse buildings constructed on the Property by the HISTORICAL SOCIETY shall be part
of, and included as Site buildings as referenced in the Agreement and therefore, to the extent applicable
any of the terms and conditions related thereto as to the obligations, responsibilities and duties shall be
applicable to and govern the use, maintenance and operation of the Grace Chapel and Replica Outhouse
buildings. Notwithstanding the foregoing, to the extent that the Grace Chapel is to be utilized for
events, services or meetings of any kind, it shall be made available to groups of any and all religious
and spiritual denominations, subject to reasonable restrictions as established by society for use of any of
the site buildings.
5. All other terms and conditions set forth in the Agreement shall remain in full force
and effect and unchanged as agreed to by the parties.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement this day of
June 2021.
