AGREEMENT
This agreement, is made and entered into this ~ day of ~v&e..r-

by and between The City of Clermont, Florida, hereinafter referred to as " THE CITY",
and lake County Traffic Operations, hereinafter referred to as "THE COUNTY".
WHEREAS, the County and municipalities are authorized to enter into this Agreement
by Section 125-01 (1) (p) of Florida Statutes, as amended, which permits the County
to enter into agreements with other governmental agencies for the performance of
governmental functions by one unit on behalf of the other; and
WHEREAS, it is in the best interests of both The County and The City to develop a
coordinated program for the repair of traffic signal systems to facilitate the safe and
efficient flow of traffic in and about lake County,
NOW THEREFORE, in consideration of the mutual covenants contained herein, the
parties hereto agree as follows:

SCOPE OF WORK
The County will, under this agreement, provide traffic signal maintenance, both
planned and emergency, at locations identified in Appendix A, attached hereto and
incorporated herein.
Maintenance will be in accordance with the most current

repair manual, and in compliance with standards promulgated by the State Department
of Transportation pursuant to Section 316.0745, Florida Statutes. The County will
provide qualified employees to perform the maintenance needed, and will ensure their
availability for that purpose at all times, day and night, and will maintain emergency
response vehicles for use in performing those tasks. In the event of major damage to
the signal or its component parts which is beyond The County's ability to repair, it
may be necessary to restore traffic control by switching the intersection to temporary
flash mode until the equipment can be repaired or replaced. In the event of damage
to the poles which support traffic signals, damage to the wires from which the signals
hang and from which the signals derive power, damage to the loops in the pavement,
damage to a controller cabinet, or any other repairs of a catastrophic nature which are
deemed to be beyond The County's capability, The County will employ the services
of a contractor to effect the repairs. The City will, upon being billed for same,
subsequently reimburse The County for all charges levied by its contractor. The
County will bill The City for these repairs at its cost.
TERM OF AGREEMENT

This agreement shall remain in full force from the date of acceptance by the Owner
until cancelled by either party after sixty days (60) days notice has been given to
the other party.
Notice will be sent to the addresses shown below, and will be
considered properly given as of the date received by party being notified of

cancellation.
Giving notice does not relieve The City of its obligation to fully
compensate The County until the full term of the notice has expired, at which time the
agreement will be terminated.
MAINTENANCE CATEGORIES AND CHARGES
Maintenance of signals will fall into one of the three following categories:
. Normal maintenance: comprised of preventive maintenance routines and
inspections of equipment (termed "planned" or "scheduled" maintenance).
. Normal repair: repairs to equipment during and outside normal business hours
. Major repair or catastrophic damage: repairs during or outside normal
business hours necessitated by damage to equipment in an intersection
caused by vehicles crashing into equipment or so called" Acts of God"
(storm, water, lightning, etc.).
Charges for the various categories of maintenance identified above are as follows:
. Normal maintenance: $ 600.00 per year per intersection
. Normal repair: during normal business hours will be at the rate of $ 27.00 per

hour; outside normal business hours will be at the rate of $ 36.00 per hour.
These charges are portal-to-portal, two hour minimum. A charge of $ 15.00
per hour for the lift truck will also be assessed to normal repair hours, portal-
to-portal, two hour minimum.
. Major repair or catastrophic damage: charges will be those charged by an

authorized signal contractor. The County will bill The City for services
(and parts) rendered to The County by contractor at cost.
Normal business hours are defined as Monday through Friday, from 7:00 AM until
5:30 PM, excluding County holidays.
Repairs begun before the end of normal
business hours which extend past 5:30 PM will continue until completed at the normal
business hours rate of $27.00 per hour. Repairs begun before the beginning of normal
business hours which continue past 7:00 AM will decrease from $36.00 per hour to
the normal rate of $27.00 per hour at 7:00 AM.
Parts used in normal maintenance and normal repair will be billed to The City at
County's cost on quarterly invoices.
Parts used in major repairs or catastrophic
damage will be billed at cost to The City pursuant to The County receiving an invoice
from contractor for services and parts.
METHOD OF PAYMENT
The County will invoice The City quarterly for service rendered and parts used.
The City agrees to pay invoices within thirty days from receipt. The County will,
upon reasonable request, make available its records dealing with repair work
performed and/or parts used for signals on Appendix A for The City's perusal. This
records inspection will take place at the office of lake County Traffic Operations in

Tavares. Full service records of all service, regardless of type or category, will be
maintained by The County in accordance with standard practices in the industry.
NOTICES GIVEN AND RECEIVED
Whenever either party desires to give notice to the other, notices are to be sent to

ENTIRE AGREEMENT
It is mutually agreed that the entire agreement between The City and The County is
contained herein, and that neither party has made any statement, promise or
agreement or taken upon itself any engagement whatsoever that it is not fully
capable of honoring to its fullest.

SEVERABILITY
If any provision, condition, promise or part of this agreement is found or held to be
invalid, it is the intent of the parties that the remaining provisions are unaffected and
will be honored by the parties. To this end, the provisions of this agreement are
declared severable.
