This agreement entered into this
AGREEMENT
15 ~ay of February. 1996, by and between
the following:
City of Clermont, 1 Westgate Plaza, P.O. Box 120219, Clermont,
Florida hereinafter referred to as CITY
and
Bell Ceramics, Inc., a Florida corporation, 197 Lake Minneola Drive,
Clermont, Florida, hereinafter referred to as BELL
I n consideration of the mutual covenants, conditions and agreements contained
herein, the parties hereby agree as follows:
1.
BELL is the owner of certain property located southwest of the intersection
of East Avenue and Lake Minneola Drive, Clermont, Florida.
2.
BELL agrees to convey to the CITY certain portions of Lots 1,2.3,6 and 7
of Block 5 for realignment of Palm Lane, a city street according to the
sketch attached as Exhibit 1 and identified as Parcel No.2.
Such conveyance
being by Warranty Deed subject to no outstanding liens or . encumbrances.
The CITY shall bear any cost incurred by BELL in obtaining a partial
release of any outstanding liens.
3.
CITY agrees to close and abandon that portion of Palm Lane identified as
Parcel No.1 which is unused according to Exhibit 11.
Pursuant to Florida
Law, this land will revert to BELL.
The CITY shall execute any instruments
of conveyance necessary to place title to the abandoned portion of Palm
Lane to BELL.
4.
CITY agrees to construct a 24 foot wide asphalt drive. suitable for large
trucks, from East Avenue as it is realigned to the existing limerock drive
northeast of the BELL building (approximately 200 feet), as per Exhibit 2.
5.
BELL agrees to discontinue any motorized vehicle use over and across Lake
Minneola Drive from East Avenue as it is realigned, to 2nd Street except as
agreed in Section 9 of this agreement.
BELL will have ingress and egress
to itls property bordering on Lake Minneola in the trail.

6.
CITY agrees to construct a 10 foot wide åsphalt drive from the customer
pickup area on the northwest corner of the BELL building to the northeast
end of the building according to Exhibit 2 (approximately 300 feet).
7.
CITY agrees not to close Lake..Minneola Drive to ,vehicular traffic (¡,Intil the
construction of new Palm Lane and the projects in paragraph 4 and 6 are
completed.
8.
This agreement is subject to approval by the Clermont City Council and subject
to closing and abandoning portions of Plam Lane pursuant to Florida Law.
9.
The CITY will provide and maintain a trail crossing from BELLIS west
parking lot to the existing warehouse located on the Lake side of the pro-
posed Rails to Trails.
Access will be for delivery trucks, including semi trailers.
10.
BELL will dedicate additional road right-of-way at the northeast corner of
2nd Street and Palm Lane according to Exhibit 4.
11.
CITY will provide a boundary survey of the BELL property upon recording
of property conveyances as described in this agreement.
