LANDSCAPE MAINTENANCE
MEMORANDUM OF AGREEMENT
THIS AGREEMENT, made and entered into this day ofo�Pg 20 ,5by and
between the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, hereinafter
called the "DEPARTMENT", and CITY OF CLERMONT, a political subdivision of the State of
Florida, existing under the Laws of Florida, hereinafter called the "CITY."
WITNESSETH
WHEREAS, the Parties have been granted specific legislative authority to enter into this
AGREEMENT pursuant to Section 339.12, Florida Statutes; and
WHEREAS, the DEPARTMENT has jurisdiction over and maintains SR 25 (US 27) at SR
50 Interchange as part of the State Highway System; and
WHEREAS, the DEPARTMENT and CITY agree that landscaping should be installed
and maintained within the unpaved areas within the rights of way of the SR 25 (US 27) at SR 50
Interchange as proposed by the DEPARTMENT; and
WHEREAS, the parties hereto mutually recognize the need for entering into an
AGREEMENT designating and setting forth the responsibilities of each party; and
WHEREAS, CITY, by Resolution No.,IprS. ate . oZ !v—_, 20Z6and attached
hereto as Exhibit "A," has authorized its officers to execute this AGREEMENT on its behalf.
NOW THEREFORE, for and in consideration of the mutual benefits to now each to the
other, the parties covenant and agree as follows:
1. The DEPARTMENT agrees to design and install landscaping as proposed under Landscape
Plans, Financial Project ID # 435434-1-52-01 within the unpaved areas within the rights of
way of the SR 25 (US 27) at SR 50 Interchange.
2. The CITY agrees to maintain the landscaping installed by the Project in accordance
with the Landscape Maintenance Plan(s). Said maintenance will be in accordance
with Florida Administrative Code Rule 14-40.003, as it may be amended from time to
time. The CITY's responsibility for maintenance shall be consistent with the
requirements of Florida Administrative Code Rule 14.40.003(5), as it may be
amended from time to time. The maintenance functions to be performed by the CITY
shall be subject to periodic inspections by the DEPARTMENT. The CITY shall not
change or deviate from said plan(s) without written approval of the DEPARTMENT.
3. The CITY shall have the continuous obligation to monitor the maintenance of traffic
pursuant to the Design Standards Index Series 600, and Rule 14-40.003, Florida
Administrative Code, as it may be amended from time to time, during the course of
the maintenance functions so that the safe and efficient movement of the traveling
public is maintained. During maintenance functions, the CITY shall take measures,
including the placing and display of safety devices that are necessary in order to safely
conduct the public through the maintenance area in accordance with the latest and
current versions of the Federal Highway Administration Manual on Uniform Traffic
Control Devices for Streets and Highways, the DEPARTMENT'S Standard
Specifications for Road and Bridge construction and the DEPARTMENT'S
Roadway and Traffic Design Standards, and as those sources may be amended from
time to time.
4. If at any time after the CITY has assumed the landscaping maintenance responsibility
above -mentioned, it shall come to the attention of the DEPARTMENT that the limits or a
part thereof is not properly maintained pursuant to the terms of this AGREEMENT, the
District Secretary or his designee may issue a written notice that a deficiency or deficiencies
exist(s), by sending a certified letter to the CITY to place said CITY on notice thereof.
Thereafter the CITY shall have a period of thirty (30) calendar days within which to correct
the cited deficiencies. If said deficiencies are not corrected within this time period, the
DEPARTMENT may at its option, proceed as follows:
a. The DEPARTMENT may take action to maintain the landscaping or a part thereof,
with DEPARTMENT or Contractor's personnel, and invoice the CITY for
expenses incurred, or
b. The DEPARTMENT may terminate the AGREEMENT, in which case the CITY
shall at its own expense and within sixty (60) days after written notice by the
DEPARTMENT, remove all of the landscaping that the DEPARTMENT directs be
removed and return the right-of-way to its original condition. The CITY will own
such materials as it removes and the DEPARTMENT shall own any materials
remaining. The DEPARTMENT may, in its discretion, remove, relocate or adjust
the landscaping materials, with the CITY being responsible for the cost of any
removal.
Upon DEPARTMENT action under one of the above options and upon direction of the
DEPARTMENT, CITY shall cease maintenance activities under this AGREEMENT.
It is understood between the parties hereto that the landscaping covered by this
AGREEMENT may be removed, relocated or adjusted by the DEPARTMENT at any time
in the future as determined to be necessary by the DEPARTMENT in order that the state
road be widened, altered or otherwise changed to meet with future criteria or planning of the
DEPARTMENT. The CITY shall be given sixty (60) calendar days notice to remove said
landscaping after which time the DEPARTMENT may remove the same.
6. CITY may utilize its employees or third parties to accomplish its obligations under this
AGREEMENT; however, CITY remains responsible for proper performance under this
AGREEMENT and shall take all steps necessary to ensure that its employees or third
parties perform as required under this AGREEMENT.
7. The DEPARTMENT will notify the CITY of the "Final Acceptance" date of the landscape
project. The term of this AGREEMENT commences the next day following "Final
Acceptance" of this landscaping project and is a perpetual agreement, with no expiration
date.
8. The CITY shall indemnify, defend, and hold harmless the DEPARTMENT and all of its
officers, agents, and employees from any claim, loss, damage, cost, charge, or expense
arising out of any act, error, omission or negligent act by the CITY, its agents, or
employees, during the performance of the AGREEMENT, except that neither the CITY, its
agents, nor its employees will be liable pursuant to this paragraph for any claim, loss,
damage, cost, charge, or expense arising out of any act, error, omission, or negligent act by
the DEPARTMENT or any of its officers, agents, or employees during the performance of
the AGREEMENT.
9. This writing embodies the entire AGREEMENT and understanding between the parties
hereto and there are no other AGREEMENTs and understandings, oral or written, with
reference to the subject matter hereof that are not merged herein and superseded hereby.
10. This AGREEMENT may not be assigned or transferred by the CITY in whole or part
without the consent of the DEPARTMENT.
11. This AGREEMENT shall be governed by and construed in accordance with the laws of the
State of Florida. In the event of a conflict between any portion of the AGREEMENT and
Florida law, the laws of Florida shall prevail.
IN WITNESS WHEREOF, the parties hereto have caused these presents to be executed
the day and year first above written.

GENERAL NOTES
1 Flag all planting locations prior to installation All planting locations must be approved by and may be adjusted by
the FOOT District Landscape Architect or Engineer
2 Container size shall be as specified A minimum of 80% of the container root ball must be bound by the root
system Encircling or ring roots are prohibited
3 Contractor ,s responsible for their own plant quantity take -off and shall provide all plant material required as
shown on landscape plans If there is a conflict in plan quantities and tabulation of quantities the plans take
precedence
4 Landscape material shall be adjusted in the field to avoid conflicts with any utility structures drainage

signage ITS cameras lighting and their appurtenances If a conflict exists the Contractor shall notify the FOOT
District Landscape Architect prior to the commencement of any activity The Contractor shall not knowingly place
plants where such a conflict exists Any costs to remove andlor repair work placed that has not been approved by
the FOOT Engineer or the FOOT District Landscape Architect shall be at the Contractors expense
5 Mulch beds and tree rings with a 3 wetted depth layer of pine straw mulch (No cypress mulch is permitted)
6 Pre -emergent granular herbicide shall be applied to all individual mulch rings The herbicide active
ingredients shall be suitable for control of annual and perennial broadleaf weeds and grasses The granular
herbicide shall be applied by hand after planting and before placing mulch The herbicide shall be applied at a
rate recommended by the manufacturer
7 The contractor shall treat the root ball of all trees and shrubs immediately adjacent to the root ball in the
upper 8-10 inches of the planting hole with the manufacturers recommended amount of mycorrhizal fungal
inoculants to include at a minimum the following mycorrhizal
- Endomycorrhizal fungus
- Eclomycorrhizal fungus
- Fulv,c acid
- Trichoderma
- Phosphate solubdiz,ng nitrogen fixing and growth promoting bacteria
- Humc acid derived from Leonardite
- Sea kelp extract (Ascophyllum nodosum)
- Yucca plant extract (Yucca schid,gera)
- Water holding polymer (cross linked acrylamide and potassium acrylate)
- Particle size 08 mm to 20 mm
- Percent soluble less then 005%
- Absorption rate 300-400 times in distilled water
Submit sample of mycorrhizal for acceptance by FOOT Landscape Architect
8 Soot shall be tested and amended as needed to provide optimum planting medium for plant growth
9 Pond A-5W Pond A -NW Pond A -SE Pond A -NE are dry detention areas
10 The Contractors Professional Engineer (PE) or Certified Professional in Erosion and Sediment Control
(CPESC) will prepare and submit a site -specific erosion and sediment control plan to the Owners representative
for review and approval The erosion and sediment control plan shall follow guidelines documented in the State
of Florida Erosion and Sediment Control - Designer and Reviewer Manual dated June 2007
