1988-38 e 8 LEASE AGREEMENT CHAMBER OF COMMERCE JENKINS MUNICIPAL BUILDING 88- 038 1. PARTIES This lease is made between the City of Clermont, Lake County, Florida, a Florida Municipal Corporation, berein called tbe Lessor and the Chamber of Commerce of Clermont, Florida berein called tbe Lessee. 2. DESCRIPTION AND FEES The only property subject to the terms and provisions of this lease shall be a portion of the Jenkins Municipal Building more particularly described in Exhibit "A", attacbed bereto, and made a part of this agreement. The fee to be paid by tbe Lessee for the use of such premises is the sum of One Dollar ($1.00) per year. 3. TERM OF LEASE The term of this agreement sball be from January 1, 1989 to December 31, 1989. The parties agree tbat if the Lessee shall perform all obligations, covenants, and agreements to be performed by tbem under tbe provisions hereof, tbe Lessee shall have tbe option to renew the lease herein for an additional two (2) option periods of one (1) year eacb, provided further that the Lessee shall notify the City not later than thirty days before the expiration period of their desire to exercise the option to renew. 4. CANCELLATION Either party may cancel this lease upon giving the other party sixty (60) days or more written notice in advance. The Lessor may additionally cancel this lease in the event the Lessee shall breach any of the terms of this lease. In such cases, the Lessor shall have the right to immediately re-enter and retake possession of said facilities identified herein. 5. USE OF PREMISES Tbe Lessee shall use and occupy the premises as a Chamber of Commerce Office, and for no other purposes, and shall in the use and occupancy of the premises, conform to all laws, orders and regulations of the Federal, State or Local Governments. Tbe Lessee shall not perform any alterations or improvements to the premises, nor assign tbis lease or sublet any part of tbe premises without tbe express written permission of the Lessor; and shall quit and deliver up said premises at the end of said term in as good condition as they are now, excluding ordinary wear and tear. 6. CARE AND REPAIR OF PREMISES The Lessor shall be responsible for making all necessary repairs to the air conditioning system and electrical system, including ceiling fixtures, but not including bulbs and ballasts, and shall maintain the exterior of the building, except where repairs bave been made necessary by the misuse or neglect of the Lessee. A. Tbe Lessee sbal1 be responsible for tbe interior walls, carpeting, lighting, including light bulbs and ballasts, and any informational and locational signs. No signs shall be installed without the written permission of the Lessor. B. All improvements made by the Lessee to the premises wbich are so attached to the premises that they cannot be removed 8 8 LEASE AGREEMENT CHAMBER OF COMMERCE JENKINS MUNICIPAL BUILDING Page -2- without material injury to the premises, shall become the property of the Lessor upon installation. Not later than the last day of the term of this lease, the Lessee shall, at the Lessee's expense, remove all of its personal property and those improvements which have not become the property of the Lessor. C. In return for use of the premises, the Lessee agrees to be responsible for scheduling the use of Jenkins Auditorium, under the direction of the City of Clermont. The City shall pay to the Lessee 50% of the gross annual rental fees for use of the Auditorium, in return for this service. 7. INSURANCE The Lessee shall maintain adequate public casualty insurance in the amount of $300,000 per accident. The Lessee, shall, by January 1st of each year, provide certificates evidencing all such insurance to the Lessor. 8. HOLD HARMLESS CLAUSE In regard to any use, services, or operations performed by the Lessee, such operations shall be deemed the operations of the Lessee as an independent corporation, and the Lessor shall not, to any de- gree, extent, nor manner whatsoever, be considered as having any interest herein, either as a joint enterprise, employer, or agency relationship. The Lessee shall hold the Lessor harmless against any and all claims, demands, suits, judgments, and expenses includ- ing attorneys' fees, by any persons resulting from the Lessee's operations hereunder; or sustained in or upon the leased premises, or as a result of anything being claimed or omitted to be performed by the Lessee hereunder.
