Box 609, Astatula, Florida 34705; City of Clermont, whose address 685 W. Dora, Florida 32757; the Lake County Sheriff, Gary S. Borders, an elected constitutional officer, whose address is 360 West Ruby Street, Tavares, Florida 32778; the Florida Highway Patrol (FHP), whose address is 133 S. Semoran Blvd., Orlando, Florida 32807; collectively referred to as "AGENCIES," and Lake County, a political subdivision of the State of Florida, whose address is 315 West Main Street, Tavares, Florida 32778, hereinafter referred to as "COUNTY"; S:\DOCUMENT\PUBLIC SAFETY\Countywide Radio System\CAO_Interlocal_Oct 23, 2007.doc WHEREAS, it has been determined that the existence of intensive and dangerous law enforcement and fire/rescue/EMS situations, especially those that cross jurisdictional lines, require the preparation of resources adequate to respond to such activity, protect the public peace and safety, and preserve the lives and property of the people; and WHEREAS, it is beneficial for the law enforcement, fire/rescue, emergency management, and EMS agencies of the subscribed jurisdictions to participate in a County-wide Communications System which would encompass governmental services including, but not limited to law enforcement, fire/rescue, public safety, emergency medical services, and dispatch services; and WHEREAS, the participation of the agencies of the subscribed jurisdictions in a County-wide Communications System will provide all participating agencies with the capability of using inter-agency assistance to ensure the most efficient emergency dispatches. The coordinated system will allow dispatches to be announced to all agencies simultaneously, which will prevent needless duplicity of response by agencies to emergency calls. The sharing of the County-wide Communications System will help ensure essential communications regardless of agency affiliation, and jurisdiction; and WHEREAS, the County-wide Communications System is designed to provide county-wide radio communications coverage from one uniform system. This will allow participants the capability for complete communications on one device utilizing one technology. This practice will enhance simplicity and continuity of operations in the field utilizing uniform equipment and communication protocols; and WHEREAS, the agencies of the subscribed jurisdictions are authorized to enter into an agreement to share a common communications system pursuant to Part I, Chapter 163, Florida Statutes, known as the Florida Interlocal Cooperation Act. NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the agencies of the subscribed jurisdictions agree as follows: Section 1. Purpose and Intent of Agreement. The AGENCIES agree to share the COUNTY'S communications system. The sharing of this system will enhance the two-way communication capabilities of all participating AGENCIES and will provide an efficient way of accomplishing interoperability, inter-agency communications, and County-wide emergency dispatching and response. By agreeing to share the COUNTY' S communications system, AGENCIES agree that the COUNTY'S communications system will be the primary system used by the AGENCIES for communications, response, and dispatch purposes. Each AGENCY shall have its own "Home Announcement Group" with the COUNTY'S communications system providing independent autonomous "Talk Groups" to that AGENCY for single agency communications as set forth in Exhibit A, attached hereto and incorporated herein by reference. This system gives each AGENCY the capability of independent as well as inter-agency communications. Section 3. Distribution of Communications Equipment. The COUNTY shall provide to AGENCIES the end user communications equipment necessary for the existing subscribers to operate on the system, as described in the inventory and cost projections set forth and incorporated herein by reference as Exhibit B. Mobile, portable, and dispatch control stations will be distributed to AGENCIES as set forth in Exhibit B. All communications equipment furnished by the COUNTY to the AGENCIES under this Agreement shall be purchased by the COUNTY and shall remain the property of the COUNTY. AGENCIES hereby agree that any communications equipment provided by the COUNTY to the AGENCIES that is damaged or destroyed while within the custody of an AGENCY shall be repaired or replaced at the AGENCY' S cost. AGENCIES shall additionally return to the COUNTY all COUNTY provided equipment, or equivalent replacements thereto in the event of damage or destruction, upon termination of this Agreement in its entirety, or by a single AGENCY upon that AGENCY' S termination of or from this Agreement in accordance with Section 9 herein. Section 4. Compatibility of Communications Equipment. AGENCIES may purchase additional equipment, upgrades, and accessories from Motorola for use on the system; provided, however, that all equipment shall be approved prior to being purchased by the COUNTY'S Public Safety Department, Communications Division, to ensure compatibility with the system and the developed operational performance templates. The cost of such equipment shall be the responsibility of the AGENCY purchasing the additional equipment. All such additionally purchased equipment, upgrades and accessories shall remain the property of the AGENCY purchasing same. All equipment purchased by COUNTY and distributed to AGENCIES pursuant to this Agreement shall be maintained by the COUNTY'S Department of Public Safety, Communications Division. Maintenance costs on all equipment purchased by the COUNTY will be the responsibility of the COUNTY through the initial three (3) year warranty period. Maintenance costs after the initial three (3) year warranty period and on additional equipment purchased by the AGENCIES subsequent to this Agreement will be the responsibility of that AGENCY. Maintenance and repair shall be coordinated with the COUNTY. Motorola shall be the sole provider of service, maintenance, and repair of the COUNTY'S communication system. All user subscriber equipment will be required to have Motorola warranty maintained and require inventory and preventative maintenance by the COUNTY at a minimum of once per year to ensure proper performance and system integrity. The COUNTY'S Public Safety Department, Communications Division shall coordinate the maintenance of any AGENCY'S equipment purchased pursuant to this agreement, utilizing acharge-back system, at cost, to be consistent with that in effect at the time of execution of this Agreement as identified in Exhibit C attached hereto and incorporated herein by reference. Section 7. Fixed Equipment Installation and Maintenance. All AGENCIES shall, in consideration of the COUNTY providing the communications equipment and maintenance services associated therewith as set forth herein, make available to the COUNTY, at no charge, the respective AGENCY communication tower sites as generally identified in Exhibit D, attached hereto and incorporated herein by reference. The COUNTY shall utilize these sites, or comparable sites as agreed to by the parties, for the fixed equipment installation. AGENCIES hereby agree to utilize their best efforts to prepare such sites for the installation, including but not limited to, executing any necessary rezoning applications or building permit applications; provided, however, that the obligation to grant any rezoning or issue any permit shall only be in accordance with the code of the governmental entity having jurisdiction over the property. Additionally, AGENCIES shall grant the COUNTY, and/ or its employees, agents and/or contractors, the right to enter such property for the purposes of performing required site work, construction and/or maintenance services of the fixed equipment. Each respective S:\DOCUMENT\PUBLIC SAFETY\Countywide Radio System\CAO_Interlocal_Oct 23, 2007.doc AGENCY shall execute a separate agreement regarding the lease of their respective tower sites to the COUNTY simultaneously with this Interlocal Agreement. Section 8. Liabilities and Responsibilities of Parties. (a) The parties hereto, their respective officers and employees, shall not be deemed to assume any liability for the acts, omissions, and negligence of any of the other parties and each party shall hold the other parties harmless from and shall defend the other party and its officers and employees against any claim for damages resulting therefrom, to the extent permitted by Florida law. (b) All privileges and immunities from liability, exemptions from laws, ordinances and rules, and all pensions and relief, disability, worker's compensation, and other benefits which apply to the activity of officers or employees of any of the parties hereto when performing their respective functions within the territorial limits of their respective agencies shall apply to the same degree and extent to the performance of such functions and duties extra-territorially pursuant to this Agreement. (c) Except as herein otherwise provided, all liability for injury to personnel, and for loss or damage of equipment shall be borne by the party employing such personnel and having custody of such equipment, and all parties shall carry sufficient insurance to cover all such liability. Section 9. Termination of Agreement. Any party may terminate this Agreement as to said terminating party by giving at least twelve (12) months written notice to all other parties. All radio equipment issued by the COUNTY or purchased to replace lost/damaged equipment issued by the COUNTY shall be returned in serviceable condition to the COUNTY within 30 days of the date of termination as indicated in the twelve (12) month notice. Removal and delivery of the equipment will be borne by the AGENCY it was issued to. All equipment purchased by the participant shall remain the property of the participant, however, use of the said equipment on the COUNTY' S communication system will cease and shall be prohibited. Section 10. Effect. Nothing in this Agreement is intended or is construed as any transfer or contracting away of the powers or functions of one party to the other. Section 11. Term. This Agreement shall take effect on the date the last party hereto executes this Agreement and shall remain in effect for a period of five (5) years S:\DOCUMENT\PUBLIC SAFETY\Countywide Radio System\CAO_Interlocal_Oct 23, 2007.doc from that date. Thereafter, this Agreement shall be automatically renewed for successive periods of five (5) years unless terminated in writing by all parties. The County has anticipated and provided the first 3 years, 1 year Warranty plus 2 years extended. At signing of contract, the subscriber warranty purchased is scheduled to end as of 2117/2012. Invoices for radio maintenance will be sent out annually and paid annually in October based on inventories provided and verified by the agencies.
