ROAD TRANSFER AGREEMENT
(North Bradshaw Road)
THIS IS A ROAD TRANSFER AGREEMENT ("Agreement') by and between Lake
County, Florida, a political subdivision of the State of Florida ("County") and the City of
Clennont, a municipal corporation ("City"), collectively the "parties," regarding construction
improvements to North Bradshaw Road, transfer of jurisdiction and maintenance of North
Bradshaw Road, and transfer of a temporary access easement.
WHEREAS, Section 163.01, Florida Statutes, provides that local governments may enter
into interlocal agreements to make the most efficient use of their powers by enabling them to
cooperate with other localities on a basis of mutual advantage; and
WHEREAS, Section 335.0415, Florida Statutes, provides that public roads may be
transferred between jurisdictions by mutual agreement of the affected governmental entities; and
WHEREAS, prior to execution of this Agreement, North Bradshaw Road comprises of a
County -maintained clay road beginning at Wellness Way and continuing approx. south 920 feet
to the Cell Tower driveway, consisting of approximately +/- .544 acres together with a platted
right-of-way per Plat Book 2, Page 27 Public Records of Lake County, Florida (Exhibit A) and
maintained right of way (Exhibit B); and
WHEREAS, the County and the City desire to transfer jurisdiction of North Bradshaw
Road to the City, to coincide with development occurring within the City with PRM
Clennont/Wellness Way Owner LLC and/or Advent Health/System/Sunbelt, Inc, in which the
City will handle permitting and management of the construction of the road improvements by the
Developer(s); and
WHEREAS, the City has adopted Ordinance No. 2022-033, recorded at Official Records
Book 6078, Page 1990, Public Records of Lake County, Florida which incorporates a
Development Agreement dated October 22, 2019, and recorded in Official Records Book 5409,
Page 1579 of the public records of Lake County, Florida, that obligates a developer to perfonning
roadway improvements to North Bradshaw Road, the "Project"; and
WHEREAS, the County and the City agree that entry of this Agreement between them
benefits residents of both jurisdictions and is in the best interests of the public health, safety and

welfare of all residents of Lake County.
NOW THEREFORE, IN CONSIDERATION of the mutual terms, understandings,
conditions, premises, and covenants hereinafter set forth, and intending to be legally bound, the
parties hereby agree as follows:
1. Legal Findings of Fact. The foregoing recitals are hereby adopted as legislative
findings of the Board of County Commissioners and are ratified and confirmed as being true and
correct and are hereby made a specific part of this Agreement upon adoption hereof.
2. County Obligations.
A. In accordance with Section 335.0415, Florida Statutes, the County
transfers to the City any and all jurisdiction, ownership interest, operation and maintenance
responsibilities that the County may have in North Bradshaw Road, in its entirety, boundaries as
depicted in the legal description and sketch attached hereto and incorporated herein as Exhibit A
and Exhibit B. The transfer of the County's ownership interest of North Bradshaw Road to the
City shall be effective upon the effective date of this Agreement (the "Effective Date of the
Transfer") and documents shall be recorded to reflect the transfer, as detailed below. Additionally,
the County transfers ownership and maintenance responsibilities to the City of any and all of
County's ownership interest, operation and maintenance responsibilities and obligations and
rights of any kind associated with the Temporary Non -Exclusive Access Easement, recorded in
the Public Records of Lake County, Florida, at Official Record Book 5240, Page 178, attached
hereto and incorporated herein as Exhibit C.
B. The County will continue to maintain North Bradshaw Road until the City
approves the Developer's plans and pen -nits the Developer to begin work on North Bradshaw
Road. Once the City has permitted the North Bradshaw Road improvements, the maintenance
responsibilities will be transferred to the City (the "Maintenance Transfer Date"). The parties
contemplate that the City will assign certain maintenance tasks to the Developer by separate
agreement. In no event shall the Maintenance Transfer Date be later than one (1) year from the
date of recording this Agreement. Froin the Effective Date of Transfer and until the Maintenance
Transfer Date, the City hereby grants to the County a license to enter North Bradshaw Road as
necessary to perform its maintenance responsibilities.
3. City Obligations.
A. As of the Effective Date of the Transfer, the City accepts any and all of

County's ownership interest of North Bradshaw Road, in its entirety. As of the Maintenance
Transfer Date, the City accepts any and all of County's operation and maintenance responsibilities
of North Bradshaw Road, in its entirety.
B. The City will record an Affidavit Affecting Real Property pursuant to
Section 695 26, Florida Statutes, which shall be in substantially similar form to the Affidavit
attached hereto and incorporated herein as Exhibit D, reflecting the transfer of maintenance
responsibilities on the Maintenance Transfer Date. City will cooperate fully to execute this
Affidavit and with any requests of County related to this Affidavit.
C. Additionally, the City accepts the transfer of ownership and maintenance
responsibilities from the County of any and all of County's ownership interest, operation and
maintenance responsibilities and obligations and rights of any kind associated with the Temporary
Non -Exclusive Access Easement attached hereto and incorporated herein as Exhibit C. The
County will record an Assignment and Assumption of Easement Deed ("Easement Deed")
reflecting the transfer. The City will cooperate fully to execute this Easement Deed and with any
requests of County related to this Easement Deed.
4. Termination. This Agreement cannot be tenninated unless mutually agreed upon
by the parties in writing.
5. Modifications. Unless otherwise specified herein, no modification, amendment,
or alteration of the terns or conditions contained herein shall be effective unless contained in a
written document executed by the parties hereto, with the same fonnality and of equal dignity
herewith.
6. Notices. All notices, demands, or other writings required to be given or made or
sent in this Agreement, or which may be given or made or sent, by either party to the other, shall
be deemed to have been fully given or made or sent when in writing and addressed as follows:

B. The effective date of such notices shall be the date personally delivered, or
if sent by certified mail, the date the notice was signed for, or if sent by overnight letter delivery
company, the date the notice was delivered by the overnight letter delivery company.
C. Parties may designate other parties or addresses to which notice shall be
sent by notifying, in writing, the other party in a manner designated for the filing of notice
hereunder.
7. Entire Agreement. This document embodies the entire agreement between the
parties. It may not be modified or tenninated except as provided herein.
8. Severability. If any provision of this Agreement is found by a court of competent
jurisdiction to be invalid, it shall be considered deleted herefrom, and shall not invalidate the
remaining provisions.
9. Effective Date. This Agreement shall become effective upon the date the last party
hereto executes it. The transfer shall become effective on the effective date of the transfer as
defined in paragraph 2.B., above.
IN WITNESS WHEREOF, the parties through their duly authorized representatives have
signed and entered this agreement on the dates under each signature.

THIS TEMPORARY NON-EXCLUSIVE ACCESS AND EASEMENT
AGREEMENT (this "Agreement") is made by and between CLONTS GROVES, INC., a
Florida corporation, whose address is P.O. Box 622916, Oviedo, Florida 32762-2916 (the
"Grantor") and LAKE COUNTY FLORIDA, a political subdivision of the State of Florida,
whose address is P.O. Box 7800, Tavares, Florida 32778-7800 (die "Grantee"). The Effective
Date shall be the last date on which either Grantor or Grantee shall have executed this
Agreement -
RECITALS
A. Grantor is the owner of certain real property located in Lake County, Florida
which is more particularly described on Exhibit "A" attached hereto and by reference made a
part hereof (the "Grantor Property").
B. Grantee requires that Grantor grant an easement over a portion of the un-platted
property of the Grantor which is contiguous to the Grantor Property and is more particularly
described on Exhibit "B" attached hereto and by this reference incorporated herein (the "Cul-
de-Sac Parcel').
C. Grantor has agreed to grant the Grantee an Easement (as hereinafter defined) over
the Cul-de-Sac Parcel subject to the terns and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the sum of ten and No/100 Dollars ($10.00)
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto agree as follows:
1. Recitals. The parties acknowledge and agree that the foregoing Recitals are true
and correct and are hereby incorporated in this Agreement for all purposes.
2. Grant of Easement. Grantor does hereby give, declare, establish, grant and
convey to Grantee and its assigns, a temporary non-exclusive easement for access purposes in,
over, across, through and upon the Cul-de-Sac Parcel for ingress, egress, and access purposes
with full authority to enter upon, as the Grantee and its assigns may deem necessary for access,

ingress and egress, emergency services and utility connections (the "Easement"). The Easement
granted to Grantee hereunder is a covenant running with the land and shall be for the purpose of
providing access, ingress, egress, and tumaround areas.
The Grantor and Grantee agree it is the responsibility of the Grantor to construct a cul-de-sac on
the Cul-de-Sac Parcel, at Grantor's expense, and do so within ninety (90) days of the date of
approval of this Agreement by both parties. Construction shall be to the standards of Grantee for
a stabilized clay cul-de-sac, at a minimum. Grantor agrees to barricade the south side of such cul-
de-sac to prevent access to vacated portion ofNorth Bradshaw Road.
3. Fugpm Develonlnent. Termination. The parties hereto acknowledge that the
Easement granted in this Agreement shall automatically terminate, without the necessity of the
Grantor undertaking vacation proceedings or obtaining any release from the Grantee, at such
time as Grantor or its successor or assigns shall cause the Cul-de-Sac Parcel to be included in a
subsequent development approved by Grantee and recorded in the Public Records of Lake
County, Florida. Upon expiration of this Agreement, the Lake County Manager, or its designee,
agrees to execute and deliver to Grantor a notice of termination of this Agreement.
4. Maintenance. The Grantor shall maintain the Cul-de-Sac Parcel, at Grantor's sole
cost and expense. Grantor hereby reserves the right to relocate the Easement by separate written
instrument agreed to by the Grantor and Grantee, which approval shall not be unreasonably
withheld,
5. General Provisions. The following general provisions shall apply to all of the
terms and provisions set forth in this Agreement:
(a) Parties Benefitted. The Easement and rights granted hereunder to Grantor
and Grantee, and their respective successors in title, may be utilized by and shall inure to the
benefit of their respective agents and invitees. Nothing contained in this Agreement shall create
any permanent rights in the general public.
(b) Legal Proceedings. In the event that any party hereto, or any of their
respective successors or assigns, institutes legal proceedings against any other party to enforce or
interpret any terms or provisions of this Agreement, each party agrees to pay its own attorneys
fees and costs.
(c) Certificate of Compliance. Each patty hereto and their respective
successors and assigns, upon written request made by the other party, hereby agrees to certify in
writing to the other party and to any mortgagee having a collateral interest in any lands that are
the subject of this Agreement, whether this Agreement remains in full force and effect, whether
the other party is presently in compliance with all current obligations under the Agreement, and
whether any default exists hereunder. Provided that in the event there exists any non-compliance
or events of default, such written certification shall set forth the facts identifying any such
matters. Any such written certification shall be delivered within ten (10) business days after the
date of receipt of the request from the other party.
(d) Entire Agreement: Amen m nt Te�jr)ration. This Agreement constitutes
the entire agreement of the parties with regard to tote subject matter hereof. The terms and

provisions of this Agreement may be modified, supplemented or terminated only by a written
instrument signed by the parties hereto or their successors and assigns.
(e) Countemartc. To facilitate execution, Grantor and Grantee agree that this
Agreement may be executed in as many counterparts as may be required and it shall not be
necessary that the signature of, or on behalf of, each party, or that the signatures of all persons
required to bind any party, appear on each counterpart; it shall be sufficient that the signature of,
or on behalf of, each party, or that the signatures of the persons required to bind any party,
appear an one or more of such counterparts. All counterparts shall collectively constitute a single
Agreement.

executed on the dates indicated below and further to be recorded in the Public Records of Lake

RIGHT-OF-WAY UTILIZATION AGREEMENT
THIS RIGHT-OF-WAY UTILIZATION AGREEMENT, entered into by and between
PRM CLERMONT/WELLNESS WAY OWNER LLC, a Delaware limited liability company,
("Owner"), and the CITY OF CLERMONT, FLORIDA, a Florida municipal corporation
("City").
RECITALS:
WHEREAS, Owner is the owner of that certain real property legally described in
Exhibit "A" attached hereto and incorporated herein (the "Owner Parcel"); and
WHEREAS, as required by City Ordinance No.: 2022-033, Owner is obligated to
construct or cause to be constructed new North Bradshaw Road from Wellness Way to Owner's
southern property boundary; and
WHEREAS, City, by virtue of the Road Transfer Agreement between the City and Lake
County dated August 29 , 2024 (hereinafter referred to as the "Road Transfer Agreement"),
is vested in certain property right-of-way and easement rights contained within the proposed
alignment for North Bradshaw Road and with the grantee rights under that certain Temporary Non -
Exclusive Access and Easement Agreement recorded in Official Records Book 5240, Page 178,
Public Records of Lake County, Florida (the "Easement"); and
WHEREAS, Owner desires to obtain consent from the City whereby Owner will be
allowed to construct and maintain in perpetuity those certain road improvements required by
Ordinance 2022-033 (the "Improvements") and in the area described in Exhibit "B" attached
hereto and incorporated herein; and
WHEREAS, City requires that Owner undertake certain commitments and covenants with
respect to the Improvements to assure their perpetual and continuous maintenance.
NOW, THEREFORE, in consideration of the foregoing and of the terms and conditions
set forth herein, the parties agree as follows:
1. RECITALS. The foregoing recitals are true and form a material part of this
Agreement.
2. RIGHT-OF-WAY UTILIZATION. City does hereby consent to Owner's
utilization of the Right -of -Way for that certain property described in the Road Transfer Agreement

(hereinafter referred to as "Old North Bradshaw Road"), for the installation and maintenance of
the North Bradshaw Road Construction, subject to the terms of Ordinance 2022-033, the approved
plans for the road construction and this Agreement.
3. ABANDONMENT OF RIGHT-OF-WAY AND EASEMENTS. As soon as
practical hereafter, Owner shall submit an application for the abandonment of any and all right-of-
way and easements that run in favor of City, which are composed of the unvacated portion of North
Bradshaw Road as the same is identified on that certain Plat recorded at Plat Book 2, Page 27,
Public Records of Lake County, Florida, and that certain maintained clay road legally described
in Exhibit "C" attached hereto and incorporated herein. The Owner shall also request the
abandonment or termination of the Easement. The application shall be consistent with the City
code including payment of all applicable fees and costs and shall be processed by City staff for
final consideration of the City Council as soon as practical.
4. NORTH BRADSHAW ROAD IMPROVEMENTS. Subject to force majeure
events and Owner obtaining all necessary permits and approvals from the City, Owner shall
commence construction of the road improvements on or before September 30, 2024. The road
improvement shall be in substantial accordance with the approved Grading Plans dated July 17,
2024, and the approved Construction Plans (currently dated June 26, 2024), as and when approved
(hereinafter collectively referred to as the "Road Improvements"). During the construction of the
Road Improvements, Old North Bradshaw Road shall be closed for access to the public, provided,
however, that any and all private ingress and egress rights shall remain open for the benefit of the
grantee of said rights. Upon completion of the Road Improvements and acceptance by the City,
Owner shall transfer to City by right-of-way dedication deed, acceptable to City, the right-of-way
as set forth in the above -referenced Construction Plans. As part of the transfer of right-of-way,
Owner shall provide at its expense, a current owners and encumbrances title report, acceptable to
City, verifying ownership of the right-of-way to be dedicated to the City.
5. MAINTENANCE OF NORTH BRADSHAW ROAD. As set forth in Ordinance
2022-033, the North Bradshaw Road Improvements shall be maintained in perpetuity by Owner
and the owner of the adjoining property to the Owner Parcel, as required by said Ordinance and
per a separate agreement between them, their successors or assigns. Provided, however, that North
Bradshaw Road shall remain open to the public and the City, Lake County, and the Lake County
Sheriff. The aforesaid parties, as may be applicable, will retain jurisdiction for law enforcement
and public safety purposes.
6. INDEMNIFICATION. To the fullest extent permitted by law, Owner shall
indemnify and hold harmless the City from and against all claims, damages, losses and expenses,
including reasonable attorney's fees and costs, arising out of or resulting from the construction of
North Bradshaw Road and the performance of their obligations under this Agreement. Owner
shall indemnify and hold harmless the City (and any governmental body or utility authority
properly using such right-of-way or easement) from and against all expenses, costs or claims for
any damages to the Improvements which may result from the use of such right-of-way by the City
or other governmental body or authority due to maintenance, construction, installation, or other
proper use within such right-of-way or easement.

7. INSURANCE. Owner and its contractor, if applicable, shall obtain or possess
commercial general liability insurance with limits of not less than $2,000,000 Combined Single
Limit (CSL) or its equivalent and shall provide a Certificate of Insurance to the City prior to
commencing operations under this Agreement to verify insurance coverage. The insurance
coverage shall remain in place until such time as the contemplated improvements have been
completed and accepted by City. The insurance coverage shall name the City as an additional
insured, and shall contain a provision which forbids any cancellation, changes or material
alterations in the coverage without providing thirty (30) days' prior written notice to City.
8. ASSIGNABILITY. The parties hereto acknowledge and agree that the Owner shall
have the right to assign its rights and obligations under this Agreement to any successors in title to
all or any part of the Property and shall provide written notice to the City of any assignment. The
City agrees that the Owner may assign all or a portion of its rights and/or obligations under this
Agreement to a community development district ("CDD") to be established pursuant to Chapter
190, Florida Statutes. In that event, the City and Owner agree that this Agreement and the
Annexation Agreement constitute a development order/development approval of the City, and that
the development order/development approval approves or expressly requires the projects
referenced in both agreements (and to the extent assigned to the CDD hereunder) to be constructed
or funded by the CDD, as contemplated in Sections 190.012(1)(g) and (h), Florida Statutes.
9. GOVERNING LAWNENUE. This Agreement, and all extensions, renewals,
amendments, supplements, and modifications thereto, and all questions relating to the validity,
interpretation, performance, or enforcement thereof shall be governed by and construed in
accordance with the laws of the State of Florida. Except for a suit in Federal court, venue for all
suits to enforce this Agreement shall be in Lake County, Florida. All legal disputes, proceedings,
or actions arising out of or in connection with this Agreement shall be brought in the Circuit Courts
of Lake County, Florida, or, if appropriate, the United States District Court for the Middle District
of Florida, Orlando Division. Each of the parties hereto warrants and represents that this
Agreement is valid, binding and enforceable against and in accordance with the terms and
conditions of Florida law.
10. NOTICES. All notices which are required or permitted under this Agreement shall
be given to the parties by certified mail, return receipt requested, hand delivery or express courier
and shall be effective upon receipt when delivered to the parties at the addresses set forth below
(or such other addresses as provided by the parties by written notice delivered in accordance with
this paragraph):

11. RECORDING. It is intended that this Agreement shall be recorded in the Public
Records of Lake County, Florida at Owner's sole expense.
12. COVENANTS RUNNING WITH THE LAND. It is intended that the provisions
of the Agreement shall constitute covenants running with the land or an equitable servitude upon
the land, as the case may be, applicable to all of the property described herein or any portion
thereof. It is further intended that this Agreement shall be binding on all parties having any right,
title or interest in the property described herein or any portion thereof, their heirs, personal
representatives, successors and assigns. Owner declares that the property described in this
Agreement or any portion thereof shall be held, sold and conveyed subject to the provisions of this
Agreement. This Agreement shall inure to the benefit of and be enforceable by City, its respective
legal representatives, successors and assigns.

13. FURTHER ASSURANCES. The parties hereto agree to execute any and all further
instruments and documents and to take all such actions as may be reasonably required to carry out
the terms of this Agreement and the transactions contemplated herein.
14. AMENDMENT. The provisions, restrictions and covenants of this Agreement
shall not be modified or amended except in a written instrument approved by both parties.
15. COMPLIANCE WITH APPLICABLE LAWS. Owner shall comply with all
applicable state laws and all city ordinances.
16. DISCLAIMER OF CITY RESPONSIBILITY. Nothing contained herein shall
create any obligation on the part of the City to maintain said improvements.
17. EFFECTIVE DATE. This Agreement shall take effect upon being recorded in the
Public Records of Lake County, Florida.

RIGHT-OF-WAY UTILIZATION AGREEMENT
THIS RIGHT-OF-WAY UTILIZATION AGREEMENT, entered into by and between
PRM CLERMONT/WELLNESS WAY OWNER LLC, a Delaware limited liability company,
("Owner"), and the CITY OF CLERMONT, FLORIDA, a Florida municipal corporation
("City").
RECITALS:
WHEREAS, Owner is the owner of that certain real property legally described in
Exhibit "A" attached hereto and incorporated herein (the "Owner Parcel"); and
WHEREAS, as required by City Ordinance No.: 2022-033, Owner is obligated to
construct or cause to be constructed new North Bradshaw Road from Wellness Way to Owner's
southern property boundary; and
WHEREAS, City, by virtue of the Road Transfer Agreement between the City and Lake
County dated August 29 , 2024 (hereinafter referred to as the "Road Transfer Agreement"),
is vested in certain property right-of-way and easement rights contained within the proposed
alignment for North Bradshaw Road and with the grantee rights under that certain Temporary Non -
Exclusive Access and Easement Agreement recorded in Official Records Book 5240, Page 178,
Public Records of Lake County, Florida (the "Easement"); and
WHEREAS, Owner desires to obtain consent from the City whereby Owner will be
allowed to construct and maintain in perpetuity those certain road improvements required by
Ordinance 2022-033 (the "Improvements") and in the area described in Exhibit "B" attached
hereto and incorporated herein; and
WHEREAS, City requires that Owner undertake certain commitments and covenants with
respect to the Improvements to assure their perpetual and continuous maintenance.
NOW, THEREFORE, in consideration of the foregoing and of the terms and conditions
set forth herein, the parties agree as follows:
1. RECITALS. The foregoing recitals are true and form a material part of this
Agreement.
2. RIGHT-OF-WAY UTILIZATION. City does hereby consent to Owner's
utilization of the Right -of -Way for that certain property described in the Road Transfer Agreement

(hereinafter referred to as "Old North Bradshaw Road"), for the installation and maintenance of
the North Bradshaw Road Construction, subject to the terms of Ordinance 2022-033, the approved
plans for the road construction and this Agreement.
3. ABANDONMENT OF RIGHT-OF-WAY AND EASEMENTS. As soon as
practical hereafter, Owner shall submit an application for the abandonment of any and all right-of-
way and easements that run in favor of City, which are composed of the unvacated portion of North
Bradshaw Road as the same is identified on that certain Plat recorded at Plat Book 2, Page 27,
Public Records of Lake County, Florida, and that certain maintained clay road legally described
in Exhibit "C" attached hereto and incorporated herein. The Owner shall also request the
abandonment or termination of the Easement. The application shall be consistent with the City
code including payment of all applicable fees and costs and shall be processed by City staff for
final consideration of the City Council as soon as practical.
4. NORTH BRADSHAW ROAD IMPROVEMENTS. Subject to force majeure
events and Owner obtaining all necessary permits and approvals from the City, Owner shall
commence construction of the road improvements on or before September 30, 2024. The road
improvement shall be in substantial accordance with the approved Grading Plans dated July 17,
2024, and the approved Construction Plans (currently dated June 26, 2024), as and when approved
(hereinafter collectively referred to as the "Road Improvements"). During the construction of the
Road Improvements, Old North Bradshaw Road shall be closed for access to the public, provided,
however, that any and all private ingress and egress rights shall remain open for the benefit of the
grantee of said rights. Upon completion of the Road Improvements and acceptance by the City,
Owner shall transfer to City by right-of-way dedication deed, acceptable to City, the right-of-way
as set forth in the above -referenced Construction Plans. As part of the transfer of right-of-way,
Owner shall provide at its expense, a current owners and encumbrances title report, acceptable to
City, verifying ownership of the right-of-way to be dedicated to the City.
5. MAINTENANCE OF NORTH BRADSHAW ROAD. As set forth in Ordinance
2022-033, the North Bradshaw Road Improvements shall be maintained in perpetuity by Owner
and the owner of the adjoining property to the Owner Parcel, as required by said Ordinance and
per a separate agreement between them, their successors or assigns. Provided, however, that North
Bradshaw Road shall remain open to the public and the City, Lake County, and the Lake County
Sheriff. The aforesaid parties, as may be applicable, will retain jurisdiction for law enforcement
and public safety purposes.
6. INDEMNIFICATION. To the fullest extent permitted by law, Owner shall
indemnify and hold harmless the City from and against all claims, damages, losses and expenses,
including reasonable attorney's fees and costs, arising out of or resulting from the construction of
North Bradshaw Road and the performance of their obligations under this Agreement. Owner
shall indemnify and hold harmless the City (and any governmental body or utility authority
properly using such right-of-way or easement) from and against all expenses, costs or claims for
any damages to the Improvements which may result from the use of such right-of-way by the City
or other governmental body or authority due to maintenance, construction, installation, or other
proper use within such right-of-way or easement.

7. INSURANCE. Owner and its contractor, if applicable, shall obtain or possess
commercial general liability insurance with limits of not less than $2,000,000 Combined Single
Limit (CSL) or its equivalent and shall provide a Certificate of Insurance to the City prior to
commencing operations under this Agreement to verify insurance coverage. The insurance
coverage shall remain in place until such time as the contemplated improvements have been
completed and accepted by City. The insurance coverage shall name the City as an additional
insured, and shall contain a provision which forbids any cancellation, changes or material
alterations in the coverage without providing thirty (30) days' prior written notice to City.
8. ASSIGNABILITY. The parties hereto acknowledge and agree that the Owner shall
have the right to assign its rights and obligations under this Agreement to any successors in title to
all or any part of the Property and shall provide written notice to the City of any assignment. The
City agrees that the Owner may assign all or a portion of its rights and/or obligations under this
Agreement to a community development district ("CDD") to be established pursuant to Chapter
190, Florida Statutes. In that event, the City and Owner agree that this Agreement and the
Annexation Agreement constitute a development order/development approval of the City, and that
the development order/development approval approves or expressly requires the projects
referenced in both agreements (and to the extent assigned to the CDD hereunder) to be constructed
or funded by the CDD, as contemplated in Sections 190.412(l)(g) and (h), Florida Statutes.
9. GOVERNING LAWNENUE. This Agreement, and all extensions, renewals,
amendments, supplements, and modifications thereto, and all questions relating to the validity,
interpretation, performance, or enforcement thereof shall be governed by and construed in
accordance with the laws of the State of Florida. Except for a suit in Federal court, venue for all
suits to enforce this Agreement shall be in Lake County, Florida. All legal disputes, proceedings,
or actions arising out of or in connection with this Agreement shall be brought in the Circuit Courts
of Lake County, Florida, or, if appropriate, the United States District Court for the Middle District
of Florida, Orlando Division. Each of the parties hereto warrants and represents that this
Agreement is valid, binding and enforceable against and in accordance with the terms and
conditions of Florida law.
10. NOTICES. All notices which are required or permitted under this Agreement shall
be given to the parties by certified mail, return receipt requested, hand delivery or express courier
and shall be effective upon receipt when delivered to the parties at the addresses set forth below
(or such other addresses as provided by the parties by written notice delivered in accordance with
this paragraph):

11. RECORDING. It is intended that this Agreement shall be recorded in the Public
Records of Lake County, Florida at Owner's sole expense.
12. COVENANTS RUNNING WITH THE LAND. It is intended that the provisions
of the Agreement shall constitute covenants running with the land or an equitable servitude upon
the land, as the case may be, applicable to all of the property described herein or any portion
thereof. It is further intended that this Agreement shall be binding on all parties having any right,
title or interest in the property described herein or any portion thereof, their heirs, personal
representatives, successors and assigns. Owner declares that the property described in this
Agreement or any portion thereof shall be held, sold and conveyed subject to the provisions of this
Agreement. This Agreement shall inure to the benefit of and be enforceable by City, its respective
legal representatives, successors and assigns.

13. FURTHER ASSURANCES. The parties hereto agree to execute any and all further
instruments and documents and to take all such actions as may be reasonably required to carry out
the terms of this Agreement and the transactions contemplated herein.
14. ,AMENDMENT. The provisions, restrictions and covenants of this Agreement
shall not be modified or amended except in a written instrument approved by both parties.
15. COMPLIANCE WITH APPLICABLE LAWS. Owner shall comply with all
applicable state laws and all city ordinances.
16. DISCLAIMER OF CITY RESPONSIBILITY. Nothing contained herein shall
create any obligation on the part of the City to maintain said improvements.
17. EFFECTIVE DATE. This Agreement shall take effect upon being recorded in the
Public Records of Lake County, Florida.

ROAD TRANSFER AGREEMENT
(North Bradshaw Road)
THIS IS A ROAD TRANSFER AGREEMENT ("Agreement") by and between Lake
County, Florida, a political subdivision of the State of Florida ("County") and the City of
Clermont, a municipal corporation ("City"), collectively the "parties," regarding construction
improvements to North Bradshaw Road, transfer of jurisdiction and maintenance of North
Bradshaw Road, and transfer of a temporary access easement.
WHEREAS, Section 163.01, Florida Statutes, provides that local governments may enter
into interlocal agreements to make the most efficient use of their powers by enabling them to
cooperate with other localities on a basis of mutual advantage; and
WHEREAS, Section 335.0415, Florida Statutes, provides that public roads may be
transferred between jurisdictions by mutual agreement of the affected governmental entities; and
WHEREAS, prior to execution of this Agreement, North Bradshaw Road comprises of a
County -maintained clay road beginning at Wellness Way and continuing approx. south 920 feet
to the Cell Tower driveway, consisting of approximately +/- .544 acres together with a platted
right-of-way per Plat Book 2, Page 27 Public Records of Lake County, Florida (Exhibit A) and
maintained right of way (Exhibit B); and
WHEREAS, the County and the City desire to transfer jurisdiction of North Bradshaw
Road to the City, to coincide with development occurring within the City with PRM
Clermont/Wellness Way Owner LLC and/or Advent Health/System/Sunbelt, Inc, in which the
City will handle permitting and management of the construction of the road improvements by the
Developer(s); and
WHEREAS, the City has adopted Ordinance No. 2022-033, recorded at Official Records
Book 6078, Page 1990, Public Records of Lake County, Florida which incorporates a
Development Agreement dated October 22, 2019, and recorded in Official Records Book 5409,
Page 1579 of the public records of Lake County, Florida, that obligates a developer to performing
roadway improvements to North Bradshaw Road, the "Project'; and
WHEREAS, the County and the City agree that entry of this Agreement between them
benefits residents of both jurisdictions and is in the best interests of the public health, safety and

welfare of all residents of Lake County.
NOW THEREFORE, IN CONSIDERATION of the mutual terms, understandings,
conditions, premises, and covenants hereinafter set forth, and intending to be legally bound, the
parties hereby agree as follows:
1. Lesal Findings of Fact. The foregoing recitals are hereby adopted as legislative
findings of the Board of County Commissioners and are ratified and confirmed as being true and
correct and are hereby made a specific part of this Agreement upon adoption hereof.
2. County Obligations.
A. In accordance with Section 335.0415, Florida Statutes, the County
transfers to the City any and all jurisdiction, ownership interest, operation and maintenance
responsibilities that the County may have in North Bradshaw Road, in its entirety, boundaries as
depicted in the legal description and sketch attached hereto and incorporated herein as Exhibit A
and Exhibit B. The transfer of the County's ownership interest of North Bradshaw Road to the
City shall be effective upon the effective date of this Agreement (the "Effective Date of the
Transfer") and documents shall be recorded to reflect the transfer, as detailed below. Additionally,
the County transfers ownership and maintenance responsibilities to the City of any and all of
County's ownership interest, operation and maintenance responsibilities and obligations and
rights of any kind associated with the Temporary Non -Exclusive Access Easement, recorded in
the Public Records of Lake County, Florida, at Official Record Book 5240, Page 178, attached
hereto and incorporated herein as Exhibit C.
B. The County will continue to maintain North Bradshaw Road until the City
approves the Developer's plans and permits the Developer to begin work on North Bradshaw
Road. Once the City has permitted the North Bradshaw Road improvements, the maintenance
responsibilities will be transferred to the City (the "Maintenance Transfer Date"). The parties
contemplate that the City will assign certain maintenance tasks to the Developer by separate
agreement. In no event shall the Maintenance Transfer Date be later than one (1) year from the
date of recording this Agreement. From the Effective Date of Transfer and until the Maintenance
Transfer Date, the City hereby grants to the County a license to enter North Bradshaw Road as
necessary to perform its maintenance responsibilities.
3. City Obligations.
A. As of the Effective Date of the Transfer, the City accepts any and all of

County's ownership interest of North Bradshaw Road, in its entirety. As of the Maintenance
Transfer Date, the City accepts any and all of County's operation and maintenance responsibilities
of North Bradshaw Road, in its entirety.
B. The City will record an Affidavit Affecting Real Property pursuant to
Section 695.26, Florida Statutes, which shall be in substantially similar form to the Affidavit
attached hereto and incorporated herein as Exhibit D, reflecting the transfer of maintenance
responsibilities on the Maintenance Transfer Date. City will cooperate fully to execute this
Affidavit and with any requests of County related to this Affidavit.
C. Additionally, the City accepts the transfer of ownership and maintenance
responsibilities from the County of any and all of County's ownership interest, operation and
maintenance responsibilities and obligations and rights of any kind associated with the Temporary
Non -Exclusive Access Easement attached hereto and incorporated herein as Exhibit C. The
County will record an Assignment and Assumption of Easement Deed ("Easement Deed")
reflecting the transfer. The City will cooperate fully to execute this Easement Deed and with any
requests of County related to this Easement Deed.
4. Termination. This Agreement cannot be terminated unless mutually agreed upon
by the parties in writing.
5. Modifications. Unless otherwise specified herein, no modification, amendment,
or alteration of the terms or conditions contained herein shall be effective unless contained in a
written document executed by the parties hereto, with the same formality and of equal dignity
herewith.
6. Notices. All notices, demands, or other writings required to be given or made or
sent in this Agreement, or which may be given or made or sent, by either party to the other, shall
be deemed to have been fully given or made or sent when in writing and addressed as follows:

B. The effective date of such notices shall be the date personally delivered, or
if sent by certified mail, the date the notice was signed for, or if sent by overnight letter delivery
company, the date the notice was delivered by the overnight letter delivery company.
C. Parties may designate other parties or addresses to which notice shall be
sent by notifying, in writing, the other party in a manner designated for the filing of notice
hereunder.
7. Entire Agreement. This document embodies the entire agreement between the
parties. It may not be modified or terminated except as provided herein.
8. Severability. If any provision of this Agreement is found by a court of competent
jurisdiction to be invalid, it shall be considered deleted herefrom, and shall not invalidate the
remaining provisions.
9. Effective Date. This Agreement shall become effective upon the date the last party
hereto executes it. The transfer shall become effective on the effective date of the transfer as
defined in paragraph 2.13., above.

THIS TEMPORARY NON-EXCLUSIVE ACCESS AND EASEMENT
AGREEMENT (this "Asreement") is made by and between CLONTS GROVES, INC., a
Florida corporation, whose address is P.O. Box 622916, Oviedo, Florida 32762-2916 (the
"Grantor") and LAKE COUNTY FLORIDA, a political subdivision of the State of Florida,
whose address is P.O. Box 7800, Tavares, Florida 32778-7800 (the " rant "). The Effective
Date shall be the last date on which either Grantor or Grantee shall have executed this
Agreement.
RECITALS
A. Grantor is the owner of certain real property located in Lake County, Florida
which is more particularly described on Exhibit "A" attached hereto and by reference made a
part hereof (the "Gmator Property").
B. Grantee requires that Grantor grant an easement over a portion of the un-platted
property of the Grantor which is contiguous to the Grantor Property and is more particularly
described on Exhibit "B" attached hereto and by this reference incorporated herein (the "
de -Sac Parcel").
C. Grantor has agreed to grant the Grantee an Easement (as hereinafter defined) over
the Cul-de-Sac Parcel subject to the terms and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the sum of ten and No/100 Dollars ($10.00)
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto agree as follows:
1. Remittal& The parties acknowledge and agree that the foregoing Recitals are true
and correct and are hereby incorporated in this Agreement for all purposes.
2. Grant of Eamment. Grantor does hereby give, declare, establish, grant and
convey to Grantee and its assigns, a temporary non-exclusive easement for access purposes in,
over, across, through and upon the Cut -de -Sac Parcel for ingress, egress, and access purposes
with full authority to enter upon, as the Grantee and its assigns may deem necessary for access,

ingress and egress, emergency services and utility connections (the "Easement"). The Easement
granted to Grantee hereunder is a covenant running with the land and shall be for the purpose of
providing access, ingress, egress, and turnaround areas.
The Grantor and Grantee agree it is the responsibility of the Grantor to construct a cul-de-sac on
the Cul-de-Sac Parcel, at Grantor's expense, and do so within ninety (90) days of the date of
approval of this Agreement by both parties. Construction shall be to the standards of Grantee for
a stabilized clay cul-de-sac, at a minimum. Grantor agrees to barricade the south side of such cul-
de-sac to prevent access to vacated portion of North Bradshaw Road.
3. FUVr+e Develovipentt Termination. The parties hereto acknowledge that the
Easement granted m this Agreement shall automatically terminate, without the necessity of the
Grantor undertaking vacation proceedings or obtaining any release from the Grantee, at such
time as Grantor or its successor or assigns shall cause the Cul-de-Sac Parcel to be included in a
subsequent development approved by Grantee and recorded in the Public Records of Lake
County, Florida. Upon expiration of this Agreement, the Lake County Manager, or its designee,
agrees to execute and deliver to Grantor a notice of termination of this Agreement.
4. Maintenance, The Grantor shall maintain the Cul-de-Sac Parcel, at Grantor's sole
cost and expense. Grantor hereby reserves the right to relocate the Easement by separate written
instrument agreed to by the Grantor and Grantee, which approval shall not be unreasonably
withheld.
5. General Provisions. The following general provisions shall apply to all of the
terms and provisions set forth in this Agreement:
(a) Parties Benefitted. The Easement and rights granted hereunder to Grantor
and Grantee, and their respective successors in title, may be utilized by and shall inure to the
benefit of their respective agents and invitees, Nothing contained in this Agreement shall create
any perrnarmt rights in the general public.
(b) I ep_al Proceedingg; In the event that any party hereto, or any of their
respective successors or assigns, institutes legal proceedings against any other party to enforce or
interpret any terms or provisions of this Agreement, each party agrees to pay its own attorney's
fees and costs.
(c) Certificate of Compliance. Each party hereto and their respective
successors and assigns, upon written request made by the other party, hereby agrees to certify in
writing to the other party and to any mortgagee having a collateral interest in any lands that are
the subject of this Agreement, whether this Agreement remains in full force and effect, whether
the other party is presently in compliance with all current obligations under the Agreement, and
whether any default exists hereunder. Provided that in the event there exists any non-compliance
or events of default, such written certification shall set forth the facts identifying any such
matters. Any such written certification shall be delivered within ten (10) business days after the
date of receipt of the request from the other party.
(d) Entire Aereemcni Amendment: Termination, This Agreement constitutes
the entire agreement of the parties with regard to the subject matte hereof The terms and

provisions of this Agreement may be modified, supplemented or terminated only by a written
instrument signed by the parties hereto or their successors and assigns.
(e) Co_�parts. To facilitate execution, Grantor and Grantee agree that this
Agreement may be executed in as many counterparts as may he required and it shall not be
necessary that the signature of, or on behalf of, each party, or that the signatures of all persons
required to bind any parry, appear on each counterpart; it shall be sufficient that the signature of,
or on behalf of, each party, or that the signatures of the persons required to bind any party,
appear on one or more of such counterparts. All counterparts shall collectively constitute a single
Agreement.

BEFORE ME, the undersigned authority, on this day personally appeared, BRIAN
BULTHUIS, as City Manager for the City of Clermont, 685 West Montrose Street, Clermont,
Florida, 34711, who being first duly sworn, deposes and says:
1. This is an Affidavit Affecting Real Property pursuant to Section 695.26, Florida Statutes, by which
maintenance responsibilities are assigned to the City of Clermont, Florida ("City") via a Road
Transfer Agreement Between Lake County, Florida and City of Clermont, Florida ("Road Transfer
Agreement"), recorded in Official Record Book Pages , recorded in the public records
of Lake County, Florida on (date).
2. As of (date), the Maintenance Transfer Date, as defined in the Road Transfer
Agreement, any and all responsibilities that the County may have to maintain North Bradshaw
Road and related right of way, comprised of a clay road beginning at Wellness Way and continuing
south 920 feet to the Cell Tower driveway, consisting of approximately +/- .544 acres together
with a platted right-of-way per Plat Book 2, Page 27 Public Records of Lake County, Florida, were
transferred to the City.
3. This Affidavit is being recorded to provide notice to third parties that the City, its successors and
assigns, shall be fully responsible for the maintenance of the herein described roadway and related
right of way as of the Maintenance Transfer Date, that the County has assigned all responsibilities
to the City, its successors and assigns for the property described in Exhibit A attached hereto and
incorporated herein by reference.
