Dear Ms. Albright:
I am In receipt of your letter of May 24 regarding the
service contract on our Sony BM-l45.

When we first received the invoice from EGP, I questioned
the maintenance period as the machine was under warrantee.
was advised that the dates on the invoice were In error, but
the terms required payment for the following year's contract
at the time of purchase. A copy of the written confirmation
of the proper dates is enclosed.
In short, we have paid for the service contract through June 3,
1980. Please advise us which company will be rendering service.
The headset has developed a loose connection which we would like
repaired.

MAINTENANCZ AGREEMENT
Terms and Conditions
For the purpose of maintaining the equipment covered by this Agreement in good operating
condition, HOWELL'S TYPEWRITERS, INC. (hereinafter "HOWELL'S) agrees to perform the maintenance
service included on the reverse side hereof in accordance with the following terms and conditions:
1. At the time of irtspection, equipment will be cleaned, lubricated and adjusted. Such
inspections shall be made at reasonable intervals as determined by HOWELL'S during the
term of this Agreement and may be made at the same time as emergency service calls.
2. Excessively worn parts or parts broken through normal usage will be replaced at no extra
charge except for typewriter platens or ribbons, which Customer will be charged at HOWELL'S
established prices.
3. Emergency service calls between inspections will be performed at no extra charge providing
such calls are~made during normal busineas bourse Overtime charges at HOWELL'S current rate
will apply on all service calls made outside normal business hours. Normal business hours
are herein defined to mean 8:30AM to 5:00PM Monday through Friday, exclusive or holidays.
4. (a) In the event that any equipment is moved from the location set forth on the reverse
side hereof, then at ROWELL'S option the Agreement pertaining to the moved equipment
may be terminated and/or may be subject to an additional service charge.
(b) This Agreement is not assignable or transferable and does not cover replacement of
toner, paper, ,or concentrate.

5. This Agreement will not apply to any equipment lost or damaged through accident, abuse,
misuse, theft, neglect, acts of third parties, fire, water, casualty or any other natural
force and any loss or damage occuring from any of the foregoing is specifically excluded
from this Agreement.

6. All equipment listed on the reverse side hereof must be in good mechanical condition on the
effective date of this Agreement or any renewal thereor. When, in ROWELL'S opinion, a shop
reconditioning is necessary because normal parts replacement and repair cannot keep the
equipment in satisfactory operating condition, ROWELL'S will submit a cost estimate which,
if approved by Customer, will be in addition to the maintenance charges herein. All shop
reconditioning and other repairs or adjustment which ROWELL'S, in it's opinion, is unable
to make on the Customer's premises shall require removal of the equipment by HOWELt'S to
its repair facilities from the Customer's premises for such time as shall be reasonably
required by HOI~L'S to effect such repairs, adjustments or reconditioning.
7. Specification changes, alteration ~r attachments may require a change in the maintenance
charges set forth herein--ROWELL'S also reserves the right to terminate this Agreement in
the event that it shall determine that such changes, alteration or attachments make it
impractical for ROWELL'S to continue to service the equipment.
8. The costs set forth on the reverse side hereof shall be increased by an amount equal to any
tax now or hereafter assessed, levied or imposed by any federal, state or municipal authority,
which amount shall be paid by Customer.
9. This Agreement shall be for a term of one (1) year commencing upon the effective date shown
on the reverse side hereof.
10. In the event that either party :0 this Agreement shall have the right to cancel same in
accordance ~ith the terms and provisions thereof, and such .right of termination is exercised,
and such cancellation occurs prior to the anniversary date of this Agreement, advance payments
received by HOWELL'S will be prorated giving consideration to the number of emergency service
calls and inapections furnished Customer to the date or cancellation against the annual main-
tenance fee paid by Customer. And any excess payments will be rerunded to Customer.
11. Under the terms or this Agreement, the Customer agrees not to hold HOWELL'S responsible for
any machine malfunctions caused by the use of technically unsatisfactory supplies such as;
paper, toner, ribbons, etc.
12. Invoices pursuant to this Agreement will be tendered annually at the outset of each term.
All charges for services and parts hereunder and all annual maintenance charges shall be
payable by the Customer immediately upon receipt or invoice.
13. This Agreement is not assignable or transferable by Customer without the prior written
consent of ROWELL'S.
14. Subject to the terms and conditions set forth herein, ROWELL'S warranties that workmanship
and material in connection with this Maintenance Agreement will be free from defects for a
period of fifteen (15) days. Except as set forth herein, HOWELL'S makes no warranty of any
kind, nature or description, express or implied, as to any matter.
Customer agrees that ROWELL'S shall not incur any liability to Customer for any loss of
business, loss of profits, expenses, or any other damages resulting to Customer by reason on
any non-performance or defective performance by HOWELL"S of this ~aintenance Agreement.
