BOX 437 ZIP 32711 MEMORANDUM AGREEMENT TO: CITY MANAGER and the CITY COUNCIL of the City of Clermont, Florida: WHEREAS, RICHARD H. LANGLEY has been appointed city attorney for the City of Clermont, Lake County, Florida, and WHEREAS, it is the desire of both the city attorney and the governing body of the municipality of Clermont, Florida, that a written memorandum be drawn setting forth the working agreement be- tween said parties, it is, THEREFORE, agreed as follows: A. That Richard H. Langley shall be paid a retainer of $150.00 per month, payable on or about the last day of each month, and that in consideration thereof he shall perform the following specific duties and services: 1. The city attorney shall attend all regular or special meetings of the City Council. 2. The City Attorney shall submit in writing all legal opinions requested in writing by the City Manager; it being understood that requests from any other department shall be channelled through the City Manager to the city attorney. 3. The city attorney shall attend and give legal counsel at Board of Equalization. 4. The city attorney shall study and render wr!tten legal opinions on all contracts, agreements, etc. that the City may enter into. 5. The city attorney shall ,prepare all City ordin- ances, Resolutions or Proclamations as may be requested by the City Manager. 6. The city attorney shall prepare complaints for presentation to the City Court for violations of City ordinances as and when requested by the City Manager. 7. It is clearly understood between the parties, and expressly agreed, that in instances where an un- usual amount of time is required in the research and/or preparation of any of the matters as set forth in Items 4, 5 and 6 herein, that the city attorney, after consultation with the City Manager, shall proceed on an hourly basis as set forth in the schedule below: B. Special compensation shall be paid by the City to the attorney for the following obligations and duties and this amount shall be above and not included in the above named retainer fee: (a) Research projects requested by the City Manager and all time spent in City Court for prosecution or representation of the City shall be compensated at an hourly rate of $25.00. Any extra work which falls within Item 7 above shall be compensated at $25.00 per hour. (b) Attendance at special board and commission meetings whenever requested by the City Manager shall be compensated at $25.00 per hour. (d) Any work not specifically covered by this memo- randum shall be brought to the attention of the City Council by the city attorney and compen- sation shall be awarded as agreed at that time.
