Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 AGREEMENT No. 2025-076 DEVELOPMENT OF A FORM -BASED CODE THIS AGREEMENT (this "Agreement") is made and entered into as of this 26th day of August 2025, by and between the CITY OF CLERMONT, FLORIDA, a municipal corporation under the laws of the State of Florida whose address is: 685 W. Montrose Street, Clermont, Florida, (hereinafter referred to as "CITY") and DPZ CODESIGN, LLC., whose address is: 1023 SW. 25th Avenue, Miami, FL 33135, (hereinafter referred to as "CONSULTANT"). WITNESSETH WHEREAS, CITY desires to retain the services of a qualified and duly licensed CONSULTANT to develop and adopt a form -based code to replace or supplement the existing zoning regulations for the downtown area; and WHEREAS, CONSULTANT submitted a proposal to provide said services and has represented to CITY that it is qualified and desires to perform said services in accordance with the terms and conditions contained herein, and all applicable laws and professional standards; NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties covenant and agree as follows: 1. SCOPE OF SERVICES CONSULTANT shall furnish all labor, materials, equipment, and transportation necessary to perform the work described in CITY's RFP 25-087, titled Development of a Form -Based Code (the "RFP"), together with CONSULTANT's response thereto (the "Scope of Services"). The services, duties, and obligations to be performed by CONSULTANT under this Agreement (the "Services") shall consist of, and be limited to, the Scope of Services as incorporated herein. CONSULTANT shall perform all tasks and provide all deliverables as required by the Scope of Services and this Agreement. 2. COMPENSATION SCHEDULE CITY agrees to and does engage CONSULTANT to perform the Services for compensation described herein and as set forth in Exhibit "A" attached hereto and incorporated herein, and the parties do further agree: A. As a condition precedent to receiving payment, CONSULTANT shall have been authorized to proceed by CITY for the specific phase, shall not be in default on any of the terms and conditions of this Agreement, and shall provide to CITY an invoice. B. CITY shall pay all valid, approved, and undisputed invoices as set forth in Exhibit "A" within thirty (30) days of receipt from CONSULTANT. In the event that CITY disputes any invoice submitted, it shall advise CONSULTANT in writing and said invoice shall not be deemed due and payable under this Agreement. Neither CITY's review, approval, or acceptance of, nor payment for, any services provided hereunder shall be construed to 1 Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 operate as a waiver of any rights under this Agreement and CONSULTANT shall be liable to CITY for any and all damages to CITY caused by CONSULTANT's negligent or wrongful performance of any of the Services. C. CONSULTANT agrees to assign competent professionals to perform the assigned responsibilities and duties faithfully, intelligently, and to the best of their ability, and in the best interest of CITY during the term of this Agreement. The Services shall be performed in accordance with this Agreement and with any and all applicable law, professional standards, and guidelines. CITY may request CONSULTANT to make changes in the Scope of Services or make revisions to the work performed. Any changes or revisions requested by CITY that are not due to CONSULTANT error, omission, or negligence will be incorporated into the Scope of Services by written amendment to this Agreement and CONSULTANT may be entitled to additional compensation upon the agreement of the parties. 3. CONSULTANT AUTHORIZATION; MILESTONE SCHEDULE CONSULTANT shall not be authorized to provide the Services until such time as CONSULTANT has received specific authorization from the City Manager or his designee. Thereafter, CONSULTANT shall perform the Services to the satisfaction of CITY in accordance with the Milestone Schedule attached hereto and incorporated herein as Exhibit "B". 4. TERM This Agreement is to become effective upon execution by both parties and shall continue until such time as the Scope of Services are complete or this Agreement is terminated, as provided in Section 5 herein. 5. TERMINATION A. In the event of a breach of this Agreement, the non -breaching party may terminate this Agreement upon written notice to the breaching parry. B. CITY shall have the right to terminate this Agreement, for any reason, upon thirty (30) days written notice to CONSULTANT. In the event of termination by CITY pursuant to this Section 5, CONSULTANT shall be compensated in accordance with the services completed and accepted, as of the date of the termination and as set forth in the Scope of Services. 6. RESPONSIBILITIES OF CONSULTANT In addition to all other responsibilities provided herein, CONSULTANT expressly understands and agrees that, through the above -referenced assigned personnel, it shall perform all of the services required in the Scope of Services, and further agrees as follows: A. CONSULTANT may retain subcontractors to provide any of the Services. Said subcontractors shall be used at the sole expense of CONSULTANT, under the direct supervision of CONSULTANT and with the prior written approval of CITY. 2 Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 B. CONSULTANT expressly acknowledges that any and all documents, logos, marketing, and advertising material, plans, designs, reports, and specifications related to the project and acquired or created by CONSULTANT shall remain, at all times, the property of CITY and CONSULTANT. CONSULTANT, therefore, shall preserve and maintain said records and shall immediately provide copies of them to CITY upon termination of this Agreement. 7. RESPONSIBILITIES OF CITY CITY shall provide CONSULTANT with all information reasonable requested regarding the requirements of the project. 8. AUTHORIZED REPRESENTATIVE OF THE CITY During the term of this Agreement, the City Manager shall be the designated representative authorized to act on behalf of CITY, as provided by law, with respect to the project. 9. CHANGES IN SCOPE OF WORK A. CITY may make changes in the Scope of Services at any time by giving written notice to CONSULTANT. If such changes increase (additional services) or decrease or eliminate any amount of work, CITY and CONSULTANT will negotiate any change in total cost or schedule of modifications. If CITY and CONSULTANT approve any change, the task authorization/work order will be modified to reflect the changes; and CONSULTANT shall be compensated for said services in accordance with the compensation schedule. All change orders shall be authorized in writing by CITY' S and CONSULTANT'S designated representatives. B. All of CITY' S said task authorizations/work orders and amendments thereto shall be performed in strict accordance with the terms of this Agreement insofar as they are applicable. 10. REASONABLE ACCESS During the term of this Agreement, CITY shall grant CONSULTANT reasonable access to CITY' S premises for purposes of fulfilling its obligations under this Agreement. 11. INSURANCE; INDEMNIFICATION CONSULTANT and/or any CITY -approved subcontractors or sub -consultants shall maintain, in force during the term of this Agreement, at its own expense, the insurance coverages as set forth below, and shall be bound by the terms of the indemnification provision herein. (i) Worker's Compensation — as required by applicable state statute. (ii) Commercial General Liability - $1,000,000.00 per occurrence for bodily injury, including death and property damage, and $2,000,000.00 in the aggregate. The General Liability policy shall include the commercial form, contractual liability, and independent contractor's coverage. (iii) Automobile Liability - $1,000,000.00 combined single limit for bodily injury and property damage. The Automobile Liability policy shall include the business form, owned, hired, and non -owned coverage. 3 Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 (iv) Professional Liability (E&O) - $1,000,000.00 for each claim and in the aggregate. (v) Property Coverage — Property coverage in limits sufficient to remedy the loss, and/or loss of use of, valuable papers and records, and any other property of the party utilized in connection with CITY. The General Liability and Automobile Liability shall each contain an endorsement naming the City as an additional insured as to any liability arising out of the insured party's performance pursuant to this Agreement. The Worker's Compensation and Employer's Liability coverage shall contain an endorsement waiving subrogation against CITY. CONSULTANT shall indemnify and hold harmless CITY and its employees from liability, settlements, loss, or costs (including reasonable attorney's fees and cost of defense) to the extent caused by the negligent act, error, or omission of CONSULTANT in the performance of the Services under this Agreement. 12. SHARED OWNERSHIP OF DOCUMENTS All documents prepared or developed under or pursuant to this Agreement, including the Contract Documents and any and all pre-Charrette work products by CONSULTANT, Charrette work products, and final work products, shall become the shared property of CITY and CONSULTANT (collectively, the "Project Deliverables"), and the original hardcopies shall remain in the possession of CONSULTANT. A high -resolution electronic version of the Project Deliverables shall be provided to CITY, and upon CITY'S request, the hardcopies shall be made available to CITY on a temporary basis if needed for further reproduction, publication, or other short-term use. The Project Deliverables shall not be used by CITY or any other third party on other projects, except by agreement in writing and with compensation to CONSULTANT, consistent with CONSULTANT'S customary charges as then in effect. CITY and CONSULTANT agree not to use the Project Deliverables, or any substantially similar derivation of the Project Deliverables, to create a plan for any other location, with the exception that CONSULTANT may continue to use planning tools, strategies, techniques, drawings, and other documents CONSULTANT has prepared prior to engagement for this project. 13. GUARANTEE AGAINST INFRINGEMENT CONSULTANT guarantees that the Services provided under this Agreement shall be free from claims of patent, copyright, and trademark infringement. Notwithstanding any other provision of this Agreement, CONSULTANT shall indemnify and hold harmless CITY, its officers, directors, employees, agents, assigns, and servants from and against any and all liability, including expenses, legal or otherwise, for actual infringement of any patent, copyright, or trademark resulting from the use of any goods, services, or other items provided under this Agreement. Notwithstanding the foregoing, CONSULTANT may elect to provide non -infringing services. 14. ASSIGNMENT A. CONSULTANT shall not assign or subcontract this Agreement, any task authorization hereunder, or any rights or any monies due or to become due hereunder without the prior written consent of CITY. 4 Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 B. If, upon receiving written approval from CITY, any part of this Agreement is subcontracted by CONSULTANT, CONSULTANT shall be fully responsible to CITY for all acts and/or omissions performed by the subcontractor as if no subcontract had been made. C. If CITY determines that any subcontractor is not performing in accordance with this Agreement, CITY shall so notify CONSULTANT, who shall take immediate steps to remedy the situation. D. If any part of this Agreement is subcontracted by CONSULTANT, prior to the commencement of any work by the subcontractor, CONSULTANT shall require the subcontractor to provide CITY and its affiliates with insurance coverage as set forth by CITY' S Risk Management. 15. CONFLICT OF INTEREST CONSULTANT shall not undertake any task on behalf of CITY where CONSULTANT has a conflict of interest arising out of a past or present professional relationship with another client. CONSULTANT shall notify CITY in writing if any conflict of interest or potential conflict of interest should arise. S�T11111JBILTIE Upt1l"I Any delay or failure of either party in the performance of its obligations hereunder shall be excused if and to the extent caused by an event of force majeure, including, but not limited to, acts of God; fire; flood; windstorm; explosion; riot; war; sabotage; strikes; extraordinary breakdown of or damage to CITY'S affiliates' generating plants, their equipment, or facilities; court injunction or order; federal and/or state law or regulation; order by any regulatory agency; or any other cause or causes beyond the reasonable control of the party affected (collectively, "Force Majeure Events"); provided that, prompt notice of such delay is given by such party to the other, and each of the parties hereunto shall be diligent in attempting to remove such cause or causes. If any Force Majeure Event remains in effect for sixty (60) consecutive days, either party may terminate this Agreement. 17. GOVERNING LAW & VENUE This Agreement is made and shall be interpreted, construed, governed, and enforced in accordance with the laws of the State of Florida. Venue shall be Lake County, Florida, or the United States District Court in and for the Middle District of Florida. 18. WAIVER AND ELECTION OR REMEDIES A. Waiver by either party of any terms, condition, or provision of this Agreement shall not be considered a waiver of that term, condition, or provision in the future. B. No waiver, consent, or modification of any of the provisions of this Agreement shall be binding unless in writing and signed by a duly authorized representative of each party hereto. 5 Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 19. PROHIBITION AGAINST CONTINGENCY FEES CONSULTANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for CONSULTANT, to solicit or secure this Agreement, and that it has not paid or agreed to pay any person, company, corporation, individual, or firm, other than a bona fide employee working solely for CONSULTANT, any fee, commission, percentage, gift, or other consideration contingent upon or resulting from the award or making of this Agreement. 20. ENTIRE AGREEMENT This Agreement, including the schedules, attachments, appendixes, and exhibits attached hereto, constitutes the entire Agreement between CITY and CONSULTANT with respect to the Services, and all previous representations relative thereto, either written or oral, are hereby annulled and superseded. 21. SOVEREIGN IMMUNITY Nothing contained in this Agreement shall be construed as a waiver of CITY' S rights to sovereign immunity under Section 768.28, Florida Statutes, or other limitations imposed on CITY' S potential liability under state or federal law. 22. MISCELLANEOUS 23.1 Attorneys' Fees In the event a suit or action is instituted to enforce or interpret any provision of this Agreement, the prevailing party shall be entitled to recover such sum as the court may adjudge reasonable as attorneys' fees at trial or on any appeal, in addition to all other sums provided by law. 23.2 Waiver The waiver by CITY of breach of any provision of this Agreement shall not be construed or operate as a waiver of any subsequent breach of such provision or of such provision itself and shall in no way affect the enforcement of any other provisions of this Agreement. 23.3 Severability If any provision of this Agreement or the application thereof to any person or circumstance is to any extent invalid or unenforceable, such provision, or part thereof, shall be deleted or modified in such a manner as to make the Agreement valid and enforceable under applicable law, the remainder of this Agreement and the application of such a provision to other persons or circumstances shall be unaffected, and this Agreement shall be valid and enforceable to the fullest extent permitted by applicable law. 23.4 Amendment Except for as otherwise provided herein, this Agreement may not be modified or amended except by an Agreement in writing signed by both parties. 23.5 Venue The parties agree that the sole and exclusive venue for any cause of action arising out of this Agreement shall be Lake County, Florida. 23.6 Applicable Law This Agreement and any amendments hereto are executed and delivered in the State of Florida and shall be governed, interpreted, construed, and enforced in accordance with the laws of the State of Florida. 23.7 Public Records The CONTRACTOR expressly understands records associated with this project are public records and agrees to comply with Florida's Public Records law, including the following: A. Keep and maintain public records that ordinarily and necessarily would be required by CITY in order to perform the Services. B. Provide the public with access to public records on the same terms and conditions that CITY would provide the records and at a cost that does not exceed the cost provided in Florida's Public Records law or as otherwise provided by law. C. Ensure that public records that are exempt or confidential and exempt from public records 7 Docusign Envelope ID: 4E5D2E7A-1 1 D8-47EB-85C8-4C3C540E78C6 disclosure requirements are not disclosed except as authorized by law. D. Meet all requirements for retaining public records and transfer, at no cost, to CITY all public records in possession of CONTRACTOR upon the termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. The CONTRACTOR shall make reasonable efforts to provide all records stored electronically to CITY in a format compatible with the information technology systems of CITY. E. IF THE CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE CONTRACTOR'S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS CONTRACT, THE CONTRACTOR SHALL CONTACT THE CITY' S CUSTODIAN OF PUBLIC RECORDS AT THE CITY CLERK'S OFFICE, (352) 241-7331. 24. CONTRACT DOCUMENTS The documents listed below are incorporated by reference and made a part of this Agreement as if fully set forth herein (the "Contract Documents"). In the event of any inconsistency or conflict among the Contract Documents, the order of precedence shall be as follows: A. This Agreement; B. Task Authorization / Purchase Order; C. An applicable Scope of Work or Work Order; D. The RFP, and all documents contained in the RFP; and E. CONSULTANT solicitation response. Project Schedule Our proposed timeline for completing the Form -Based Code for the Clermont Target Area is derived from the scope of work in the RFP, and described in detail in Section F of this proposal document. While the City had stated in the RFP that it consid- ers a reasonable timeframe to comprise 12 to 18 months, we have estimates a provisional project timeline of approximately 13 months, from commencement of Task 1: Project Initiation and Management to Task 8: Implementation Tools and Training (the duration of Adoption Support is to be determined). This duration includes at least one cycle of anticipated review of the Draft Form -Based Code by the City project team and other municipal entities. Assuming a project start date of September 2025, our provi- sional completion date would be September 2026. The above being said, the proposed timeline/schedule would of course span a number of other national holidays, and — along with the general timeframes for tasks and milestone deliverable dates — will require review with the City project team upon contract award. The DPZ team remains confident that we can complete the scope/work product requirements in a timely and comprehen- sive manner within this proposed timeframe. Working closely with the City project team and other project decision -mak- ers, we will guide this process from the analysis of the exist- ing documents and conditions to the successful completion of the Form -Based Code. Project Approach and Work Plan Overall Project Understanding and Overview of Approach It is the DPZ team's understanding that the development of a Form -Based Code (FBC) for the North Quadrant Target Area (Target Area) is intended to ensure a predictable, uncluttered, and easily -administered framework for appropri- ate growth, whilst preserving the Target Area's character; improving connectivity and walk - ability; and creating a livable community. This effort will commence with an assessment of the current Land Development Code (LDC) and its regulatory barriers to meeting the goals (perti- nent to the Target Area) per the results of the 2024 Comprehensive Plan Visioning Survey. Following that assessment, the preparation of the FBC will focus on enhancing the unique quali- ties to the Target Area; nurturing the appropri- ate balance of uses and activities; leveraging community facilities and spaces to complement and enhance private initiatives; strengthening the existing/expanding development context; and protecting historic buildings and culturally and/ or environmentally significant areas/vistas. Much of the Target Area has a gridiron block struc- ture — a good chassis for a form -based code (see below). Opportunities remain for build- ing on the award -winning Downtown -Waterfront Master Plan, and focusing efforts on areas needing greater attention, e.g., the gateway into Downtown and other transition areas. The FBC must create the framework for the proper balance of uses, addressing shortfalls in specific uses, and introducing uses that complement rather than compete with existing ones. It is our understanding that the City of Clermont has initiated this Code project in parallel with an anticipated update to the City's Comprehensive Plan, and that both efforts are to be guided by the aforementioned 2024 Survey. The DPZ team has a great admiration for the natural and built environment of Clermont (several of our team members reside in the City). Its historic Downtown; other burgeoning commercial areas; important institutional anchors; and green landscapes combine to make a city of unique character. Clermont's appeal is magnified by its role as the largest city in Lake County. In this situ- ation it is understood that development pressure from welcomed economic growth is often at odds with the goal of maintaining a cultural and built history of a different scale. Team Organization; Management and Reporting Approach The DPZ team brings decades of experience in delivering high -quality planning and design services, supported by strong client references and a commitment to agile project management. We will proactively manage the process and time- line, and coordinate closely with the City proj- ect team to schedule key meetings that maintain momentum and ensure clear communication. Our team structure and approach are designed to deliver thoughtful, responsive service aligned with the project's scope and goals. DPZ maintains a deliberately small firm size to ensure quality control and deep engagement with each project. We selectively accept only those commissions that align with our values and allow us to make a meaningful contribution. Typically, we take on just one major design project per month, focusing significant resources to complete work efficiently and at a high standard. Last but not least, to keep the public informed and engaged throughout the process, we will collaborate with the Development Services Department and Public Information Office on a proj- ect website or web page for updates, event announcements, draft materials, and public comment at each phase. A draft Zoning Equivalency Chart is initiated (see example above) with this task to track proposals throughout the process, and to facilitate compar- isons of differences and commonalities between the existing regulations and the proposed FBC as they evolve. And while the RFP describes conducting a Code Testing Workshop (using real or hypo- thetical development scenarios) as a separate task, from our experience, it is more effective to begin preparing and assessing planning, urban design, and/or building development interven- tions within the Code Visioning Charrette. And aligned with the development of specific interven- tions as described above, the team also will begin to define intended building types, frontage condi- tions, and standards for the public realm — essen- tial components of a coherent, place -based code. This work will be compiled into a Code Framework Document that summarizes the proposed structure, formatting conventions, and overall regulatory approach. The document will serve as a bridge between vision and implemen- tation, providing the City and community with a clear and accessible foundation for the final FBC.
