GENERAL This Change Order is necessary to cover changes in the Work to be performed under this Contract. The GENERAL CONDITIONS, SUPPLEMENTARY CONDITIONS, SPECIFICATIONS and all parts of the Project Manual listed in Article 1, Definitions, of the GENERAL CONDITIONS apply to and govern all Work under this Change Order. II. REQUIRED CHANGES 1. Direct Purchase: Owner purchase of major equipment to incur tax savings III. JUSTIFICATION Value Engineering & change of preference IV. PAYMENT There will be no changes in the method of payment from the original contract. V. NARRATIVE OF NEGOTIATIONS Contract will be changed to reflect the items listed in the Letter dated January 04, 2006 from WPC Industrial Contractors, Ltd to Boyle Engineering Corporation (attached). This letter includes eight (8) items with a projected savings of $62,555.01. In addition, the original contract will be reduced by $95b,198.02 to account for the materials and equipment that will be purchased directly by the Owner. Further clarifications are listed below: Iteml, Sales Tax Savings: The Contractor will retain responsibility for receiving, storing, installing, and starting up the equipment and warranty services. 99-01'70.004 00681-1 The following items are described in the attached letter dated January 04, 2006 from the Contractor to Boyle Engineering Corporation. Item 1: Standby Engine Generator Item 2: Vertical Turbine Pumps Item 3: Variable Frequency Drives Item. 4: Fuel Oil System for Standby Emergency Power Item 5: Ductile Iron Pipe: Item 6: In-Line Static Mixers Item 7: Manual Check and Process Valves Item 8: Cans for Vertical Turbine Pumps VI. APPROVAL AND CHANGE AUTHORIZATION Clermont City Council Date Acknowledgments: The aforementioned change, and work affected thereby, is subject to all provisions of the original contract not specifically changed by this Change Order; and, It is expressly understood and agreed that the approval of the Change Order shall have no effect on the orginal contract other than matters expressly provided herein. CONTRACTOR acknowledges, by its execution and acceptance of this Change Order, that the adjustments in Contract Price and Time shown hereon constitute full and complete compensation and satisfaction for all costs and modifications of performance time incurred by the CONTRACTOR as a result of this Change Order. No other claim for increased costs of performance or modifications of time will be granted by the OWNER for the Work covered by this Change Order. The CONTRACTOR hereby waives and releases any further claims for cost or time against the OWNER arising from or relating to the matters or Work set faith or contemplated by this Change Order. Proposal for City of Clermont Owner Purchase Program The City of Clermont will direct purchase (with the assistance and at the direction of WPC Industrial Contractors, Ltd.} major equipment items in order to utilize their tax exempt status. The amount of sales tax saved (7% of the major equipment actual cost) will be enjoyed by the City of Clermont who will receive the 7% and WPC Industrial Contractors, Ltd. will retain their fee for costs to administer the Owner Purchase Program. The Sunburst Lane Water Treatment Plant has been substantially complete since January 31, 2007. The original contract price was $3,996,300.00. The project generated two change orders. Change order no. 1 includes the reduction in contract price for the direct purchase items by the City. The items purchase directly totaled $956,198.02. The savings in sales taxes was $62, 555.01. Change order no. 2 includes a variety of changes to the project based on operational considerations, permitting requirements and construction related issues. The total change order is $16,461.00. The resulting contract price is $3,056,562.98. I am requesting approval of Change Orders Nos. 1 and 2 for WPC Industrial Contractors, Inc. for a combined prices of a credit of $939,737.02 and a new contract prices of $3,056,562.98.
