2011-83 SCOPE OF SERVICES CITY OF CLERMONT, FLORIDA 1. COMPANY BACKGROUND & QUALIFICATIONS CityScape is a privately held national company, incorporated in July 1997 in the State of Florida. CityScape - has provided services to governmental agencies nationwide for over a decade, bringing more than 100 combined years of experience to assist governments in all matters of wireless telecommunications. CityScape's principal partners and managers have previously worked in the private sector in virtually all aspects of telecommunications, from simple two -way radio application, to the most complex of communication applications and operations. Our experience in the industry includes many of America's most advanced communications planning, management and operations, from radio and television stations, to cellular telephone and the wireless Internet. The President of CityScape was selected as consultant for the Salt Lake City Olympics and for many years was consultant and spectrum manager to the National Football League; and for five consecutive years provided the same for the Super Bowls. These events alone are most complex and by far the highest single concentration of radio frequency energy anywhere. CityScape consults only with governmental entities and does not own any telecommunication towers. CityScape is not associated or affiliated with any tower owners or wireless telecommunication service providers and therefore CityScape clients receive independent and unbiased recommendations and opinions on all issues related to telecommunications and land use strategies for controlling the deployment of wireless infrastructure. Telecommunications is a specialized technology that requires not only radio frequency engineering, but land use planners, telecommunications attorneys, and tower management administrative personnel. CityScape's menu of radio frequency engineering and land use planning consulting services related to wireless telecommunications planning issues include: assessment of existing antenna and tower infrastructure; mapping to illustrate theoretical and actual propagation network coverage; network gap analysis; network forecasting and gap analysis troubleshooting; review of existing tower regulations in local zoning codes and draft text amendment recommendations designed to promote healthy deployment of wireless networks; educational workshops on network design and land use strategies designed to control wireless telecommunications deployments; third party site plan review and radio frequency review by our legal staff and senior engineer; and site management and lease negotiations for antenna and tower infrastructure proposed on publicly - owned owned property. CityScape provides consulting services to a niche market of local government agencies seeking advice and solutions relating to the complexities of wireless telecommunications. CityScape has provided similar telecommunications consulting for review applications and telecommunications consulting services for many communities in the states of Alaska, Arizona, California, District of Columbia,,Florida, Georgia, Hawaii, Illinois, New York, North Carolina, Oklahoma, Texas, Utah, Vermont, Virginia and Washington. SCOPE OF SERVICES CITY OF CLERMONT, FLORIDA 2. SCOPE OF SERVICES Lease Review and Negotiation The City is seeking a qualified consultant to provide professional services in regards two existing Water Tanks located in the City of Clermont. Services will consist of review and negotiations of related lease documents of existing tenants located on the city's existing water tank, at 1105 Disston Avenue. Negotiations may consist of: - Relocation of the two existing carriers (MetroPCS and AT &T) to the City's water tank located at 1102 Bloxam Avenue, and collocation with an existing tenant (Nextel); - Consolidation of all three carriers onto a new structure, to be constructed and located on City property in the immediate area. CityScape's /City of Clermont Objective - To reduce the need for a new tower in the area and to relocate all the tenants onto the City's existing water tank and keep intact the long -term revenue opportunity to the City from the existing contracts. - Develop strategies to minimize the potential visual impacts of new infrastructure on the local geography of the area and the existing infrastructures. - Conform to the policies of the City regarding all technical and legal options relative to a modified new infrastructure. - CityScape will review the remaining structures' capacity of supporting additional antenna arrays and cabling used in collocation. CityScape will review all pertinent documentation necessary for accuracy and consistency relative to the project scope. - CityScape will provide recommendations for generating revenue and minimizing cost and risk to the City. SCOPE OF SERVICES CITY OF CLERMONT, FLORIDA I � CitvScape's Review CityScape's review to consist of, but not limited to: - Review of all lease terms and analysis of the existing rate structure and contractual agreements (term, rates, and escalators); analyze termination provisions and possibilities. - Review and analysis of possible nsk associated with the relocation of existing carriers - Analysis of the capacity and available antenna elevations and potential elevations - Ground space options of existing leases and possible new lease options - Review of limitations on wireless carriers moving to another site - Discuss issues with each carrier to ascertain initial interest/or lack of interest in existing or proposed new infrastructure location - Forecasted financial return on existing and potential of future collocations from existing or new location - Analyze and provide guidelines for the new proposed contracts (if applicable) including; review and redraft of new license agreement for possible new infrastructure, based on existing leases and/or extensions. (Each provider will require specific language for each individual lease) - Review plans, drawings, design specifications and documentation provided by each wireless provider to assure most efficient use of space In order to provide a fair and concise review for negotiations, Cityscape may require more tower and site data, along with possible confidential data from each wireless carrier in order to completely evaluate and provide the City a complete analysis based on this submitted data. Additional items that will be addressed direct with each wireless carrier will be, but not limited to: - Cost associated with possible move to a new location or remaining at existing location on new infrastructure - How existing or new site will compare to other nearby sites available to carrier - What level of current coverage do the carriers have in area - How many total collocators could likely locate onproposed infrastructure - Are the final terms of proposed possible new license agreement in line with market practices and escalation CityScape's Written Analysis CityScape will provide the City with a review and update progress report to the City summarizing the detail findings of our review and analysis and the status of negotiations with each carrier. SCOPE OF SERVICES CITY OF CLERMONT, FLORIDA 3. COST OF SERVICES CityScape Review and Negotiation Fee The proposed scope of services is based on an inclusive consulting project fee of $4,500. Hourly rates will not apply in this specific project scope unless the City requests additional consulting services (i.e., public hearing attendance /meetings), to be proposed and approved in advance by the City pnor to the services being rendered. The City will be billed in incremental stages of the project completion: $1,500, -upon execution of a contract for professional services( *); $1,500 upon submittal of a written analysis to City of review and update progress report $1,500 upon completion of project. *Upon execution of contract, City will provide to CityScape the most recent detailed structural analysis available of the tank and underlying ground. - Consultants, Inc.
