Florida and the City of Clermont, 685 West Montrose Street, Clermont, FL 34711, who in exchange for the mutual covenants and consideration contained herein agrees as follows: 1. Saunders agrees and acknowledges that he will voluntarily accept reassignment as an employee of the City of Clermont from the position of City Manager to the position of consultant for the City of Clermont, effective October 15,2012. 2. Effective October 15, 2012 Saunders shall continue as an employee of the City of Clermont in the capacity of consultant with the responsibilities and duties to be established by the City Manager. During the time that Saunders is employed in this capacity he shall receive the same salary and benefits that he was eligible to receive as City Manager as of the date of this Agreement. 3. Effective May 27, 2013 (Retirement Date), Saunders shall retire from the City of Clermont with all accrued benefits and shall be paid all accrued and unused leave and a lump sum severance equal to 20 weeks of all compensation and benefits that he was eligible to receive as City Manager as of the date of this Agreement including medical and dental insurance and shall be afforded all benefits as a retired employee of the City of Clermont. Provided , however, that Saunders shall not be entitled to severance pay as set'forth herein, if Saunders is fired for misconduct,as defined in Section 443.036(30)Florida Statutes. 4. This agreement may be terminated by either party with cause at anytime, upon 10 days written notice to the other party, at the addresses listed above. Upon termination of the agreement, Saunders shall be considered retired as of the date of termination of the agreement and shall be paid all accrued and unused leave and the lump sum severance as described in 1 Section 3. Additionally, in the event that Saunders accepts and commences employment as a City Manager prior to the retirement date, his retirement date shall become the date of commencement of the new employment. 5. Saunders and the City of Clermont further agree that this agreement shall replace in its entirety the terms and conditions of that certain agreement dated July 10, 2011 and, except as may be provided herein, Saunders specifically waives any rights and entitlements contained therein. The agreement provides for Mr. Saunders to voluntarily accept reassignment from the position of City Manager to an employee with consulting responsibilities and duties, effective January 1, 2013. The agreement further provides that Mr. Saunders would continue in this position until his retirement from the City on January 1, 2014. In an effort to facilitate the hiring of a new city manager prior to January 1, 2013, Mr. Saunders has agreed to revise his current retirement agreement in the following manner. The proposed revised agreement provides for Mr. Saunders to accept reassignment from the position of City Manager to an employee with consulting responsibilities on October 15, 2012 and would serve in this capacity until his revised City retirement date of May 27, 2013. In addition, the proposed revised agreement provides for a severance payment equal to twenty (20) weeks of compensation to Mr. Saunders on his retirement date. Due to the reduced time frame in serving as a reassigned employee, the revised agreement provides a savings to the City of approximately $41,400 Please schedule for City Council approval C '
