This Task Authorization is by and between AECOM TECHNICAL SERVICES,INC.,hereinafter referred to as"CONSULTANT"and the CITY OF CLERMONT,hereinafter referred to as"CITY"and is to that certain agreement between the parties dated November 29,2011,and any amendments thereto,hereinafter collectively referred to as"the Agreement". The Parties,in exchange for the mutual covenants contained herein and in the Agreement,agree as follows: 1. This agreement expressly modifies the Agreement and in the event of a conflict,the terms and conditions of this Task Authorization shall prevail. 2. In addition to all other terms and conditions contained in the Agreement,CONSULTANT shall provide services as more particularly described in the Scope of Services attached hereto and incorporated herein as Task Authorization Exhibit"A". In consideration for,and upon,the satisfactory completion of said services,the CITY shall pay to CONSULTANT the amount set forth in Task Authorization Exhibit"B"attached hereto and incorporated herein. 3. CONSULTANT shall complete the services to be provided herein as set forth in Exhibit"A" hereto. The Project is a passive recreation park and will include infrastructure improvements,wetland and upland restoration,nature trails and pathways,a dog park,fishing pier,floating dock,volleyball,picnic areas,playground,restrooms,and shade pavilions. The Client has allocated$1.6M for the construction of the park improvements;this budget forms the basis of the Scope of Work outlined herein. PROJECT TEAM The following professionals shall provide the services indicated in support of the work: AECOM Technical Services,Inc. - Project Management,Landscape Architecture,Civil Engineering GatorSktch Corporation - Architecture David G.Kittridge,PE - Structural Engineering Clear Engineering - Electrical Engineering Prevost Stamper Irrigation - Irrigation Design Booth,Ern,Straughan&Hiott,Inc. - Surveying and Mapping PART I—Design Service Pre-Design Services 1.1 Project Coordination—In addition to the specific services detailed below(the"Services"), AECOM shall coordinate our work with the Client's representative and the Client's project team,monitor the project schedule as it relates to the scope contained herein,and provide timely invoicing and reporting of project progress. 1.2 Base Data—AECOM shall prepare,through a separate subconsultant,a topographic survey of the Project. If maintenance of traffic(M.O.T.)is necessary for the topographic survey, it will be provided as an Additional Service. The Client will provide the following data that AECOM will incorporate into the development of the base and,to the extent possible,all provided data will be verified with the City engineering staff prior to beginning work: • Boundary • Wetland Restoration—Area Boundaries and Design Documentation • Lake County South Lake Trail Phase III —Construction Documents, ROW Map,and Survey • Geotechnical Services—Seasonal high groundwater,soil survey for planting,and structural design parameters and recommendations for the design and construction of the vertical structures,fishing pier and floating dock. Page 2 of 12 ACOM City of Clermont February 12,2012 AECOM shall rely on all information supplied as accurate,correct and complete. Additional work required due to inaccurate,incorrect,or incomplete information supplied by the Client shall be completed as an Additional Service. If it is determined additional base data is necessary other than what is identified,AECOM will complete additional data-gathering as an Additional Service. 1.3 Kick-off Meeting—AECOM will organize a kick-off meeting with the Client and the appropriate members from the project team in the Client's offices to kick-off the project. The agenda for the meeting will include: • Client objectives • Review of Master Plan and approved Phase I elements • Preliminary development program • Programming elements of the buildings • Project requirements • Project issues • Team member responsibilities • Schedule 1.4 Site Analysis—AECOM will visit the site one (1)time in order to develop an understanding of the site's opportunities and constraints. Deliverables—As a result of these tasks,AECOM shall produce the following: - One(1)digital copy and hardcopy of composite Base Data information for review/approval - One(1)digital copy of Meeting Minutes from Kick-off Meeting Schematic Design Documents(30%Construction Documents) 1.5 Schematic Design—AECOM will prepare a schematic design plan based upon the approved conceptual master plan and construction budget provided by the Client. The following will constitute the scope of AECOM's work: • Overall plan identifying proposed hardscape and landscape design; • Code review of each structure identified below; • Order of magnitude statement of probable cost;and • Photographic imagery to convey the design intent. Project elements are anticipated to include the following: • Lakeside restroom and homestead restroom • Lakeside pavilion and homestead pavilion • Fishing pier • Floating dock • Parking areas • Picnic area • Dog park for large and small dogs • Volleyball • Playground area and equipment • Preliminary site furnishings plan and selections Page 3 of 12 w iCOM Cary of Clermont February 12,2012 • Main project entry feature • Pedestrian nature trails and paths • Perimeter fencing and manual gated entries • Preliminary aesthetic grading and berming • Site lighting(fixture selection only;wiring,circuitry,photometry and lighting required for emergency egress will be addressed under Construction Documents),and • Signage Schematic Design including: - Wayfinding master plan with proposed vehicular and pedestrian routes(traffic regulatory signage types and locations by the civil engineer) - Preliminary sign schedule - Palette of signage with proposed materials and finishes illustrated with manufacturers'cut sheets,comparable images and illustrations(freehand or electronic) - Preliminary cost statement 1.6 Client Review—The Client will review the schematic design documents and provide a consolidated set of written review comments to AECOM.Comments will be provided to AECOM within one(1)week of Client receiving deliverable. AECOM will attend one(1) meeting with the Client at the Client's office to discuss the Schematic Design Documents and the Client's written review comments. Minor revisions will be incorporated into the documents based on review comments from each meeting. Major revisions shall be provided as an Additional Service. AECOM shall proceed with the preparation of the design development phase of the work, incorporating the Client's review comments into the next phase of the work. Additional revisions requested by the Client shall be provided as an Additional Service. Deliverables—As a result of these tasks,AECOM shall produce the following: - One(1)set of the overall plan at 1"=30';identifying proposed hardscape and landscape design - One(1)copy of the order of magnitude statement of probable cost Design Development Documents(60%Construction Documents) 1.7 Design Development Documents— Based on the reviewed schematic design plans and preliminary statement of probable cost,AECOM will prepare design development documents. These documents will further refine and articulate the project elements established in the schematic design phase and will include the following: • Plans and elevations of site vertical elements,; • Hardscape plans indentifying paving materials and hardscape finishes, • Landscape plans; • Irrigation main line routing and POC • Refined aesthetic grading and drainage;and • Schedule of site furnishings,lighting fixtures,and materials. 1.8 Statement of Probable Cost-AECOM will prepare a statement of probable cost based upon the design development documents. Page 4 of 12 70 AECOM/'f���/ February 12,2012 1.9 Client Review Meetings-The Client will review the Design Development Documents and the Statement of Probable Costs and provide a consolidated set of written review comments to AECOM. Comments will be provided to AECOM within one(1)week of Client receiving deliverables. AECOM will attend one(1)meeting with the Client to review the progress of the Design Development Documents. Minor revisions will be incorporated into the documents based on review comments from each meeting. Major revisions shall be provided as an Additional Service. AECOM shall proceed with the preparation of the Final Construction Document phase of the work once written authorization to proceed is received from the Client,incorporating the Client's written review comments into the next phase of the work Additional revisions requested by the Client shall be provided as an Additional Service. Deliverables—As a result of these tasks,AECOM shall produce the following: - One(7)set of the design development documents per Client review meeting - One(7)copy of the order of magnitude statement of probable cost per Client review meeting Final Construction Documents(90%and 100%Documents) 1.10 90%and 100%Construction Documents—Based on the reviewed design development documents,AECOM shall prepare construction documents for the development of the Project and the following site features: • Restroom and pavilion plans; • Fishing pier and floating dock plans; • Parking areas; • Hardscape plans; • Landscape and irrigation plans; • Grading plans(an LID approach to convey water will be utilized); • Site utility plans; • Site lighting and electrical plans, • Site furnishing plans and details;and • Pavement markings and signage plans to current MUTCD/FDOT standards. Specifically,AECOM shall prepare drainage plans,utility plans,architectural plans, hardscape layout plans, landscape plans,and irrigation plans for the elements identified above,as well as: • New 6"diameter potable water main that will connect to an existing potable water main designed by the Client; • Two(2)fire hydrants,one on each side of CR 561,near the restrooms; • Water to the dog park and fishing pier • New small diameter wastewater force main that will connect to an existing wastewater main designed by the Client; • Two grinder pump stations at each restroom facility; • A hydraulic model to verify new grinder pump stations against the current pressure in the wastewater collection system; • Conduit for future fiber optic cable for security cameras to be installed by Client; Page 5 of 12 70 AECOMCity of Clermont ���/ February 12,2012 • Construction details,including details,elevations and sections provided as necessary to communicate the design intent and construction materials;and • Technical specifications that define materials and methods appropriate for construction. 1.11 Statement of Probable Cost-AECOM shall prepare a statement of probable cost for all elements detailed in the Construction Documents. 1.12 Client Review Meetings-The Client will review the Construction Documents and the Statement of Probable Costs and provide a consolidated set of written review comments to AECOM for the 90%and 100%Construction Documents.Comments will be provided to AECOM within one(1)week of Client receiving each deliverable. AECOM will attend two(2) meetings(one(1)meeting at the 90%and one(1)meeting at the 100%stages of completion)with the Client at the Client's office to review the progress of the construction documents and the written review comments. Minor revisions will be incorporated into the documents based on review comments. Major changes that represent a significant departure from the original design program,budget,and approved concept shall be considered an Additional Service. Deliverables—As a result of these tasks,AECOM shall produce the following for each Client review meeting. - One(1)set of construction documents at 90%and 100%submittals - One(1)copy of the statement of probable cost - One(1)set of technical specifications at 90%and 700%submittals 1.13 Final Construction Documents-AECOM shall prepare the final set of Construction Documents,incorporating review comments from the 100%Client review meeting. The documents will be suitable for bidding and permitting of the design elements of the project as detailed in this scope of services. Deliverables—As a result of these tasks,AECOM shall produce the following: - Five(5)sets of final(bidding and/or permitting)construction documents - One(1)copy of the final statement of probable cost - One(7)set of technical specifications Exclusions to AECOM design services which may be necessary or required that can be provided as an Additional Service: • Public involvement or attendance at public meetings; • Coordination with Lake County(other than when in attendance at Client Review Meetings), • Detailed drainage analysis including pond siting report,retention areas or stormwater abatement calculations or analysis; • Wet pond design for stormwater or permanent drainage facilities,i.e.,storm drain outfalls connected to Lake Minneola; • Flood Evaluation or any services associated with Flood Plain Analysis, • Surveys,mitigation or permitting services required due to impacts to flood plain, wetlands,and riparian impacts, as well as state-or federally-listed species; Page 6 of 12 / A ECOM City of Clermont ebruary 12,2012 • Environmental/Species site surveys,and permitting including gopher tortoises; • Archeological site survey; • Services associated with NPDES and SWPPP, • ERP and/or Army Corps of Engineers environmental permitting; • Right-of-Way acquisition efforts including title searches,sketch and descriptions, legal descriptions,and boundary surveys; • Traffic analysis,traffic warrant study,Auto TURN or vehicular access analysis; • Improvement of CR 561 excluding points of connection to the park for access;and • Pavement design calculations. PART II—Pre-Construction Services Stormwater,Water and Wastewater Permitting SJRWMD Permit 2.1 Pre-Application Meeting—AECOM will attend one(1)pre-application meeting with SJRWMD,the Client,and the Client's environmental consultant working on the Project under a separate contract. AECOM will summarize the portion of the meeting associated with AECOM's scope of services and provide meeting minutes to the Client. 2.2 Permit Application—AECOM shall prepare and submit the SJRWMD permit application for the approval of the proposed improvements. AECOM will develop Pre-versus Post- Development Calculations and prepare a Drainage Report in support of the SJRWMD Application. The Owner shall be responsible for any fees associated with these permits and for assembling and submitting the permit packages. 2.3 Requests for Additional Information—AECOM will respond to two(2)Requests for Additional Information(RAI)from SJRWMD. AECOM will attend one(1)meeting with the SJRWMD during the RAI process. Response to additional RAI's shall be provided as an Additional Service. It is presumed that no to 2.4 Post Construction Documents—AECOM will visit the site one(1)time to prepare As-Built documents and the necessary documents required upon completion of construction. ICPR Calculations or hydrodynamic stormwater modeling is not included as part of the stormwater permitting services. FDEP Permit 2.5 Pre-Application Meeting—AECOM will attend one(1)pre-application meeting with FDEP in preparation for the Wastewater Permit and the Potable Water Permit. 2.6 Permit Application—AECOM shall prepare and submit the permit application for the following: • FDEP Wastewater Permit—Notification/Application for Constructing a Domestic Wastewater Collection/Transmission System • FDEP Potable Water Permit—Notice of Intent to use the General Permit for Construction of Water Main Extensions for PWSS 2.6 Requests for Additional Information—AECOM will respond to two(2)Requests for Page 7 of 12 /4° A WOM City of Clermont /�+�� February 12,2012 Additional Information(RAI)from FDEP. AECOM will attend one(1)meeting with the FDEP during the RAI process. Response to additional RAI's shall be provided as an Additional Service. 2.7 Post Construction Documents—AECOM will assist the Client with obtaining the FDEP Clearance for the improvements associated with each FDEP permit identified above. The Client shall be responsible for any fees associated with the SJRWMD and FDEP permits and for assembling and submitting the permit packages. Building Permit Assistance 2.8 Document Production and Submittal—AECOM shall assist the Client with the Client's responsibility for filing documents required by the City of Clermont in support of gaining necessary permits for construction of the project relative to the work prepared by AECOM. 2.9 Request for Additional Information(RAI)Response—AECOM shall respond to two(2) agency Requests for Additional Information relative to the work prepared by AECOM. 2.10 Permitting Agency Meetings and Coordination—AECOM shall meet one(1)time with appropriate governmental officials and shall coordinate our work with the Client's project team in support of the governmental approval process. The Client is responsible for supplying correct fire and emergency egress routes and assembly areas,and emergency access needs to the site from the public roads for the preparation of permit drawings. Revisions to drawings and additional submittals for permits resulting from incorrect emergency access and egress information,or from errors or omissions by other disciplines will be provided as Additional Services. The Owner shall be responsible for any fees associated with these permits and for assembling and submitting the permit packages. Bidding Assistance 2.11 Pre-Bid Meeting—AECOM will attend a pre-bid meeting with the Client and potential bidders. 2.12 Issuing Addenda—AECOM will issue addenda in response to bidder's requests for clarification of the contract documents or additional information. Significant changes to the documents during or after bidding due to unknown site conditions,inaccurate information provided by the Client,substantial deviations in materials,design or methods previously approved by the Client,regulatory agency requirements after permit approvals and/or changes resulting from cost overruns from other consultants'work shall be provided as Additional Services. 2.13 Issue for Construction Documents—AECOM shall prepare Issue for Construction Documents,incorporating all addenda issued during the bidding process. The documents will be suitable for construction of the park design elements of the project as detailed in this scope of services and will be issued to the general contractor chosen by the Client. The Client shall notify AECOM when it requires services in addition to those described in this Part of the work,which services shall be provided as an Additional Service to this Agreement. Page 8 of 12 r4 w-CI(MI C of 20 2 February 12 12,,2012 Deliverables—As a result of these tasks,AECOM shall produce the following: - Five(5)sets of construction documents(Printed,PDF and AutoCAD formats) PART III—Limited Construction Phase Services AECOM's responsibility to provide limited services during construction of the Project under this Agreement commences with the award of the initial Contract for Construction and terminates at the earlier of the issuance to the Client of the Contractor's final Certificate for Payment or 30 days after the date of Substantial Completion of the work. AECOM estimates a six(6)month construction period. The contract for construction shall be between the Client and the Contractor. The Client or his designated representative shall be responsible for day-to-day administration of the contract and for daily observation of construction. The Client shall notify AECOM when it requires services in addition to those described in this Part of the work,which services shall be provided as an Additional Service to this Agreement. 3.1 Administrative Services—AECOM's work shall include(60 hours): - Pre-Construction Meeting(1 meeting) - Construction Meetings(assumes 12 bimonthly meetings,concurrent with site visits listed below) - Review of Product Submittal by Contractor - Review of Shop Drawing Submittals by Contractor - Preparing responses to RFI's from Contractor - Preparing Field Sketches or Modifications to Documents Related to Constructability based on Contractor requests or site observations - Evaluate Substitution Submittal by Contractor AECOM will not be required to review Requests for Proposed Changes(RPC's)or Change Orders(CO). 3.2 Review of Materials—AECOM's work shall include(24 hours): - Nursery Site Visits to Select and/or Review Contractor-Selected Plant Material—one (1) nursery site visit - Tree Tagging of On-Site Trees to Preserve—one(1)site visit - Field Review of Existing Vegetation to Preserve—one(1)site visit,concurrent with tree preservation site visit above - Review of On-Site Hardscape Mock-Ups(concurrent with construction observation site visits identified below) 3.3 Periodic Site Visits to Observe Construction—AECOM will visit the site 12 times(24 hours) concurrent with construction meetings listed above,at intervals appropriate to the stage of construction to become familiar with the progress and quality of the work completed,and to determine in general if the work observed is being performed in a manner indicating that Page 9 of 12 4 AECOM City of Clermont February 12,2012 the work,when fully completed,will be in accordance with the construction documents. However,AECOM will not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of work. AECOM shall neither have control over or charge of,nor be responsible for,the construction means,methods,techniques,sequences or procedures,or for safety precautions and programs in connection with the work,since these are solely the Contractor's rights and responsibilities under the contract documents. 3.4 Site Visit Reports—Each site visit will be followed by a report(12 hours)to the Client of known deviations from the contract documents.However AECOM shall not be responsible for the Contractor's failure to perform the work in accordance with the requirements of the contract documents or the project schedule. 3.5 Project Completion-AECOM's work shall include(8 Hours): - One(1)Site Visit to determine the date of Substantial Completion - One(1)Site Visit to determine the date of Final Completion Additional Services—AECOM will provide Additional Services as mutually agreed between AECOM and the Client. An equitable adjustment to AECOM's compensation and time for performance will be made through an amendment to this Agreement for any Additional Services. Additional Services may include,but are not limited to,the following: • Services related to procurement or management of Third Party contractors. • Performance of materials testing and specialty testing services. • Services necessary due to the default of the Contractor. • Services related to damages caused by fire,flood,earthquake or other acts of God. • Value engineering assistance to reduce construction cost of the Project. • Services related to the claims submitted by the Contractor of disputes between the Contractor and the Client. This may include services for the preparation of detailed reports on contractor claims;provision of professional claims analysis services; participation in judicial or alternative dispute resolution of claims,preparation for and serving as a witness in connection with any public or private hearing or other forum related to the Project. Contingency—AECOM has identified a contingency budget for Additional Services to be authorized by the Client on a time and materials basis with written authorization from the Client to proceed. Page 10 of 12 4 AECOMa City of Clermont I'i�r\/I�� February 12,2012 Additional Provisions AECOM is not responsible for the means, methods,sequences,techniques or procedures of Client and Contractor operations or for safety precautions and programs. Documents,drawings,specifications,and electronic information/data,including computer aided drafting and design(CADD),prepared by AECOM pursuant to this agreement are not intended or represented to be suitable for reuse by Client or others on extensions of the Project or on any other project. Any use of completed documents for other projects and any use of incomplete documents without specific written authorization from AECOM will be at Client's sole risk and without liability to AECOM. Client assumes full responsibility for such changes unless Client has given AECOM prior notice and has received from AECOM written consent for such changes. Electronic data delivered to Client is for Client's convenience and shall not include the professional stamp or signature of an engineer or architect. Client agrees that AECOM shall not be liable for claims,liabilities or losses arising out of,or connected with the decline of accuracy or readability of electronic data to inappropriate storage conditions or duration. PROJECT SCHEDULE AECOM is prepared to begin work on the project immediately upon receipt of this executed Letter of Agreement. The Project schedule will be reviewed with the Client during the Project Kick-off Meeting. AECOM,in consultation with the Client,shall perform its work in such a manner as to comply with a proposed schedule as mutually agreed upon with Client. A draft schedule is attached to this Agreement(see Exhibit A.3).
