2009-52 DUNN CORPORATE RESOURCES, INC. UNEMPLOYMENT TAX COST CONTROL SERVICE AGREEMENT FULL UI SERVICE Dunn Corporate Resources, Inc., a New Jersey corporation with its principal office at P.O. Box 988, Marlton, New Jersey 08053-0988,hereinafter referred to as DCR,and,THE CITY OF CLERMONT.FL hereinafter referred to as Client,agree that DCR shall administer the unemployment accounts of the Client as listed below.providing a cost control program as set forth below. 1.SERVICES A - DCR will establish procedures to enable DCR to process unemployment compensation related forms and correspondence. B - DCR will verify the accuracy of benefit charges to the client's account, and protest improper charges to obtain the appropriate resolution. C-DCR will analyze the accuracy of tax rating statements,and protest errors to bring about the desired adjustments. D-DCR will calculate the advisability of a voluntary contribution opportunity where such a contribution is permitted. E - DCR will advise regarding the unemployment tax implications of acquisitions, divestitures, and mergers as to the antidpated effect on the client's unemployment tax rates. F-DCR will provide training and education to client personnel in the pertinent aspects of unemployment tax cost control. G-DCR will submit management reports periodically. H - DCR will consult regarding attendance at unemployment hearings. Participation by a DCR representative at unemployment hearings,where permitted by the state agencies,will be provided at a flat charge of$225.00 per in person hearing, and $150.00 per telephone hearing. Coaching and hearing prep is included. Costs associated with appeals or hearings,which require the use of a state licensed attorney,will be passed on to the Client. 2. PROVISIONS A.-The Client agrees to defend, indemnify and hold harmless DCR,their heirs, owners, agents and employees from any demands, damages, claims, liability or costs arising from DCR's representation of, or advise to, the dient due to error, omission,tort,or any negligence on the part of the client and/or its employees. B - DCR agrees to defend, indemnify and hold harmless the Client, its heirs, owners, agents and employees from any demands,damages,claims,liability or costs arising from DCR's representation of,or advise to,the client due to negligence on the part of DCR and/or its employees unless the actions complained of were taken at the specific request of the client and/or We employees. 1441IN DUNN CORPORATE RESOURCES,INC. UNEMPLOYMENT TAX COST CONTROL SERVICE AGREEMENT C - Any confidential information acquired in the performance of this agreement, by either party, will not be disclosed or transferred to any person or entity other than to employees of the Client,or a person or entity designated by an employee of the Client. Information such as,but not limited to,wages and payroll,client data,procedures relating to the performance of the agreement,or other similar information will be considered confidential.It is agreed that neither party will use confidential information other than in the performance of this agreement.If such information Is now public knowledge,or is subsequently made public,DCR is free from any obligation to treat that information as confidential. D-DCR will not render,or be required to render,any service that could be interpreted as practicing law or accounting. E - DCR will be compensated for services in the amount of$1800.00 plus a one time set up fee of$0. In the event a significant change in workload occurs,the fee payable to DCR by the client may be adjusted as agreed to by both parties. F-This agreement shall be effective May 15, 2009 to August 15,2009 and shall be considered renewed for six months thereafter unless written notice by either party to the contrary, is received at least sixty(60)days prior to any anniversary date of this agreement. H—This document shall not become binding upon DCR until it has been accepted and approved by an authorized DCR officer at DCR's principal office,after which it shall be binding on both parties,their heirs,representatives,successors,and assigns.
