2013-63 tiro -4; NORTH HANCOCK ROAD RIGHT OF WAY TRANSFER PROPORTIONATE SHARE AGREEMENT This North Hancock Road Right of Way Transfer and Proportionate Share Agreement ("Agreement") is made and entered into by and between and among Center Lake Properties, LLLP, a Florida limited liability limited partnership ("Owner"), Lake County, Florida a political subdivision of the State of Florida ("County") and the City of Clermont, Florida, a municipal corporation of the State of Florida("City"). WITNESSETH: WHEREAS, Owner is the owner of a parcel of property approximately 593.43+/_acres located in the City, which is more particularly described on Exhibit "A" attached hereto (the "Black Lake Property"); and WHEREAS, the County is in the process of assembling the necessary right of way for the construction of the extension and relocation of North Hancock Road (the " Road Project"), as more particularly described below; and WHEREAS, the County needs to acquire a portion of the Black Lake Property for use as public right of way in order to complete the Road Project (the "Required Right of Way"), as well as additional right of way needed by the County and the City for other transportation purposes (the "Additional Right of Way"). The legal descriptions for the Required Right of ' Way and the Additional Right of Way are set forth on Exhibits`B" and "C,"respectively; and WHEREAS, the Black Lake Property is currently under contract to be sold to a developer (the "Developer"); however, the Owner has retained the right to enter into this Agreement with the County and the City prior to such sale; and WHEREAS, it is planned by the Developer that, the portions of the Black Lake Property remaining after exclusion and transfer of the Required Right of Way and the Additional Right of Way, as contemplated by this Agreement, consisting of approximately, 585+/_acres (the "Property") will be developed into a residential community, containing a mixture of residential and commercial uses(the"Project"), which is more particularly described below; and WHEREAS, the Developer and the Owner have received a Conditional Use Permit from the City that will allow the development of the Project as a Planned Unit Development on the Property(the"CUP"); and WHEREAS, the County, the City and the Owner have worked cooperatively for a number of years to facilitate the planning and ultimate construction of the Road Project; and WHEREAS, the County and City have identified those off-site transportation facilities that will be impacted by the development of the Project and have identified the proportionate and 1 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean `t cy fair share of the cost of improvements to all such transportation facilities that should be borne by the Property, assuming full development of the Project in accordance with the entitlementsgranted under the CUP. The identified proportionate and fair share of the cost of the improvements is $575,091.00 (the "Proportionate Share Obligation"), payment of which is neccessary to mitigate and address the traffic impacts, identified in the Traffic Impact Fee Study prepared by the Developer's consultant Littlejohn Engineering, of the Project on the Property in accordance with Section 163.3180(5), Florida Statutes, and the City's Transportation Proportionate Fair-Share ordinance(the "Proportionate Share Rules"); and WHEREAS, in lieu of a full cash payment of the Proportionate Share Obligation for the Project, the parties agree that the Owner shall donate and transfer the Required Right of Way to the County, and shall transfer the Additional Right-of-Way to the County in exchange for Transportation Impact Fee credits; and WHEREAS, in consideration of the value of such donations and the assistance provided to the City and the County by the Owner, the City and the County have made certain agreements with the Owner regarding the Road Project and the development of the Property and the Project, all as more particularly set forth in this Agreement. NOW THEREFORE, in consideration of the premises hereof and of the mutual agreements of the parties set forth herein, the parties do hereby agree as follows. 1. Incorporation of Recitals. The foregoing recitals are true and correct and are hereby incorporated by the parties as part of this Agreement as if fully set forth herein. 2. Proportionate Share Obligation. The parties hereby agree that the Owner's Proportionate Share Obligation shall be $575,091.00. The Proportionate Share Obligation has been calculated based only on the development of the Black Lake Property so in the event additional property is acquired and developed as part of the Project, there may be additional Proportionate Share Obligation due and owing. 3. Rights of Way Transfer. On or before thirty (30) days following the date the last party hereto executes this Agreement (the "Effective Date"), at a date and time mutually agreed upon by the City, the County and the Owner, Owner shall transfer the Required Right of Way and the Additional Right of Way (together, the "Rights of Way") to the County. Title to the Rights of Way shall be conveyed in the manner indicated in Exhibit `B" and Exhibit "C", and shall be subject to existing easements, restrictions, and reservations of record, if any, and to the pro-rated taxes for the year 2013 and thereafter, but shall otherwise be free from monetary liens and encumbrances. In connection with the Rights of Way transfer, the City, County and Owner have further agreed as follows: (a) Appraised Value. The parties hereby agree that the total appraised value of the Required Right of Way and the Additional Right of Way is $692,200.00. Any impact fee credits granted herein as identified below shall not exceed $117,253.00. (b) Proportionate Share Obligation Offset for Required Hancock Right of Way. The City and the County have agreed to offset the fair market value of the Required Hancock 2 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean Right of Way, as established by a County-directed MAI appraisal, against the amount of the Proportionate Share Obligation that would otherwise be due under the Proportionate Share Rules to mitigate the impacts of development of the Project for the uses and densities permitted under the CUP. Following the donation of the Required Right of Way, the remaining amount of the Proportionate Share Obligation due for full development of the Project on the Property shall be the sum of$17,253.00, which shall be paid directly to the County (the "Remaining Proportionate Share Obligation") in the time specified in the Proportionate Share Rules. (c) CUP Entitlements. For purposes hereof, it is agreed that the calculation of the Proportionate Share Obligation has been based upon the level of entitlements granted under the CUP, which is up to 1200 residential dwelling units (some or all of which may, but are not required, to be age restricted) and up to 100,000 square feet of commercial space, including retail and office uses (the"Actual Entitlements"). (d) Vesting Against Concurrency. Following donation of the Required Right of Way and payment of the Remaining Proportionate Share to the County, but subject to payment of applicable transportation impact fees as building permits are obtained for the Project (the "Impact Fees"), the Property and the Project as a whole, and each individual phase thereof, shall be deemed to have satisfied any applicable transportation concurrency requirements, and any substitute or successor to transportation concurrency (such as mobility requirements) that may be now or hereafter adopted by the City and all other applicable provisions of the City's Land Development Codes, for the level of the Actual Entitlements. (e) Remaining Proportionate Share Obligation Payment. Pursuant to Section 163.3180(5), Florida Statutes, if the Owner is required to pay impact fees to develop the Project, the County shall grant the Owner impact fee credits up to a maximum amount equal to the Remaining Proportionate Share Obligation of$17,253.00. The County shall establish a transportation impact fee credit account in the name of the entity that paid the Remaining Proportionate Share Obligation. Such transportation impact fee credits shall be freely transferrable to successors and assigns in the same manner as set forth in subsection (f) below. If no impact fees are due and owing,the parties hereby agree that no credits shall be granted and the Remaining Proportionate Share Obligation shall be a required payment. (f) Additional Right of Way. The fair market value of the Additional Right of Way that will be donated to the County, as established by the County-directed MAI Appraisal, is One Hundred Thousand and No/100 Dollars ($100,000.00), for which Owner shall be granted a credit against any applicable Impact Fees(the "Impact Fee Creditable Value"). Upon transfer of the Additional Right of Way to the County, the County shall establish a transportation impact fee credit account in Owner's name in the amount of the Impact Fee Creditable Value. Such transportation impact fee credits shall be freely transferrable to successors and assigns upon the execution of a written assignment by the party entitled to the credits, provided that such transportation impact fee credits may not be transferred 3 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean outside of the Lake County Transportation Impact Fee South Benefit District. Further, this Agreement shall serve as the County's approval for the transfer of impact fee credits pursuant to Section 22-40 of the Lake County Code. For purposes of Section 22-40 of the Lake County Code, a successor-in-title to all or any portion of the Property shall not be considered a "second transferee" and shall be entitled to further transfer the impact fee credits in accordance with this Agreement. In the event the City and/or County adopts a statutory or local equivalent or successor fee to transportation impact fees (such as mobility fees, for example) the transportation impact fee credits granted pursuant to this Agreement shall also operate as a credit against any such equivalent or successor fee that may be adopted by the City and/or County. (g) Shared Drainage Facility. The County agrees that Owner shall have the right to drain an approximately,6.358+/- acre portion of the Property that is intended to be used for commercial purposes, which portion is located at the northeast quadrant of the intersection of North Hancock Road and the Project Intersection, as shown on Exhibit "D" hereto ("Owner's Commercial Parcel"), into the drainage pond to be constructed by the County on the east side of North Hancock Road north of Owner's Commercial Parcel as a part of the Road Project, as shown in the County Plans (as defined in Paragraph 4(b), below (the "Shared Drainage Facility"). County hereby grants Owner an easement for such purpose and for any construction modifications and maintenance of the Shared Drainage Facility that may be required, as hereinafter described (the "Owner's Drainage Easement"), which shall be set forth and delivered to Owner in a separate recordable document when requested by Owner. The County shall, initially, construct and maintain the Shared Drainage Facility. At such time as Owner wishes to utilize the Shared Drainage Facility to serve Owner's Commercial Parcel, Owner shall be responsible for the design and permitting of any modifications to the Shared Drainage Facility necessary to accommodate such drainage; provided, however, that any such modifications shall not adversely affect the County's right to utilize the Shared Drainage Facility for the County's purposes. All such modifications are subject to the County's review and approval. Following the time that Owner or its successor in title to Owner's Commercial Parcel begins construction and use of the Shared Drainage Facility, Owner (or its successor in title to Owner's Commercial Parcel) shall be responsible for all maintenance and upkeep of the Shared Drainage Facility, including certification of maintenance on an annual basis to the St. Johns River Water Management District as required by law. 4. Road Project Description and Components. In connection with the Road Project, the parties agree as follows: (a) Construction of Road Project—Commencement & Completion. The County's current plans for the Road Project include commencement of construction by June of 2014 (the "Construction Commencement Date")and completion of construction by January of 2016, such that the Road Project shall be open to traffic by such date (the "Construction Completion Date"). 4 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean r (b) Design of Hancock Road Project. Design of the Road Project has reached the 100% stage of completion, as reflected in those certain plans and specifications prepared by T-Y- Lin International, dated July 31, 2013 (the "County Plans") The County acknowledges and agrees that the Road Project and the County Plans include the following components: (i) The Road Project will extend from Old Highway 50 on the South to its northerly terminus at its intersection with Fosgate Road; (ii) The Road Project will include construction of a fully signalized intersection, with mast arm signal, turn lanes, and the approaches thereto to the edge of right-of-way at the main entrance to the Project, in the configuration and to the scope shown on the County Plans(the"Project Intersection"); (iii) The Road Project will include construction of sidewalks and a multi-use trail along the eastern side of North Hancock Road, adjacent to the Property (iv) The Road Project will include construction of the westerly extension of the Project Intersection to its intersection with CR 50, in the configuration and to the scope shown on the County Plans(the "Westerly Extension"); (c) Approval of County Plans and Changes Thereto. Owner has reviewed and approved the County Plans. Owner, or its designated successor in title to the Property, shall have the right to review and approve any material changes to the County Plans that affect the Project, the Project Intersection, the CSX Intersection or the Westerly Extension. Owner shall have thirty (30) days following receipt of a complete copy of the County Plans reflecting any such changes in which to review and approve the same. Owner's approval shall not be unreasonably withheld, delayed or conditioned provided that any proposed changes to the County Plans do not materially and adversely affect the Project, the Project Intersection, the CSX Intersection or the Westerly Extension. The parties agree that the County retains the right to manage access to this median opening through traffic signal, signage, or geometric improvements as safety warrants over time. 5. Delays in Commencement or Completion. In the event that the County experiences delays in starting the Road Project by the Construction Commencement Date, the parties agree that such delay shall have no adverse effect on the issuance of additional approvals and permits (including building permits and certificates of occupancy) for the Project; provided, however, that Owner or its designated successor shall be solely responsible for providing sufficient access to the Project meeting all requirements of the agency having jurisdiction over the Project. In addition, the County agrees that, in the event that the Construction Commencement Date is delayed by eighteen (18) months or more (a "Material Construction Delay"), the Owner, or its designated successor, shall have the right, but not the obligation, at any time thereafter, to elect, by written notice to the County, to undertake construction of the portion of the Road Project consisting of the Project Intersection and the extension of North Hancock Road from the Project Intersection south to Old Highway 50 including the Westerly Extension realignment and construction of CR 50 West to Turkey Farm Road and CR 50 East as shown on the approved County Plans (an "Owner Construction Election"); provided, however, the County shall have the 5 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean se right to request (but not require) that Owner (or its designated successor) construct the Road Project in its entirety by providing notice of such election to the Owner (or its designated successor)within thirty(30) days of the County's receipt of the Owner Construction Election. If Owner (or its designated successor) elects to construct less than the entire Road Project, it is understood that any changes to the County Plans or the County's existing permits that are necessitated by Owner's Construction Election, if any, shall be subject to County approval. No construction of any portion of the Road Project may be commenced by Owner (or its designated successor) until the County has acquired all right-of-way necessary for such construction. In the event of a Material Construction Delay, and if there is an Owner Construction Election, the Owner, or its designated successor, shall bid the portion of the Road Project to be constructed, as set forth above, in accordance with all laws, rules and procedures applicable to the bidding of public construction projects in Lake County, Florida (the "Public Bid Process"). The actual costs incurred in constructing the applicable portion or component of the Road Project shall be reimbursed by the County to the Owner(or its designated successor, as applicable). The terms of such reimbursement shall be agreed upon by the Owner (or its designated successor), prior to the commencement of any work or the Public Bid Process; provided, however, if no other agreement is reached and the Owner (or its designated successor) determines to construct the applicable portion,(s) of the Road Project in any event, the Owner (or its designated successor) shall have the right to be reimbursed for its costs incurred in connection therewith via transportation impact fee credits (or any successor or replacement to transportation impact fees, such as mobility fees), which may be utilized for the Property or may be assigned by the Owner (or its designated successor) and utilized to satisfy impact fee obligations with respect to any other property or properties located in the Lake County Transportation Impact Fee South Benefit District. Any such construction by Owner, or its contractor(or by Owner's designated successor, or its contractor) shall occur lien-free and in accordance with the County Plans. In the event the Owner (or its designated successor) does not follow the Public Bid Process for such work, then reimbursement shall occur in the form of impact fee credits. Notwithstanding the foregoing, if the Owner and the County agree on periodic reimbursements to Owner (or,its designated successor) as construction progresses the County shall be entitled to withhold reimbursement in accordance with Part VII, Chapter 218, Florida Statutes. 6. Blackstill Lake Road. The parties acknowledge that the agreed methodology and the associated calculations and analysis forming the basis for determination of the Proportionate Share Obligation did not take into account the following: (1) the possible need for turn lanes for safe and adequate ingress/egress at the Project entrances along Blackstill Lake Road; and (2) the possible need to reconstruct, and potentially widen to current County standards for two-lane rural roads, the existing two lanes of Blackstill Lake Road contiguous to the Project attributable to potential structural deficiencies in the sub-base therefor (collectively, the "Excluded Improvements"). Notwithstanding the foregoing, the parties also acknowledge that such agreed methodology and the associated calculations and analysis did take into account both the need for and the cost of widening the existing two lanes of Blackstill Lake Road to four lanes for a length of 0.2 Miles from CR 50 to the Project Entrance and the cost of certain associated intersection improvements at its intersection with Old Highway 50. As a result, the parties agree that responsibility for the Excluded Improvements, if the need therefor becomes applicable, is not being determined by this Agreement." 6 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean 4 7. Governing Law/Binding Effect. This Agreement shall be interpreted and governed by Florida law. Each of the parties hereto warrants and represents this Agreement is valid, binding and enforceable against them in accordance with its terms.. 8. Remedies. The parties shall have all rights and remedies provided hereunder and under Florida law with respect to the enforcement of this Agreement, including an action for specific performance and such other equitable or injunctive relief appropriate or necessary to enforce this Agreement. Venue for any enforcement action shall be the Circuit Court in and for Lake County, Florida. 9. Notice of Default. No party shall be considered in default for failure to perform under this Agreement until such party has received written notice specifying the nature of such default or failure to perform and said party fails to cure said default or fails to perform within thirty (30) days of receipt of said written notice. 10. Notices. All notices which are required or permitted under this Agreement shall be given to the parties by certified mail, return receipt requested, hand delivery or express courier, and shall be effective upon receipt when delivered to the parties at the addresses set forth hereinbelow (or such other address as provided by the parties by written notice delivered in accordance with this paragraph): If to Owner: Mr. Richard Gonzalez Center Lake Properties, LLLP. No amendment, modification or other changes in this Agreement shall be binding upon the parties unless in writing executed by all of the parties hereto. 12. Successors and Assigns Bound. The rights and obligations contained in this Agreement shall be binding upon and shall inure to the benefit of the successors and assigns of the City and the County and any designated successor in title to the Owner with respect to the Project and the Property. 13. Recording. The Owner shall have the right to record this Agreement in the Public Records of the County. 14. Effective Date. This Agreement shall become effective upon the date of execution hereof by the last of the parties hereto. 15. Counterparts. This Agreement may be executed in any number of counterparts, each of which, when executed and delivered, shall be an original, but all counterparts shall together constitute duplicates of one and the same instrument. 16. Third Party Beneficiaries. Except with respect to a designated successor or assign of Owner in and to the title to all or any major portion of the Property, there are no third-party beneficiaries to this Agreement and no third parties shall have any rights hereunder, including the right to enforce any of the terms hereof. 15. Public Records. In the event the Owner(or designated successor)elects to complete all or a portion of the Road Project as provided above, then, pursuant to Section 119.0701, Florida Statutes, if applicable, the Owner shall comply with the Florida Public Records' laws, and shall: (a) Keep and maintain public records that ordinarily and necessarily would be required by the County or City in order to complete the Road Project identified herein. 8 2013/Right of Way/Hancock Road/Centerlake-Black West/Hancock Road ROW Transfer Agmt 10-1-13 clean (b) Provide the public with access to public records on the same terms and conditions that the County or City would provide the records and at a cost that does not exceed the cost provided for by law. (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. (d) Meet all requirements for retaining public records and transfer, at no cost, to the County or the City all public records in possession of the Owner upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the County in a format that is compatible with the information technology systems of the County. Failure to comply with this section shall be deemed a breach of the contract and enforceable as set forth in Section 119.0701,Florida Statutes.
