Interior Landscaping Rental Agreement
Ambius will provide Clermont Arts&Recreation Center with all service necessary to maintain the health and appearance
of the plants,including watering,fertilizing,pruning,trimming,insect and disease treatment,cleaning and dusting. If a
plant becomes thin,weak,overgrown or otherwise unattractive,it will be replaced with the same or similar plant type of
the size specified in the contract.
Ambius proposes to:
Rent the attached listed plants and containers for$260.62* per month.
Charge for delivery and installation is$199.00*.
(*)These prices exclude applicable taxes.
This agreement is binding for a period of 24 months.Thereafter,it will be renewed automatically for one full year on an
annual basis unless either party terminates it in writing thirty days before the term of this agreement. Contract price may
be adjusted annually.
All items listed in this rental agreement are the property of Ambius. The items or the value of same must be returned to
Ambius upon termination of this agreement.
If the Customer purports to terminate this Agreement whether in respect of some of the Services or all of them before
expiration of the term of this agreement,such early termination shall constitute a breach. Upon early termination,the
Customer shall pay to Ambius compensation in the amount of 50%of amount due by the Customer to Ambius for the
unexpired portion of the Agreement as Liquidated Damages. Customer acknowledges that the actual damages to Ambius
likely to result from the breach and/or early termination are difficult for the parties to estimate and would be difficult for
Ambius to prove. The parties intend that the Customer's payment of said damages are Liquidated Damages and that they
do not intend for such damages to serve as punishment for any breach or early termination of the Agreement by the
Customer.
Prices good for 30 days.
Authorization of this agreement indicates acceptance of the terms and requirements.

WHAT WE NEED FROM YOU...
ALLOW US TO DO A GOOD JOB
Your Company will provide an acceptable temperature range and light levels for all plant material.
Your Company will provide Ambius access to water. You must allow unrestricted access to the plants
during normal working hours.
CONTROL ENVIRONMENT AND DAMAGE
Your Company is responsible for the cost to replace plants and containers damaged by circumstances
beyond our control:
• Temperature Extremes. An acceptable temperature range is between 60 and 80 Fahrenheit.
• Lowering of light levels below those originally accepted.
• Catastrophes such as fire, freeze, explosion, flooding, etc.
• Accidental or malicious damage, such as damage from cleaning solutions, vandalism, theft.
• Well meaning care by your employees, etc.
Ambius accepts no responsibility for decorative containers supplied by your Company or by
Ambius once outside their manufacturer's warranty.
PROMPT PAYMENT
Your Company agrees to pay Ambius all amounts due under this contract within (10) days.
Your Company is liable for any collection cost incurred to collect amounts owed under this
contract, including repossession and attorney's fees.

1. You must provide all vendors and suppliers with an exemption certificate before making tax-exempt purchases.
See Rule 12A-1.038, Florida Administrative Code(F.A.C.).
2. Your Consumer's Certificate of Exemption is to be used solely by your organization for your organization's
customary nonprofit activities.
3. Purchases made by an individual on behalf of the organization are taxable, even if the individual will be
reimbursed by the organization.
4. This exemption applies only to purchases your organization makes. The sale or lease to others of tangible
personal property, sleeping accommodations, or other real property is taxable. Your organization must register,
and collect and remit sales and use tax on such taxable transactions. Note: Churches are exempt from this
requirement except when they are the lessor of real property(Rule 12A-1.070, F.A.C.).
5. it is a criminal offense to fraudulently present this certificate to evade the payment of sales tax. Under no
circumstances should this certificate be used for the personal benefit of any individual. Violators will be liable for
payment of the sales tax plus a penalty of 200% of the tax, and may be subject to conviction of a third-degree
felony. Any violation will require the revocation of this certificate.
