CONSENT TO ASSIGNMENT OF PROFESSIONAL SERVICES CONTRACT
This Assignment agreement is entered into this 27 day of OC jOber,2015,
by and between the City of Clermont a Florida municipal corporation and Amec Foster
Wheeler Environment&Infrastructure,Inc,a Florida Corporation,whose address is 1105
Lakewood Parkway, Suite 300,Alpharetta, GA
WHEREAS, on December 9, 2014 the City of Clermont(the"City")entered into a
written contract for on-call professional engineering services (No 2014-103)with Amec
Environment& Infrastructure, Inc (the"Contract"), and
WHEREAS,the City desires to maintain its professional relationship with Thomas J
Logan the President of Amec Environment& Infrastructure, Inc which has now merged
into Amec Foster Wheeler Environment&Infrastructure,Inc ,and wishes to consent to the
assignment of the Contract,
NOW THEREFORE,in consideration of the foregoing Recitals,and for other good
and valuable consideration,the parties hereto agree as follows
1 The above recitals are true and correct and are incorporated herein
2 The City hereby approves of and expressly consents to the assignment of
the Contract to Amec Foster Wheeler Environment&Infrastructure,Inc and
agrees to be bound to Amec Foster Wheeler Environment& Infrastructure,
Inc pursuant to the terms and conditions of the Contract
3 Amec Foster Wheeler Environment & Infrastructure, Inc does hereby
acknowledge and agree that it shall comply with all terms and conditions set
forth in the Contract and that said terms and conditions are incorporated
herein as if restated in their entirety
