of "..-Clumpons SERVICES AGREEMENT
CITY OF CLERMONT AND SOUTH LAKE ART LEAGUE
The Agreement is between the City of Clermont, hereinafter to as"CITY" and The South Lake Art League,
Inc.,a non-profit Florida Corporation whose address is 776 West Montrose Street, Clermont FL 34711
hereinafter referred to as"ARTIST". The parties, in exchange for the covenants contained herein,agree
as follows:
1. Services to be Provided. CITY has agreed to allow ARTIST to display artwork in the Clermont City
Center in public hallways. ARTIST shall provide all equipment necessary to install and remove
artwork from the Clermont City Center. All services to be provided hereunder shall be
completed in accordance with acceptable professional standards and all applicable law,
regulations or polices that may apply. ARTIST agrees that CITY shall have absolute right to
approve or disapprove any artwork displayed by the ARTIST. All disapproved artwork must be
removed by ARTIST within 24 hours of written notification by CITY. ARTIST agrees to change
artwork on the 15th day of every other month starting in March 2017. All art removed outside
arranged 15th day of every month must require written notice from ARTIST to CITY prior to
actions taken.
2. Liability for Negligence. ARTIST,without limitation,shall be responsible to CITY for any and all
damages to CITY caused by its negligence related to the performance of services furnished
under this Agreement. Nothing herein shall be construed or act as a waiver of any sovereign
immunity that CITY may enjoy.
3. Hold Harmless and Indemnification.ARTIST shall hold harmless,defend and indemnify CITY, its
officers,employees and agents,for any and all claims or causes of action,whether actual or
threatened,and any damages, including attorney fees,that may arise out of the negligence by
ARTIST,or any of its agents,employees or subcontractors,as provided herein.
4. Independent Contractor. The parties agree that at all times and for all purposes within the
scope of this Agreement,the relationship of ARTIST and CITY is that of an independent
contractor.
5. Venue. The parties agree that any actions brought to enforce any provision of this Agreement
shall only be brought in a Court of competent jurisdiction located in Lake County, Florida.
IN WITNESS WHEREOF,the parties hereto have made and executed this Agreement for the purposes
herein expressed on the dates set forth below.
