Minneola Avenue Streetscape—Limited Construction Phase Services Clermont, Florida Dear Mr. Kinzler: GAI Consultants, Inc. ("GAI"or"the Consultant") is pleased to submit this Scope of Services/Fee Proposal for Professional Services to the City of Clermont("the Client"or"City")for the above-referenced project. This proposal reflects the anticipated Scope, and related costs for services to be provided based on our knowledge of the project. Project Understanding It is our understanding that the City of Clermont had awarded a contractor for the streetscape improvements on W. Minneola Avenue from 7th Street to 8th Street,which includes approximately 550 LF of roadway. The surface improvements for the roadway include mill/overlay of pavement, and streetscape improvements on the north side of the road to adhere to the proposed City streetscape concept plans. The project will include sidewalk and separate bicycle trail/cycle track, on-street parallel parking, landscaping and irrigation. Street lighting includes layout only and placement of conduit for future street lighting. Utility improvements are not anticipated as a part of this project other than minor utility adjustments. The City has requested limited construction phase services to support the City and contractor during construction. Scope of Services Based on our understanding of the project requirements/criteria provided to date by the Client, GAI will perform the following described Scope of Services: 3.0 Civil Engineering Construction Phase Services (Base Services) This scope assumes that a General Contractor(GC) has been selected and the contract documents will be bid to subcontractors. 3.1 Attend a team preconstruction meeting. 3.2 Coordinate scope of services for the civil construction related testing services and review the civil related testing reports for project compliance. 3.3 GAI will visit the site during the site construction activities for an estimated total of up to ten (10)site visits to observe and become familiar with the progress and quality of the civil components of work completed to determine if the work is generally being performed in accordance with the Civil Construction Documents. These site observation visits will be coordinated with the owner, architect and contractor(OAC) meetings on-site to reduce travel time to and from the site and to minimize cost to the Client. GAI will not be required to make exhaustive or continuous on-site inspections/observations to check the quality or quantity of work, to monitor work safety requirements, or to redesign/remodel and revise construction drawings due to unknown field conditions encountered during construction or changes to elements of the work designed by others. GAI shall neither have control over or charge of, nor be responsible for,the construction means, methods,techniques, sequences or procedures, or for safety precautions and programs in connection with the work, since these are solely the Contractor's rights and responsibilities under the contract document. Note: Each site visit will be followed by a field report to the Client noting deviations from the civil contract documents. However GAI shall not be responsible for the Contractor's failure to perform the work in accordance with the requirements of the contract documents. 3.4 Review and process civil related shop drawings for project construction document compliance. This includes up to four(4) shop drawing reviews. 3.5 GAI will respond to Requests for Information(RFIs)from the contractor or Client during construction. This includes up to fifteen (15) RFI's. 3.6 Review and approve field changes and related contractor change order requests. This includes up to four(4)field changes and related change order requests. 3.7 Review inspection and TV reports and logs provided by the contractor for the civil related components, i.e. water, sewer, storm sewer, etc. 3.8 Review and provide one set of comments to the Contractor for the As-Builts provided by the Contractor.The As-Builts are required to be signed and sealed by a registered Land Surveyor. GAI will review the As-Builts, and coordinate with the Contractor to provide the level of detail necessary for the Engineer of Record's certification. GAI will not prepare Record Drawings unless requested by the Client or the City in which Record Drawings will be deemed additional services. 3.9 Based on the above noted site observations, reviewed reports, and supporting data provided by the contractor, submit a"letter of General Compliance"for the civil related components of construction to City of Clermont, if required. 4.0 Landscape Architectural Construction Phase(Base Services) This scope assumes that a General Contractor(GC) has been selected and the contract documents will be bid to subcontractors. 4.1 Attend a team preconstruction meeting. 4.2 GAI will visit the construction site during the site construction activities for an estimated total of up to three(3) site visits to observe and become familiar with the progress and quality of the landscape and irrigation components of work completed to determine if the work is generally being performedin accordance with the Construction Documents. This includes up to five(5) RFI's. 5.0 Construction Phase Services (On-Call Services) This task is for the scope of work during the Construction Phase above and beyond the base amount indicated in Sections 3.0 and 4.0.All items below are included in this phase and will only be performed if requested by the Client. 5.1 GAI will visit the site required for certifications as indicated in Sections 3.0 and 4.0.Additional site visits as requested by the Contractor and/or Client and approved by the Client, will be billed out at hourly rates. 5.2 GAI will respond to Requests for Information (RFIs)from the contractor or Client during construction as indicated in Sections 3.0 and 4.0. Additional RFI's as requested by the Contractor and/or Client and approved by the Client, will be billed out at hourly rates. 5.3 GAI will review and approve field changes'and related contractor change order requests as indicated in Sections 3.0 and 4.0.Additional review and approvals as requested by the Contractor and/or Client and approved by the Client,will be billed out at hourly rates. 5.4 Additional reviews and comments to the Contractor for the As-Builts will be billed at hourly rates. 5.5 Support in reviewing Contractor Pay Requests and making recommendations for final Certificate for Payment. 5.6 Redesign and/or remodeling and revising the construction drawings due to unknown field conditions encountered during construction or changes to elements of the work designed by others. 5.7 Contractor Construction Directives(CCD's)or issuance of revisions. 5.8 Attend or participate in additional OAC and team meetings/conference calls during the Construction Phase in addition to the scope items listed in Task 3.0 providing assistance with the civil related issues/items of the civil portion of the work. 5.9 Additional coordination or items not defined in Sections 3.0 or 4.0 will be deemed On-Call services. Schedule GAI will begin work upon receipt of a copy of this Proposal executed and authorized below. GAI will endeavor to complete its Scope of Services and deliver the project deliverables per the project schedule, subject to excused delay occasioned by factors beyond GAI's reasonable control. ®2017 Gad Consultants. galconsultants.com Mr.James Kinzler,CPM,EA Page 4 August 24,2017 GAI Project No.A151186.06 Compensation Compensation for services rendered by GAI will be on a lump sum and hourly basis in accordance with the Continuing Services Contract, General Civil and Public Facility Engineering Amendment 4, dated February 23, 2016. The hourly tasks are not meant to be all inclusive or exhaustive and are highly dependent on the level of effort required and/or requested by the Client. GAI will perform the enclosed professional services for the fee summarized below. Task Description Method of Payment Fee 3.0 Civil Engineering Construction Phase Services Lump Sum $7,000 (Base Services) 4.0 Landscape Architectural Construction Phase Lump Sum $3,800 Services(Base Services) 5.0 Construction Phase Services(On-Call Services) Hourly, as Requested Hourly Total Estimate(less reimbursables) $10,800 Reimbursable Expenses Reimbursable expenses may include in house and out of house projected costs required to perform and deliver construction phase services such as postage, courier services, overnight deliveries and mileage. Reimbursable Expenses are estimated at$500. Reimbursable expenses will be invoiced separately on an actual cost basis. Payment GAI will prepare invoices monthly and payment will be due within thirty(30)days of the date of the invoice.All other payment terms will be in accordance with the Continuing Services Contract, General Civil and Public Facility Engineering Amendment 4, dated February 23, 2016. Additional Services Any services not specifically provided for in the above scope will be considered additional services. Proposals for these additional services can be provided by GAI at the request of the Client. Additional services we can provide include, but are not limited to, the following: • Redesign and/or remodeling and revising the construction drawings due to unknown field conditions encountered during construction or changes to elements of the work designed by others. • Preparation and/or submission for certifications to Florida Department of Environmental Protection(FDEP)for potable water systems or sanitary sewer systems or to the St Johns River Water Management District(SJRWMD). • Environmental assessments/resolutions or mitigation or other services related to identification, testing, and remediation of contaminated soils or groundwater. • MOT design and permitting shall be provided by a licensed professional engineer as a requirement of the selected contractor's scope of work. MOT design and permitting for contractor phasing/logistics will be considered an additional service and is not included in this scope of service. • Contract Administration of Contractor's Work Program. • NPDES NOI Permitting(to be submitted by the Contractor) • Bid Tabulations or full CEI Services such as RFI logs, submittal logs, etc. ®2017 GAI Consultants. galconsultants.com Mr.James Kinzler,CPM,EA Page 5 August 24,2017 GAI Project No.A151186.06 • Maintenance Guidelines. • Contractor Construction Directives(CCDs)or issuance of revisions. • Record Drawings and/or BIM based on the contractor's As-Builts(assumes As-Built drawings/or BIM will be providedby the contractor). • Certifications or construction observation other than those listed in this scope of services. • Support in reviewing Contractor Pay Requests and making recommendations for final Certificate for Payment. • Value Engineering plan revisions or LEED related detailed cost analysis of alternate designs. Assumptions and Understandings GAI's Scope of Services, Schedule and Compensation as set forth above have been prepared on the basis of the following assumptions and understandings: 1. GAI will utilize previously provided survey for preparation of the DD and construction plans. 2. Access to the project site(s)or other land upon which GAI is to conduct any field work will be available to GAI'personnel in a timely manner. 3. All exploration locations will be marked and cleared by the Client for the existence of buried utility/piping structures. 4. Client has provided,all its requirements for GAI's scope of services and all criteria and/or specifications that GAI should utilize at the time this Proposal is authorized. This includes any requirement for any statement of professional opinion or certification. 5. Clienthas provided all available information pertinent to GAI's scope of services, including previous reports/drawings; utility information;topo information, etc. at the time this Proposal is authorized. Unless otherwise noted, GAI may rely upon such information. 6. Client will give GAI prompt notice whenever it observes or otherwise becomes aware of any development that affects the scope or timing of GAI's performance. 7. Client will examine and provide comments and/or decisions with respect to any GAI interim or final deliverables within a period mutually agreed upon. 8. Any of Client's other consultant(s)/contractor(s)will cooperate and coordinate with GAI in a timely and efficient manner. 9. GAI's proposed compensation and schedule are based on receipt of authorization to proceed within thirty(30)calendardays of the date of this Proposal. GAI reserves the right to adjust its compensation if authorization to proceed is not received within thirty(30)calendar days. 10. In the event of any claim, suit or dispute between Owner and Consultant, Owner agrees to only pursue recovery from Consultant and will not seek recovery from, pursue or file any claim, or suit, whether based on contract, tort including negligence, strict liability or otherwise against any director, or employee of Consultant. 11.
