Contract 2021-007A#2021-007-A MEMORANDUM OF UNDERSTANDING FOR ACCESS TO CLERMONT POLICE DEPARTMENT DATABASES This Memorandum Of Understanding is made and entered into by and between Charles Broadway, as Chief Of the Clermont Police Department, Florida (hereinafter referred to as "CHIEF"), and William M. Gladson, State Attorney of the Fifth Judicial Circuit (hereinafter referred to as "STATE ATTORNEY") (collectively hereinafter referred to as "PARTIES") effective as of the last date signed below. WHEREAS, CHIEF and STATE ATTORNEY are criminal justice agencies recognized by the Federal Bureau of Investigation and the Florida Department of Law Enforcement; and WHEREAS, CHIEF maintains certain databases in the administration of criminal justice to wit: ownCloud.com DATABASES (hereinafter referred to as "DATABASES"); and WHEREAS, STATE ATTORNEY desires to access the DATABASES for the administration of criminal justice; NOW THEREFORE, in consideration of the mutual covenants, conditions and terms set forth herein, CHIEF and STATE AITORNEY hereby agree as follows: 1. STATE ATTORNEY shall be entitled to access and use the DATABASES for the administration of criminal justice. STATE ATTORNEY further agrees that it shall make use of the DATABASES only for the administration of criminal justice. 2. CHIEF shall issue login credentials to STATE ATTORNEY employees upon request of STATE ATTORNEY. STATE ATTORNEY shall immediately notify CHIEF of termination of a STATE ATTORNEY employee. STATE ATTORNEY shall also immediately notify CHIEF of discovery of STATE ATTORNEY employee misusing or accessing the DATABASES in violation of this MOU. 3. STATE ATTORNEY agrees to abide by all applicable local, state, and federal laws, rules and regulations, as well as the FBI CJIS Security Policy and rules and regulations of FCIC, with regards to the use of said DATABASES. 4. STATE ATTORNEY STATE ATTORNEY agrees to save and hold harmless CHIEF from any and all liability relating to or arising out of their access to the DATABASES. S. Either party may terminate this MOU upon thirty (30) days written notice to the other. CHIF may terminate this MOU immediately and without notice upon finding that STATE ATTORNEY has violated the terms of this MOU. 6. This MOU constitutes the entire agreement of the parties and may not modified or amended without written agreement executed by both parties. 7. TERMS & NOTICE, A. EFFECTIVE DATE. This Agreement shall commence and be effective as of the date first signed below and continue in full force and effect until terminated as provided herein. B. NOTICES.
