1999-45 " .. . . AGREEMENT FOR LEGAL SERVICES CLERMONT CITY ATTORNEY . THIS AGREEMENT dated this R day of July. 1999 is by and between the City or Clermont. A Florida municipal corporation (hereinafter ftequently called the City) and the law rttin of Frank Kruppmbacher, PoA., (hereinafter ftequeptly called Law Firm). is based on the . following premises: . WHEREAS, The City solicited proposals from qualified law firms interested in serving the City as it's city attomey~ and WHEREAS, Frank.Kn1ppenbacher. P.A submitted an expression of interest in serving ~ City. and presented its qualifications; and, WHEREAS, the law firm presented Attorney Robert D. Gutluie as the individual to serve the City as City Attorney; and WBEREAS, it is the desire of the City and the Law Firm to memorialize its agreement whereby the Law Firm serves the City as it's City Attorney. I - NOW THEREFORE BE IT AGREED BY ~ BE'IWEEN THE PARTIES, as tOIlows: 1. Each and all oCme foregoing recitals are true and correct and incorporated into this Asrecmcnt. 2. City agrees to retain the Law Firm. to serve as its City Attorney, and Law Finn agrees to serve the City in that capacity. in accordance with the tenn5 and conditions set forth herein, 3. In the capacity as City Attorney, the Law firm agrees to provide the City alllêga! services necessary and requested by the City Council and it's City Manager, including but not limited to: attendance at all regular City Council meetings~ attendance at those special City Council meetings as requested by the City; attendance at regular meetings of the City' Planing and Zoning Board and the City's Code enforcement Board; review of agenda and agenda suppon or back-up materials for any such meeting(s); review and preparation of contracts as requested by the City; review or ordinances and resolutions scheduled or proposed for City Council consideration or action~ litigation (for non-tort claim/insurance defense matters); telephone and office conferences with city officials and staff; and. other legal services as directed to Law Firm or requested by City officials. 4, The City desired a monthly retainer as a means of managing costs of legal services provided by Law Firm as City Attorney. Therefore, City and Law Firm agreed that the compensation from the City to the Law Firm would be based upon the following parameters: (a.) The City would pay to the Law Firm a monthly retainer ofS 2,500.00 for the serviçes set forth in paragraph # 3, above. (b.) Law firm would commit twenty-two hours to the City per month. (c,) If the services required by City Û'om the Law Firm exceed twe.nty..two (22) hours, then Law Firm reserves the right to bill the City for hours worked in excess of twenty-two hours, provided Law Firm provides the City a statement for SeMCCl reflecting the excess hourI and services rendered, (d.) Excess hours referenced above shall be billed at $ IlS.OO, plus costs. (e.) Costs relating to services under this Agr~ent shall be reimbursed by City to Law Firm in addition to the Retainer amount set forth in subparasraph (a.), above or the hourly rate set forth in subparagraph (d.) as follows: long distance telephone toll charges, plus tax, billed at actual coat; Photocopies - billed at S ,25 per page; TelecopierlFacsimiles sent, to be billed at S 1.00 per transmitted page; Postage - actual cost; actual cost for travel on behalf of the City to be charged at the rates set forth in Chapter 112, Florida Statutes (note there is no charge for travel, either time nor mileage from the Law Firm offices to the City of Clermont); actual direct costs incurTed on behalf of the City for litigation, filing fees aØvanced, court reporter or other fecB. transcripts. copies, etc. relating to litigation, real estate transactions or other legal selVices. Costs will be billed and invoices for charges by third panies included in the statement seeking reimbursement. S. The Law Finn serves at the pleasure of the City CC?uncil, 6. The City and the Law Firm mutually agree that th~ may revisit the issue of compensation after six (6) months to ascertain if it fairly reflects expectations of the parties, AGREED AND EXECUTED on the date first written above.
