Dear Mr. Sanders:
Thank you for the opportunity to serve the King's Ridge subdivision. As you requested in
our meeting on Tuesday, September 21,1999, we are proposing the following changes to
our service agreement, which technically expired in September 1998. We propose the
changes to be effective October 1, 1999.
Section II.
Location of Services:
Extend the service area to include all areas witlún tl1e City, East of Grand Highway.

AGREEMENT
THIS AGREEMENT, by and between the CITY OF CLERMONT, Lake
County, Florida, a municipal corporation, ("City") and SOUTH LAKE
REFUSE SERVICES, INC., a Florida Corporation, ("SLR").
FOR AND IN consideration of the mutual promises, covenants
and conditions contained herein, together with other good and
valuable considerations, the parties hereto agree that "SLR"
shall provide certain services to the "City" under the terms and
conditions as described herein.
I.
SCOPE OF SERVICES:
"SLR" shall provide the following
services to the "City".
A.
Residential Solid Waste Collection
B.
Residential Recycling Collection
II.
LOCATION OF SERVICES:
The services shall be provided
solely in the King's Ridge Subdivision in the City of Clermont.
III.
DESCRIPTION OF SERVICES:
A.
Residentia~ Solid Waste Collection
1.
The collection at curbside of household waste
will be provided on a once per week basis.
Each
household and/or living unit will place garbage at
curbside in wheeled carts provided by the "City".
2.
The vehicles used by the contractor will be
new and/or late model trucks equipped with compaction
type equipment of the type normally used for the
collection of household waste.

3.
"City" shall provide collection bin for each
household.
B.
Residential Recycling Collection
1.
Each household participating in the recycling
program will be provided a one day per week curbside
collection of recyclable materials on the normal
garbage collection day.
The recyclable materials will
be placed by the residents at curbside in one bin
provided by the "City".
Items to be collected include
plastic containers, glass, aluminum and bi-metal cans.
2.
The "City" will provide one (1) eighteen (18)
gallon bin to each of the customers participating in
the recycling program and will deliver the bin to
participating households with necessary messages and
instructions on the use of the bins.
3.
The vehicles used will be new and/or late
model trucks of a type specifically designed for the
collection of recyclable materials.
Recyclable
materials will be sorted at curbside into separate bins
for a total of four sorts, glass, plastics, aluminum
cans and metal cans.
4.
All recycling material will become the
property of the "City" when placed at the curb and will
be kept separate from recyclable materials collected
from other collection programs operated by the
contractor and delivered to a Material Recycling

Facility (M.R.F.) designated by the "City" within a
twenty (20) mile radius.
The City of Clermont will
receive all revenues generated by the sale of the
recyclable materials collected within the City of
Clermont.
C.
Holidays
1.
If a major Holiday should fall on a pick-up
day.
The contractor shall coordinate the make-up
schedule with the "City" prior to that day.
COMPENSATION FOR SERVICES
A.
Compensation Rates
The contractor will be compensated at the
following itemized rates, per month, per single family
residence customer, and the same rate per month for
each living unit of each duplex, triplex, apartment or
other multi-family dwelling, except any apartment or
other multi-family dwelling that may qualify for
containerized.service.
1.
Residential Solid Waste Collection
Collection $ 6.25 per month per home
Recycling 1. 64 per month per home
Disposal 6.29 per month per home
TOTAL RATE $14.18 PER MONTH PER HOME
2.
Contractor will bill "City" direct for number
of homes served each month.
3.
"City" shall be responsible for billing and
collection for each household unit.

4.
Compensation shall be pro-rated for partial
month service.
V.
LIABILITY INSURANCE
"SLR"
shall procure and maintain 'in full force and
effect during the term of this Agreement a comprehensive
liability insurance policy in the face amount of Two Million
Dollars ($2,000,000.00) together with comprehensive property
damage.
"SLR"
hereby agrees to defend and indemnify "City" for
all loss of damage suffered by "City" as the result of actions or
inactions by "SLR", including reasonable attorney's fees.
VI.
TERMS OF CONTRACT
This contract shall terminate one (1) year from date
hereof, however, nothing herein shall be construed to prevent the
parties from extending the term upon written agreement.
VII.
DEFAULT
Failure to perform any conditions herein shall
constitute a default.

Any default shall be cured within ten (10) days or this
Agreement shall be terminated.
VIII.
ENTIRE AGREEMENT
This Agreement shall be binding upon the parties, their
heirs and assigns and constitutes the entire agreement between
the parties.
