THIRD AMENDMENT TO AGREEMENT BETWEEN
THE CITY OF CLERMONT AND TRAVERSE GROUP, INC.
This Addendum is to that certain agreement of August 13, 2019, No. 2019-55, (the
Agreement) between the CITY OF CLERMONT, FLORIDA, hereinafter referred to as "CITY"
and TRAVERSE GROUP, INC., hereinafter referred to as "CONTRACTOR".
WHEREAS, the parties entered into the Agreement as part of the City's Streetscape Project
as set forth in RFB 19-051;
WHEREAS, the Streetscape project was designed to be completed in three phases as set
forth in the project plans;
WHEREAS, Contractor has satisfactorily completed Phase II of the Streetscape project and
is willing, able, and mobilized to timely complete Phase III of the project; and
WHEREAS, it is in the best interest of the City of Clermont and the efficient and cost
effective completion of the Streetscape project, for the parties to expand the Scope of Work as set
forth in the Agreement.
NOW THEREFORE, the parties hereto, in and for the consideration as hereinafter set forth
in this Third Amendment and in the Agreement, do hereby agree and covenant as follows:
1. The above -stated recitals are hereby incorporated and made a part of this Third
Amendment.
2. This Amendment expressly modifies the Agreement and in the event of a conflict,
the terms and conditions of this Amendment shall prevail.
3. The terms of the Agreement and specifically the Scope of Work and compensation
shall be expanded to include the services to be provided as more particularly described in Exhibit
"A", attached hereto and incorporated herein. Contractor shall not be authorized to proceed until
such time as a Notice to Proceed has been issued by the City. The Scope of Work shall be
completed by the date set forth in the Notice to Proceed.
4. All other terms and conditions set forth in the Agreement shall remain in full force
and effect and unchanged as agreed to by the parties.

Escalation Clause. In the event of significant delay or price increase of material, equipment, fuel or energy occurring
during the performance of the contract through no fault of the Contractor, the Contract Sum, time of completion or
contract requirements shall be equitably adjusted by Change Order in accordance with the procedures of previous
Change Orders and Contract Documents. A change in price of an item of material, equipment, fuel or energy will be
considered significant when the price of an item increases 5% between the date of the contract and the date of
installation.

OVERVIEW
The project includes removing existing asphalt, sidewalk,
curb, driveways and landscape to install underground pipes
for utility upgrades and add brick pavers. Improvements to
parking, electricity, lighting and landscape will also be
completed as part of the Master Plan for
Clermont's Downtown -Waterfront District.
