Agreement
This Agreement, by and between CITY OF CLERMONT, a municipal corporation,
Lake County, Florida, P.O. Box 120219, Clermont, Florida 34712-0219, "CITY", and
COOPER MEMORIAL LffiRARY, INC. a Florida non-profit corporation, 620 West
Montrose Street, Clermont, Florida 34711, "LffiRARY".
WHEREAS, CITY owns that certain premises located at 620 West Montrose Street,
Clermont, Florida 34711, together with vacant property adjoining the premises on the West,
and
WHEREAS, LIBRARY currently operates a public library facility on the premises,
and
WHEREAS, LffiRARY is proposing certain expansions to the library building.
NOW THEREFORE, in consideration of the mutual covenants an conditions herein
stated, the parties agree as follows:
1. CITY grants to LffiRARY possession and control of the subject premises for
the purposes of operating a public library and related functions. Possession
and control of the subject premises shall be for as long as the LIBRARY shall
continue to operate a public library.
CITY grants to LIBRARY the authority to make certain improvements and
expansions to the premises upon approval by the CITY. CITY has approved
the expansion plans scheduled for 1995. LIBRARY shall contribute up to
THREE HUNDRED FIFTY THOUSAND AND NO/lOO DOLLARS
($350,000.00) toward the 1995 expansion payable by a first payment of TWO
HUNDRED FIFfY THOUSAND AND NO/100 DOLLARS ($250,000.00)

upon execution of this agreement plus annual payments of a minimum of
TWENTY THOUSAND AND NO/100 DOLLARS ($20,000.00) until the
CITY has been reimbursed for the cost of construction, including the re-
roofing of the existing LIBRARY structure. The annual payments will be
made by April 30 of each year with the first annual payment to be made no
later than April 30, 1995.

CITY shall maintain the structure and exterior of the premises and expansions
as well as air conditioning system and heating system and electrical system.
CITY shall also maintain the grounds.
CITY shall maintain and keep in force full insurance coverage on the
premises, including property damage, fire and casualty, and liability coverage
and pay the premiums therefor.
LIBRARY shall maintain and keep in force full insurance overage on the
contents, equipment, furniture and furnishings located in the building and pay
the premiums therefor.
LIBRARY shall be responsible for maintenance of the interior of the building
and pay all utilities except water.
LIBRARY shall maintain the premises as a public library and may adopt
reasonable rules and regulations for the operation of the public library.
LIBRARY shall from time to time conduct fund drives for the collection of

funds for operation, maintenance, and debt reduction.
CITY may, at its option, designate a City Council Member to serve as a
member of the Board of Directors of the LIBRARY board.

This Agreement constitutes the entire agreement between the parties and is
binding upon the parties, their heirs and successors. This Agreement may not
be assigned without the consent of both parties.
