FIRST AMENDMENT TO AGREEMENT FOR
COMPREHENSIVE FEE STUDY SERVICES
THIS AMENDMENT is entered into as of this 17th day of August, 2022, and is to that
certain Agreement No. 2021-086 dated November 12, 2021, hereinafter "the Agreement", by and
between the CITY OF CLERMONT, FLORIDA, a municipal corporation under the laws of the
State of Florida whose address is: 685 W. Montrose Street, Clermont, Florida, hereinafter referred
to as "CITY" and WILLDAN FINANCIAL SERVICES, INC., whose address is: 200 South
Orange Ave., Suite 1550, Orlando, FL 32801, hereinafter referred to as "CONTRACTOR". The
parties, in exchange for the mutual covenants contained herein and in the Agreement, agree as
follows:
1. This Amendment expressly modifies the Agreement and in the event of a conflict,
the terms and conditions of this Amendment shall prevail.
2. The Compensation Schedule referred to and incorporated into the Agreement is
hereby amended to include the addition of the Fire Inspection Services User Fee Study, in the total
not -to -exceed price of $6,500, as more particularly described in Attachment "A" attached hereto
and incorporated herein.
3. All other terms and conditions set forth in the Agreement shall remain in full force
and effect and unchanged as agreed to by the parties.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of the
dates set forth below.

Cost of Services
Building Services
Willdan Financial Services ("Willdan") proposes a total not -to -exceed fixed fee of $10,295 for
Building Department User Fee Study engagement.
Fire Inspection Services
Willdan Financial Services ("Willdan") proposes a total not -to -exceed fixed fee of $6,500 for
Fire Inspection Services User Fee Study engagement.
Notes
■ The cost of preparing the Fee Study can be included in the resulting new fee schedule(s).
Therefore, over time, the City can recover the initial outlay of funds that was required to
complete this study.
■ Our fee includes all direct expenses associated with the project.
■ We will invoice the City monthly based on percentage of project completed.
■ Additional services may be authorized by the City and will be billed at our then -current hourly
overhead consulting rates.
■ City shall reimburse Willdan for any costs Willdan incurs, including without limitation, copying
costs, digitizing costs, travel expenses, employee time and attorneys' fees, to respond to the
legal process of any governmental agency relating to City or relating to the project.
Reimbursement shall be at Willdan 's rates in effect at the time of such response.
