Show Contract
This contract, by and between WeFlip Entertainment LLC, with a physical address of 14158 Moniz Ave,
Orlando, FL 32827, hereinafter referred to as "WeFlip," and City of Clermont, with a physical address of:
3700 S Hwy 27, Clermont, FL 34711, hereinafter referred to as "CLIENT."
WHEREAS, the parties desire that WeFlip enter into a contract to perform services for CLIENT
and its designated venues, facilities and/or clients; NOW THEREFORE, in consideration of CLIENT
engaging WeFlip at this time, CLIENT hereby agrees as follows:
A. DESCRIPTION OF SERVICES
This contract is for performances by WeFlip Entertainment LLC on Thursday, December 8, 2022.
Performances will take place at: 3700 S Hwy 27, Clermont, FL 34711, hereinafter referred to as
"EVENT."
WEFLIP agrees to conduct shows and to satisfactorily perform in accordance with the following:

g. Misc agreements: No deposit required.
WeFlip and its managers, directors and performers realize that times, set locations and venues may
be altered or changed for this event. Should this occur, WeFlip and its managers, directors and
performers agree to make the appropriate adjustments for the purpose of fostering good relations
with both the CLIENT and their possible end client providing the changes or alterations are similar in
nature and length to the description in this section of the agreement. If additional performance time
is requested, this may result in additional compensation for WeFlip and its managers, directors and
or performers.
B. PROFESSIONALISM AND SAFETY:
WeFlip will conduct the shows and perform in a competent and professional manner, strict regard
being paid to conduct and safety. At any time thereunder, WeFlip shall have the unqualified and
absolute right in its sole discretion to prohibit, restrict or forbid its performers from engaging in any
activity that WeFlip deems inappropriate or unsafe. WeFlip will comply with all rules, regulations
and policies of the owner of the premises where performances are to take place and in accordance
with all state and local laws and ordinances.
C. CONTROL OF SERVICES
Client initial
CLIENT has the right to direct where and when services should be performed. WeFlip will do it's best
to comply with all reasonable direction, including but not limited to safety policies, security policies,
and show direction, but CLIENT Is aware that WeFlip and its managers, directors and performers are
professionals in their field and have the skills and judgment to provide the necessary services
without direction from CLIENT or Its affiliates, directors, managers or other representatives.
D. EQUIPMENT:
WeFlip will furnish at its sole expense all regular Equipment and other paraphernalia
(cumulatively referred to as "Equipment") that are necessary to present the shows and
performances agreed upon in Section 1, unless specified or provided by CLIENT or
venues, facilities and/or clients. Any special or unusual equipment requested or
required by CLIENT shall be provided or furnished by CLIENT. Equipment shall be set up
prior to the performance and shall be of first-class quality, in working order and
condition, both mechanically and in appearance.
Equipment will be transported to event location. CLIENT will provide reasonable
accommodations to ensure unloading area is as near to performance area as possible to
assist in setup. WeFlip requires a minimum setup time of 1-hour with unrestricted
access to event location. CLIENT shall provide WeFlip with the time the event area must
be cleared of guests. We request this information one week prior to performance for
timely arrival and setup. CLIENT is requested to provide safe storage for WeFlip
equipment for any multiday performances or load in/load out days prior to or post show
days.
E. SPECIALTY ENTERTAINMENT
CLIENT understands that this contract is based on the specialty of the performers provided by
WeFlip. Should performers become unable to perform services due to any emergency or
incapacitating situation(s), WeFlip will Inform CLIENT at its earliest opportunity. For the purposes of
fostering good relations between businesses, WeFlip will endeavor to find a comparable
replacement for the event should previously mentioned performers become unable to perform
services on the dates and events set forth in this agreement. In the unlikely event services should
not be able to be provided by WeFlip, CLIENT will not be required to compensate WeFlip for event
and any deposits paid will be returned.
F. REPRODUCTIONS:
a. WeFlip, or the designated agents or assigns, reserve the right to photograph or record
all or any part of WeFlip's performance and reserves the right to use recordings or
photographs for its own purposes without any payment or responsibility to CLIENT.
b. CLIENT shall not use the names, photographs, depictions, characters, designs, symbols,
representations, figures, ideas, trademarks, logos or any other matter owned,
developed or created by WeFlip, or any of its agents or assigns for any reason not
related to this specific event without approval of WeFlip.
G. CONDUCT:
CLIENT agrees to take any and all action to protect WeFlip from any situation of liability and act in a
professional manner. If CLIENT has committed, or shall commit any act, or has, or becomes involved

in any situation or occurrence which brings him or her into public disrepute, contempt, scandal or
ridicule, or which shocks, insults or offends the people of this nation or any class or group thereof,
or reflecting unfavorably upon WeFlip reputation then WeFlip shall have the right to immediately
terminate this contract without written notice.
H. INDEMNIFICATION:
To the extent permitted by law and without waiving any sovereign immunity it may enjoy ,CLIENT
agrees to and shall indemnify and defend WeFlip and affiliates and their respective officers,
directors, agents, employees, and successors and assigns from and against any and all claims,
demands, losses, costs, damages, liens, suits, judgments, penalty, expense and liabilities of any kind
or nature whatsoever, arising directly or indirectly, out of, or occurring in connection with, the
production, staging and performances of the services or any activities related thereto, except to the
extent such incident, occurrence or damage giving rise to the losses was caused solely by the
negligence of WeFlip. This indemnity shall survive the expiration or earlier termination of this
Contract.
I. TERMINATION:
a. WeFlip may terminate this engagement contract if CLIENT violates the provisions
hereof. If CLIENT terminates this contract within 7 days of performances, WeFlip is
entitled to 50% of the agreed upon contract price for cancellation and loss of work.
b. The contract may not be changed or terminated orally but may only be altered or
amended by writing signed by both parties.
J. SPECIAL PROVISIONS:
a. CLIENT and WeFlip agree that LAKE County in the State of Florida shall be the exclusive
jurisdiction or forum for purposes of any dispute arising out of the terms of this contract
or CLIENT's performance in general. If any term or provision of this engagement
contract is violated by either party and/or if any term or provision violates any federal
state or local law now in force or hereinafter enacted, such term or provision shall
become inoperative, but shall not invalidate the remaining terms or provisions
contained herein.
b. WeFlip can provide a valid COI at CLIENT's request. All COI requests must be made with
at least a 7-day notice.
c. Technical & performance rider stipulations:
i. CLIENT shall provide an accessible restroom.
ii. CLIENT shall have drinking water available and accessible to WeFlip's performers
throughout the event.
iii. CLIENT to provide on -site contact name and cell phone number for performers:

K. PAYMENT:

a. CLIENT agrees to pay a total of $1,500 (One Thousand Five Hundred USD) to WeFlip for
performers and performances outlined in section A of this contract. Said total is to be
paid in one installment within 30 days of completion of the EVENT.
b. Payment can be made in the form of a check made out to WeFlip Entertainment LLC (W-
9 attached to this Agreement) or via direct deposit. Payment may also be made via
Credit Card. An option to pay with any major credit card is available once you have
received the invoice.
C. The parties specifically acknowledge and agree that WeFlip shall at all times during the
term of this contract be and remain an independent contractor and nothing contained
herein shall be construed as creating a partnership, ongoing employment relationship or
other affiliation or like relationship between WeFlip and CLIENT. The provisions of this
paragraph shall survive the termination of this contract.
L. NOTICE: For purposes of this agreement, written notices shall be sent via physical mail/email:
