AGREEMENT
THIS AGREEMENT, by and between the CITY OF CLERMONT, hereinafter
referred to as "CITY", 1 Westgate Plaza Drive, Clermont, Florida 34711;
and PAUL ROBERTS, hereinafter referred to as "ROBERTS", 13101 C. R. 561A,
Clermont, Florida 34711, dated this

WITNESSETH:
The parties hereto, in consideration of the mutual covenants and
promises contained herein, covenant and agree as follows:
1.
"ROBERTS" is the owner of certain physical exercise equipment
more particularly described in Exhibit "A" attached hereto.
2.
"ROBERTS" agrees to loan said equipment to the CITY OF CLERMONT
POLICE DEPARTMENT for the exclusive use of police department personnel at
no charge to the "CITY".
3.
"ROBERTS" agrees to disassemble the equipment; "CITY" agrees to
move said equipment to the CITY OF CLERMONT POLICE DEPARTMENT; and
"ROBERTS" agrees to re-assemble the equipment in proper form.
4.
"CITY" agrees to pay the costs of an initial maintenance and
service charge after the equipment is re-assembled.
5.
"CITY" shall be responsible for maintenance of the equipment,
but "CITY" shall be held harmless for any damage or loss to the equipment.
6.
MR. and MRS. PAUL ROBERTS shall also have the right to use the
equipment, but hereby agree to hold the "CITY" harmless for any damages
occassioned by their use of the equipment.
7.
"ROBERTS" shall have the right to sell such equipment to a third
party, however, "CITY" retains the right of first refusal to purchase

the equipment at the s~me rate as a bona-fide prospective purchaser.

This Agreement constitutes the entire agreement between the

parties and the provisions herein shall inure to the parties' heirs and
assigns.
