Contract 2020-047A EAMENDMENT AND EXTENSION
TO STANDARD CONTRACT FOR SERVICES DATED October 31, 2019
THIS AMENDMENT AND EXTENSION ("Amendment and Extension") is made and entered into the day and
year set forth hereinafter by and between the CITY OF PORT ORANGE, FLORIDA, a Florida municipal corporation
located at 1000 City Center Circle, Port Orange, Volusia County, Florida 32129-4144 (the "City"), and DANUS
UTILITIES, INC. ('Contractor"), a Florida corporation, whose principal address is 2320 Beardall Avenue,
Sanford, Florida 32771. The City and the Contractor are collectively referred to herein as the "Parties."
WHEREAS, on the 31st day of October 2019, the City and the Contractor entered into a Standard
Contract for Services, pursuant to Invitation to Bid 19-19 ("ITB 19-19") for rehabilitation of sanitary sewer
manholes ("Contract"), with an initial term commencing on October 31, 2019 and continuing until October 30,
2020, with the option for two (2) one-year renewals subject to review and approval of the City Manager and
budget appropriation; and
WHEREAS, on the 23rd day of September 2020, the Parties utilized the first renewal option via the
City of Port Orange Renewal Form, for a period commencing on October 31, 2020 and continuing until
October 30, 2021; and
WHEREAS, on the 24th day of August 2021, the Parties utilized the second and final renewal option
via the City of Port Orange Renewal Form, for a period commencing on October 31, 2021 and continuing
until October 30, 2022; and
WHEREAS, the Parties desire to amend and extend the Contract period, notwithstanding the date
of execution, to commence on October 31, 2022 and continue for a period of six (6) months, to allow the City
to commence the biding process; and
WHEREAS, the Port Orange City Council has determined that the execution of this Amendment and
Extension is beneficial to the citizens of the City of Port Orange.
NOW, THEREFORE, the Parties, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, agree as follows:
The foregoing recitals are true and correct and incorporated herein.
1. Term, The Term of this Contract as amended is hereby extended. Notwithstanding the date
of execution, the Contract term shall continue for a period commencing of October 31, 2022 and continuing
for a period of six (6) months.
2. Counter,-_: arts. This Amendment and Extension may be executed in one or more
counterparts, each of which shall be deemed to be an original but all of which together shall constitute one
and the same instrument. The delivery by facsimile or e-mail of an executed copy of this Amendment and
Extension shall be deemed valid as if an original signature was delivered. No contract shall be formed
between Contractor and the City until the City signs this Amendment and Extension.
3. All other terms and conditions of the Contract shall remain in full force and effect.
