2007-07CONSENT TO ASSIGNMENT OF PROFESSIONAL SERVICES CONTRACT
TYiis Assignment agreement is entered into thi~~ day of
200, by and between the City of Clermont a Florida municipal
c poration and Booth, Ern, Straughan, & Hiott, Inc., a Florida
Corporation.
WHEREAS, on June 28, 2005, the City of Clermont (the "Owner")
entered into a written contract for professional engineering and/or
surveying services with the Tavares office of Farner,Barley &
Associates, Inc. (the "Contract"); and
WHEREAS, on August 1, 2006, the Tavares office of Farner,
Barley & Associates, Inc. formed a new engineering and surveying
company known as Booth„ Ern, Straughan, & Hiott, Inc., (BESH), and
as part of that transaction, Farner, Barley & Associates, Inc.
assigned to BESH the above-referenced Contract with Owner. The
Contract requires the Owner's consent prior to any assignment of
the Contract; and'
WHEREAS, the Owner desires to maintain its professional.
relationship with the former principals of the Tavares office of
Farner, Barley & Associates, Inc. (now, BESH), and wishes to
consent to the assignment of the Contract to BESH; and
WHEREAS, BESH represents and warrants that Farner, Barley &
Associates, consents to the assignment of the Contract as provided
herein.
NOW THEREFORE, in consideration of the foregoing Recitals,
and for other good and ',valuable consideration, the parties hereto
agree as follows:
1. The above recitals are true and correct and are
incorporated herein.
2. The Owner hereby approves of and expressly consents to
the assignment of the Contract to BESH, and agrees to be bound to
BESH pursuant to the terms and conditions of the Contract.
3. BESH does hereby acknowledge and agree that it shall
comply with all terms and conditions set forth in the Contract and
that said terms and conditions are incorporated herein as if
restated in their entirety.
