We hereby agree to piggyback this contract under all terms and conditions for the term of the contract plus all annual extensions. 2. All employees of Shelley's Environmental Systems will be covered by workman's compensation insurance. 3. All of Shelley's trucks and equipment will be properly insured and licensed and permitted. 4. Shelley's Environmental Systems wilt provide services as needed by the City of Clermont, with twenty-four hour prior notice. 5. All residuals will be processed and treated at She{{ey's Environmental Systems Residuals Management Facility at Zellwood, Florida. That the contractor and the Owner, for the consideration hereinafter named agreed as follows: Article 1. SCOPE OF WORK Transport and dispose of municipal domestic wastewater residuals from the Apopka Wastewater Treatment Facility, to a dedicated and segregated site. The Contractor shall furnish all labor, materials, specialized waste handling equipment and land application of stabilized wastewater residuals and pertorm all of the work in the manner and to .the full extent set forth in the Special Conditions and the Contract Documents relative thereto including among others the following: INVITATION FOR B1D INSTRUCTION TO BIDDERS BID PROTEST PROCEDURES j AFFIDAVIT OF NON COLLUSION ' DRUG FREE WORKPLACE CERTIFICATION STATEMENT OF PUBLIC ENTITY CRIMES PROPOSAL AND BID FORM SERVICE AGREEMENT AGREEMENT ASSUMING DISPOSAL LIABILITY (ATTACHED HERETO AS EXHIBIT "A") SPECIAL CONDITIONS ~ (ATTACHED HERETO AS EXHIBIT "B") The Owner will provide twenty-four (24) hour notice, to the Contractor, when service as described in the Contract Documents is needed. The Contractor will be required to perform the service within said time period. The Contractor will pick up the Owner's trailer, filled with approximately 25 cubic yards of domestic wastewater cake residuals then transport and dispose of said contents. The average solids concentration is 14%. Should the Owner deem it necessary the Contractor will be required to. pick up, transport and dispose of liquid residuals in a vehicle supplied by the Contractor. The average solids concentration of the liquid is 1 %. ao -~ The domestic wastewater residuals will be picked up from the Owner's 1 generation site, Apopka Wastewater Treatment Facility, located at 333 3 Snowden Road, Apopka, Florida. The Contractor will be required to transport and dispose of all the domestic wastewater residuals the Owner deems necessary. Under no circumstances shall the residuals collected from the City of Apopka be deposited on lands which lie within the Wekiva River protection or study areas as defined by the St. Johns River Water Management District. Transportation and disposal of the municipal domestic wastewater residuals will be accomplished in accordance with all applicable law including but not limited to CFR Part 503 and Chapter 62-640, Florida Administrative Code. Article 2. TERM OF AGREEMENT The period of this Agreement sha{I be for a period of twelve (12) months, beginning on April 23, 2007, and ending on April 22, 2008. This Agreement may, by mutual written assent of the parties be extended for two additional twelve (12) month periods or portions thereof, up to a cumulative total of thirty-six (36} months. Article 3. COMPENSATION The Contractor agrees to provide the services, equipment and materials as specified in its bid to the Owner at the cost specified in said bid and amendments, if any, the bid and any amendments thereto being attached, incorporated by reference herein and made a part hereof as fully as if herein set forth. The amount as specified in the Contract, may be increased or decreased by the Owner under the Extra provision of this Agreement, through the issuance of an Addendum, if applicable. Any prices specified in this Agreement or Addendum thereto, will remain firm for the term of this Agreement or Addendum. Article 4. PAYMENT All invoices received by the Owner are payable within thirty (30) days from receipt, provided they have first been approved by the using department, and such department has accepted the Work. The Owner reserves the right, with justification, to partially pay any invoice submitted by the Contractor when requested to do so by the using department. All invoices shall be directed to the Public Services Department, City of Apopka, 748 E. Cleveland St., Apopka, Florida, 32703. 21 Memo To: Wayne Saunders, City Manager From: Tamara Richardson, PE, City Enginee~i~~ CC: Date: May 11, 2007 Re: Residuals Hauling, Treatment and Disposal Request to Piggy-Back City of Apopka Contract The City's Utilities Department researched a variety of bids and is requesting to piggy-back the competitive bid from the City of Apopka for residuals (sludge) hauling, treatment and disposal by Shelly's Environmental Systems. The contract that the City currently uses expired, but the company continued to honor the price. Unfortunately, they will no perform at the lower price of the expired contract. The contract and fee schedule are attached. I am requesting authorization to piggy-back the City of Apopka, Florida bid residuals hauling, treatment and disposal ftom Shelly's Environmental Systems.
